AIR : How to avoid Income Tax notices About AIR (Annual Information Return) 2 Techniques Used by Income Tax Department 1. AIR - Annual Information Return 2. SFT - Specified financial transactions • Introduction of AIR AIR stands for Annual Information Return that contains information about all high-value transactions that is required to be reported under section 285BA by the ‘specified person’ for ‘specified transactions’ during a F.Y With the help of this statement, the tax authorities will collect the information on certain prescribed transactions. This statement of financial transactions contains details of transactions, reportable account maintained/registered/recorded by them during the year. In this manner the income tax department can keep a track of high valued transactions. • What Precautions should we take to not get our case in scrutiny? a) Cash payments b) Banks or a Co-operative bank. c) A banking company or a cooperative bank or any other company or institution issuing credit card. d) A company or institution issuing bonds or debentures. e) A company issuing shares. f) A company listed on a recognized stock exchange purchasing its own securities under Companies Act, 2013 g) A trustee of a Mutual Fund or such other person managing the affairs of the Mutual Fund. h) Authorized person under Foreign Exchange Management. i) Inspector-General or Registrar or Sub-Registrar j) Any person who is liable for audit u/s 44AB. k) i. A banking Company ii. Post Master General • Scrutiny Selection on The Basis of AIR (SFT) Informatin The statement of financial transaction required to be furnished under sub- section (1) of 285BA of income tax act, 1961 shall be furnished in respect of a F.Y. in Form no. 61A and shall be verified in the manner specified therein. • Consequences of not Furnishing AIR Penalties will be levied for not furnishing the statement of all financial transactions u/s 271FA. The penalty is Rs. 500 per day of default. However, section 285BA (5) which allows the tax authorities to issue a notice to the person asking him to file the statement within a period of 30 days from the date of receiving the notice. If he/she fails to file the statement within the allotted time then he/she will face penalty of Rs. 1,000 per day after the date mentioned in notice for furnishing the statements. 1. Who is authorized to receive AIR? • National Securities Depository Limited(NSDL) is authorized by CBDT (Central Board of Direct taxes) to receive AIR. NSDL accepts AIR from all over the country in front offices called TIN Facilitation Centers (TIN-FCs) and online through web-based facility. • So, AIR is collected by NSDL and forwarded to the Income Tax Department. 2. How will transactions of joint parties be provided in AIR? With respect to transactions related to joint parties: • Provide separate line item for each party involved in the transaction and mention each transaction separately relating to that party if shares of each party are known; • Give particular of all the parties involved in joint parties as separate line items and mention the respective transaction against the first named party alone if the shares of the parties involved in joint transaction are undefined. 3. Should an entity which is required to file AIR, file a single AIR for the whole organization or can it file separate AIR for each of its branch/regional office? Definition of Foreign Company
As per definition given under Section 2 (42) of the Companies Act, 2013;
 “FOREIGN COMPANY” means any company or body corporate incorporated outside India which,—

  Sections 380 to 386 (both inclusive) and sections 392 and 393 shall apply to all foreign companies, Provided that the Central Government may, by Order published in the Official Gazette, exempt any class of foreign companies, specified in the Order, from any of the provisions of sections 380 to 386 and sections 392 and 393 and a copy of every such Order shall, as soon as may be after it is made, be laid before both Houses of Parliament.
ANALYSIS OF ROC FORMS SPECIFICALLY FOR FOREIGN COMPANY:

eForm FC-1 (Information to be filed by foreign company)
Law(s)  and Regulations:
Section 380(1) (a) to (h) and Rule 3(3) of the Companies (Registration of Foreign Companies) Rules, 2014
Filing requirements:
A foreign company shall file the particulars of the principal place of business in e-form FC-1 within 30 days of establishment of place of business in India alongwith the required documents to RoC, Delhi. 
The Registrar of the corresponding state shall have access to these documents filed with the RoC, Delhi.
Stamp Duty Payment:
Stamp duty on eForm FC-1 can be paid electronically through the MCA portal.
Payment of stamp duty electronically through MCA portal is mandatory in respect of the states which have authorized the Central Government to collect stamp duty on their behalf.
Now eStamp duty payment is to be done online through MCA portal for all the states.
Mandatory Attachment(s)
Certified copy of the charter, statutes, or memorandum and articles of the company or other instrument constituting or defining the constitution of the company (Mandatory).
List of directors and secretary of the foreign company (Mandatory).
Power of attorney or board resolution in favor of the authorized representative(s) (Mandatory).
Reserve bank of India approval letter (It is mandatory to attach attested copy of such approval).
Details of other places of business in India (if any) 
It is mandatory to enter the date of closure of such place of business and also FCRN of such office
Particulars of place(s) of business in India established on any earlier occasion(s) other than above (if any)
Maximum seven of such offices can be entered. If more than seven then details can be given in necessary attachment(s).
eForm FC-2 (Return of alteration in the documents filed for registration by foreign company)
Law(s)  and Regulations:
Section 380(3) of the Companies Act, 2013 and Rule 3(4) of the Companies (Registration of Foreign Companies) Rules, 2014
Filing requirements:
Every foreign company on alterations in the charter or statute or any other instrument governing the company, alterations in the particulars of Director/Secretaries of the foreign company , any change in the registered or principal office of the company in the country of incorporation, any change in the particulars of authorized representative(s) of the company and any change in other places of business in India of the company, has to file eform FC-2 within 30 days of the alterations made. 
This eForm is required to be filed with Registrar of Companies and a copy is routed to concerned RoC of the respective state by the system. An alert is generated at the concerned RoC to inform of the filing done at RoC, Delhi.

Copy of approval letter (it is mandatory if any approval is required for such alteration).
eForm FC-3 (Annual accounts along with the list of all principal places of business in India established by foreign company)
Law(s)  and Regulations:
Section 381 of the Companies Act, 2013 and Rule 4, 5 and 6 of Companies (Registration of Foreign Companies) Rules, 2014
Filing requirements:
Every foreign company is required to prepare and file financial statements within a period of six months of the close of the financial year of the foreign company to which the financial statements relate to Delhi RoC in eForm number FC-3. It shall also prepare and file a list of places of business in India established by a foreign company as on date of the balance sheet in the same form.
However, the Registrar can extend the said period to not more than three months on application made in writing.

Copy of latest consolidated financial statement of parent company (Mandatory).
Copy of balance sheet and profit and loss account duly authenticated under section 381(1) (Mandatory)
In case the document is in any other language other than English, certified translation in English language is mandatory
eForm FC-4 (Annual Return of a Foreign Company)
Law(s)  and Regulations:
Section 384(2) of the Companies Act 2013 and Rule 7 of Companies (Registration of Foreign Companies) Rules, 2014
Filing requirements:
Every foreign company shall prepare and file annual return of the company in eForm FC-4 within 60 days from the close of financial year.
Mandatory Attachment(s)
Details of Promoters, Directors and Key managerial personnel and changes therein since close of previous financial year. (Mandatory)
Details of directors and key managerial personnel and their remuneration. (Mandatory)
Details of the meeting of the members or class thereof, board and its various committees along with attendance details. (Mandatory)
Particulars of members and debenture holders along with changes therein since the close of previous financial year. (Mandatory)
Particulars of Holding, subsidiary and associate companies and firms. (Mandatory in case number of entities prescribed at serial no 6 is more than seven)

On Prime Day, Amazon workers and immigrant rights organizations are protesting
On the start of Amazon’s biggest sales event of the year, Amazon workers and activists are taking to the streets today in protest of the retail giant. Protests are planned for San Francisco, Minnesota, New York, Seattle and other locations across Europe.
The biggest employee-led one is happening in Shakopee, Minn., where Amazon warehouse workers protesting the working conditions, pay, benefits and general culture.
“These workers, primarily Muslim, East African immigrants, want humane working targets to reduce injuries, full-time instead of temporary working status, and fair opportunities for promotions,” a group of Amazon employees advocating for climate justice wrote on Medium a couple of days ago. “These FC workers reached out to us, Amazon Employees for Climate Justice (AECJ), asking for support.”
This is not the first time warehouse workers in Minnesota have organized. In March, workers went on strike for three hours to call for better working conditions. Last year, those same workers demanded more time for prayer and smaller workloads while fasting during Ramadan.
“Amazon workers are sending a powerful message to Jeff Bezos this Prime Day: It’s time to stop putting profits ahead of people,” United Food and Commercial Workers International Union President Marc Perrone said in a statement today. “With the recent move to one-day Prime shipping, Amazon workers are being forced to meet impossible demands at increasingly unsafe speeds.”
Amazon, however, says its critics are “conjuring misinformation to work in their favor,” an Amazon spokesperson said. Amazon says it already offers the things unions are asking for. Last October, Amazon raised the minimum wage for all warehouse workers to $15 an hour for its U.S.-based workers, but many said that was not enough.
“We can only conclude that the people who plan to attend events today are simply not informed,” the spokesperson said. “As a company, we work hard to provide a safe, quality working environment for the 250,000 hourly employees across Amazon’s U.S. facilities.”
The spokesperson went on to describe how its associates are core to its operators and how they regularly encourage friends and family to apply for roles.
“We encourage anyone to compare our pay, benefits, and workplace to other major employers across the country,” the spokesperson said.
In San Francisco, organizers at Bay Resistance are protesting outside one of Amazon’s offices in the city to demand Amazon end its relationship with Immigration and Customs Enforcement. The group is also urging Amazon to stop promoting its facial recognition technology, Rekognition, to law enforcement agencies and ICE.
“As we’ve said many times and continue to believe strongly, companies and government organizations need to use existing and new technology responsibly and lawfully,” the Amazon spokesperson said. “There is clearly a need for more clarity from governments on what is acceptable use of AI and ramifications for its misuse, and we’ve provided a proposed legislative framework for this. We remain eager for the government to provide this additional clarity and legislation, and will continue to offer our ideas and specific suggestions.”
To stand in solidarity with Amazon workers, some activists are asking the masses to boycott Amazon, which means no Amazon.com, Amazon Prime Video, Whole Foods, Kindle, Audible, Book Depository, Twitch, IMDb, AWS, Goodreads and Comixology.

Definition of Foreign Company
As per definition given under Section 2 (42) of the Companies Act, 2013;
 “FOREIGN COMPANY” means any company or body corporate incorporated outside India which,—

  Sections 380 to 386 (both inclusive) and sections 392 and 393 shall apply to all foreign companies, Provided that the Central Government may, by Order published in the Official Gazette, exempt any class of foreign companies, specified in the Order, from any of the provisions of sections 380 to 386 and sections 392 and 393 and a copy of every such Order shall, as soon as may be after it is made, be laid before both Houses of Parliament.
ANALYSIS OF ROC FORMS SPECIFICALLY FOR FOREIGN COMPANY:

eForm FC-1 (Information to be filed by foreign company)
Law(s)  and Regulations:
Section 380(1) (a) to (h) and Rule 3(3) of the Companies (Registration of Foreign Companies) Rules, 2014
Filing requirements:
A foreign company shall file the particulars of the principal place of business in e-form FC-1 within 30 days of establishment of place of business in India alongwith the required documents to RoC, Delhi. 
The Registrar of the corresponding state shall have access to these documents filed with the RoC, Delhi.
Stamp Duty Payment:
Stamp duty on eForm FC-1 can be paid electronically through the MCA portal.
Payment of stamp duty electronically through MCA portal is mandatory in respect of the states which have authorized the Central Government to collect stamp duty on their behalf.
Now eStamp duty payment is to be done online through MCA portal for all the states.
Mandatory Attachment(s)
Certified copy of the charter, statutes, or memorandum and articles of the company or other instrument constituting or defining the constitution of the company (Mandatory).
List of directors and secretary of the foreign company (Mandatory).
Power of attorney or board resolution in favor of the authorized representative(s) (Mandatory).
Reserve bank of India approval letter (It is mandatory to attach attested copy of such approval).
Details of other places of business in India (if any) 
It is mandatory to enter the date of closure of such place of business and also FCRN of such office
Particulars of place(s) of business in India established on any earlier occasion(s) other than above (if any)
Maximum seven of such offices can be entered. If more than seven then details can be given in necessary attachment(s).
eForm FC-2 (Return of alteration in the documents filed for registration by foreign company)
Law(s)  and Regulations:
Section 380(3) of the Companies Act, 2013 and Rule 3(4) of the Companies (Registration of Foreign Companies) Rules, 2014
Filing requirements:
Every foreign company on alterations in the charter or statute or any other instrument governing the company, alterations in the particulars of Director/Secretaries of the foreign company , any change in the registered or principal office of the company in the country of incorporation, any change in the particulars of authorized representative(s) of the company and any change in other places of business in India of the company, has to file eform FC-2 within 30 days of the alterations made. 
This eForm is required to be filed with Registrar of Companies and a copy is routed to concerned RoC of the respective state by the system. An alert is generated at the concerned RoC to inform of the filing done at RoC, Delhi.
Mandatory Attachment(s)
Copy of approval letter (it is mandatory if any approval is required for such alteration).
eForm FC-3 (Annual accounts along with the list of all principal places of business in India established by foreign company)
Law(s)  and Regulations:
Section 381 of the Companies Act, 2013 and Rule 4, 5 and 6 of Companies (Registration of Foreign Companies) Rules, 2014
Filing requirements:
Every foreign company is required to prepare and file financial statements within a period of six months of the close of the financial year of the foreign company to which the financial statements relate to Delhi RoC in eForm number FC-3. It shall also prepare and file a list of places of business in India established by a foreign company as on date of the balance sheet in the same form.
However, the Registrar can extend the said period to not more than three months on application made in writing.
Mandatory Attachment(s)
Copy of latest consolidated financial statement of parent company (Mandatory).
Copy of balance sheet and profit and loss account duly authenticated under section 381(1) (Mandatory)
In case the document is in any other language other than English, certified translation in English language is mandatory
eForm FC-4 (Annual Return of a Foreign Company)
Law(s)  and Regulations:
Section 384(2) of the Companies Act 2013 and Rule 7 of Companies (Registration of Foreign Companies) Rules, 2014
Filing requirements:
Every foreign company shall prepare and file annual return of the company in eForm FC-4 within 60 days from the close of financial year.

Details of Promoters, Directors and Key managerial personnel and changes therein since close of previous financial year. (Mandatory)
Details of directors and key managerial personnel and their remuneration. (Mandatory)
Details of the meeting of the members or class thereof, board and its various committees along with attendance details. (Mandatory)
Particulars of members and debenture holders along with changes therein since the close of previous financial year. (Mandatory)
Particulars of Holding, subsidiary and associate companies and firms. (Mandatory in case number of entities prescribed at serial no 6 is more than seven)
