Elon Musk’s threat to leave California could cost Tesla $1 billion — and be worth it

We all know that Elon Musk talks a lot — and loosely. But what would it take to back up his bluster about moving Tesla to Texas or Nevada?
The 48-year old CEO of Tesla has been bickering on social media with California and Alameda County officials about reopening Tesla’s Fremont, California electric car manufacturing plant, on which the electric carmaker is unusually dependent, since its only other auto manufacturing plant is the newly-opened Gigafactory outside Shanghai. Recently, Musk took to Twitter to threaten to take his company and go home, if by home, he means new digs in either Nevada, or locations where Tesla is reportedly scouting locations for a new Cybertruck plant, Austin, Texas and Tulsa, Oklahoma.
“The unelected & ignorant ‘Interim Health Officer’ of Alameda is acting contrary to the Governor, the President, our Constitutional freedoms & just plain common sense,” Musk tweeted. “Frankly, this is the final straw. Tesla will now move its HQ and future programs to Texas/Nevada immediately.”
Moving the company’s factory would cost at least $1 billion given the costs associated with building a new facility, and could take 12 months to 18 months, said Dan Ives, who follows Tesla for Wedbush Securities. More to the point, Tesla would have to relocate thousands of employees. The company had 48,000 workers when it completed its most recent annual 10-K filing with the Securities and Exchange Commission, but doesn’t say how many work in the Fremont plant.
California is ‘not worried’
The bigger problem would be the same as the reason Musk is so worked up about Fremont being closed for coronavirus in the first place, says CFRA Research analyst Garrett Nelson: it’s the only U.S. factory Musk has, and makes virtually all of the company’s vehicles for the U.S. market, including the old Model S and X lines, as well as the higher-volume Model 3 and the newly introduced Model Y crossover. Closing it any time soon would leave Tesla with too few options to build its products and generate revenue.
“We just don’t see it,” Nelson said. “It’s too expensive and they’re too dependent on the Fremont factory.”
California Governor Gavin Newsom told CNBC he doesn’t see it, either. Speaking on CNBC’s “Fast Money” on Tuesday night, he said he is “not worried” about Tesla CEO Elon Musk moving the company’s operations out of the state “anytime soon.”
“We’re committed to the success and the innovation and the low-carbon, green growth economy that he’s been promoting for decades and the state of California is accelerating in,” Newsom said in the “Fast Money” interview.
Tesla did not respond to requests for comment.
The potential billion-dollar price tag for a move wouldn’t be the biggest problem. Tesla also would face potential manufacturing disruptions during the moving process. The right location, if Musk is serious about moving either headquarters or the Fremont plant, would likely be next to the factory where the company builds its upcoming Cybertruck pickup. Tesla is reportedly sifting offers from Texas, Oklahoma, and potentially other states, to host the plant, which would also produce Model Y vehicles.
That decision is expected to come soon, with Texas holding the edge, offering sites in the Austin area, where Tesla already has an engineering office, said a report in green-economy Web site Electrek.
“Texas is the biggest pickup market in the country, 50% bigger than California, which is No. 2,” Nelson said.
Tesla closed the first quarter with $8.1 billion in cash and short-term investments on its balance sheet, after a year in which it established itself as solidly cash-flow positive. It also raised more than $2 billion in a stock offering in February.

The company is also known to be pitting states against each other to offer fat incentives for the Cybertruck plant, as it has done before, said Greg LeRoy, executive director of Good Jobs First, a nonprofit watchdog that tracks corporate incentive deals and believes many of them are wasteful. Good Jobs First says Tesla has taken $2.4 billion in state and local incentives for different projects, mostly in upstate New York where it built a large solar panel plant, and Nevada where its battery plant is located, and would likely seek subsidies to move headquarters or shift Fremont’s production elsewhere.
When Tesla picked Nevada for its gigafactory battery plant near Reno in 2014, the company committed to pick up only about $2 billion of the $4 billion to $5 billion capital cost, according to Tesla’s 2014 10-K filing.
Nevada gave the company $195 million in transferable tax credits in exchange for a commitment by Tesla and battery partner Panasonic to exchange at least $3.5 billion in the plant. If Tesla meets other targets, it can claim as much as $1.3 billion in state tax breaks over 20 years, most of it in sales and use tax abatements, according to Good Jobs First.

The Fremont factory itself was initially financed in part by a federal loan guarantee as part of the 2009 economic stimulus, which Tesla later repaid to prevent Washington from cashing in warrants to buy stock at less than 1% of today’s stock price.
Car factories are major employers whose owners usually get states to make generous offers, LeRoy said. In Tesla’s case, incentives could include credits against Texas’ gross receipts tax that could, over time, obliterate much or all of its investment.
Car companies can also often get sales tax breaks on materials or equipment used to build and outfit their factories, he added, and governments will often build infrastructure to suit them. Texas upgraded rail facilities to nab a Toyota pickup truck plant in San Antonio, which later helped the state convince Toyota to move its U.S. headquarters to suburban Dallas from California.
“There are two ways the pandemic may play out,” for state-sponsored incentives, LeRoy said. “Some states may finally say, ‘enough, we’re looking at a fiscal cliff.’ Others will go the other way, [thinking] there aren’t going to be many big expansions available so we’d better come loaded for bear.”
Tesla could also make back its capital spend on lower operating costs, said Calandra Cruickshank, CEO of Statebook, a data provider to economic development organizations and private companies. Depending on how many jobs move, the company could capture hundreds of millions of dollars of operating savings, with big savings on production workers, who are 25% more expensive in Oakland than Austin, and electricity costs half as high, she said in an analysis provided to CNBC.com.
“If 10,000 employees moved and the company saved $25,000 per worker in payroll and benefit costs (which is not unreasonable given there’s zero personal income tax in Texas and in most places a lower cost of living), that alone would be $250 million a year year in savings, exclusive of any government subsidies,” said Mike Grella, former economic development director for Amazon.com, who is now head of consulting firm Grella Partnership Strategies.
Stock analysts think Musk is probably bluffing. Ives thinks that, if Musk is serious, the factory is likelier to move than the headquarters, partly because of the difficulty of replacing the white-collar workers at Tesla’s Palo Alto headquarters..
While Governor Newsom doesn’t think Tesla’s going anywhere soon as a corporation, Ives said given the high cost of manufacturing in northern California, he sees a business case.
“Texas gives them a significantly shorter supply chain,” Ives said. That includes proximity to other auto plants, such as Toyota’s pickup plant in San Antonio, and car manufacturing operations throughout the southern U.S. that rely on more closely located industry suppliers, from Mexico and elsewhere, as well as stronger transportation network links. “The cost per vehicle could go down by 10% to 25%. The writing is on the wall that they are going to do more production in another U.S. facility,” he said.
Nelson thinks moving corporate would make more sense than auto manufacturing, mainly because of the cost to move a huge manufacturing facility or construct a new one, as well as productivity impacts, since Tesla may lose a number of trained workers in the process because workers and their families may not be willing to move. “We think Tesla will instead focus on building new factories in Germany and the U.S., and not tinker with disrupting operations at the plant which accounts for over 70% of their current vehicle production capacity,” Nelson said.

Residents of northern California won’t have to worry about prisoners escaping from the Alameda County’s Santa Rita Jail in the event of a major earthquake. This “mega-jail” has its own microgrid that is being optimized by scientists from the Berkeley Lab using software they developed called DER-CAM.
When the next “big one” hits northern California, chances are good that the power will be knocked out across large swaths of the Bay Area. But one place that is likely to stand unaffected is Alameda County’s Santa Rita Jail in Dublin, California, the third largest jail in the state and fifth largest in the country. If all goes according to plan, this “mega-jail,” housing about 4,000 inmates, will seamlessly disconnect itself from the electric grid and switch over to its own microgrid, powering itself for the duration.
Scientists at the Department of Energy’s Lawrence Berkeley National Laboratory (Berkeley Lab) are using software they developed called DER-CAM (Distributed Energy Resources-Customer Adoption Model), which looks at electricity and heat requirements, to help analyze and develop an optimal plan for the Jail to meet its needs at minimum cost.
“Microgrids have several promising advantages,” said Berkeley Lab scientist Chris Marnay. “Number one is that they can be tailored to local requirements, so in the case of the jail, the microgrid can help them achieve the extreme reliability their mission demands.”

This demonstration project—led by Chevron Energy Solutions and funded in part by a $6.9 million grant from the Department of Energy with additional funding from the California Energy Commission, the California Public Utilities Commission and others—is aimed at modernizing the nation’s electricity grid. Berkeley Lab is collaborating with a number of additional entities on the project, including Alameda County, Pacific Gas & Electric, the University of Wisconsin, and the National Renewable Energy Laboratory. The microgrid at the jail became operational at the end of the last year and is to be unveiled on March 22.
As Hurricane Irene and other natural disasters have shown, blackouts can cause severe disruptions and major financi inhandnetworks al losses. “Without power you don’t have phones, transportation, water treatment and so on. And without communications other things don’t work,” said Marnay, who leads the jail project for Berkeley Lab. “The motivation for doing localized generation is in part to survive outages and improve local power quality.”
The Santa Rita Jail has intensive electricity needs, with peak demand reaching about 3.0 megawatts (MW), so energy efficiency has long been part of the Jail’s strategy. Various energy efficiency measures over the past 20 years have effectively lowered the jail’s electrical needs by 40 percent. To lower its reliance on the grid, the jail boasts a 1.2-MW rooftop solar system (which was the largest in the U.S. when installed in 2002), a 1-MW molten carbonate fuel cell, and five small wind generators.
The microgrid’s newly installed 2-MW lithium ferrous phosphate battery can carry the load during a power outage without turning on backup generators. During long outages, when the battery’s storage is depleted, the microgrid will turn on the generators at full speed, and effectively power the jail and simultaneously charge the batteries.
The DER-CAM software was used to come up with an optimal schedule for charging and discharging the battery so as to minimize costs. Based on this analysis and other research, DER-CAM is already being used to directly control the large solar thermal system in the Mechanical Engineering Building on the University of New Mexico campus. The same approach has also been selected by the U.S. Department of Defense to optimize charging of a fleet of plug-in electric vehicles to be deployed at the Los Angeles Air Force Base.
“We are excited to be hosting one of the first-of-its-kind, large-scale microgrids,” said Matt Muniz, Alameda County’s Energy Program Manager. “We believe that this demonstration project will successfully exhibit the numerous advantages of microgrids and will be a model for both public agencies and private companies to emulate.”
The batteries are also used to provide energy storage, allowing the jail to buy electric wastewater treatment ity during less expensive off-peak times and minimize the jail’s energy consumption during the peak periods in the summer. When the fuel cell, solar panels, and wind turbines are operating, they will be integrated by the microgrid to maximize their utilization in powering the jail.
The technology that allows the microgrid to seamlessly disconnect itself from the grid and function as an island and then reconnect is the CERTS Microgrid, which was developed by the Consortium for Electric Reliability Technology Solutions at the University of Wisconsin under a decade-long research program managed by Berkeley Lab.
In future work funded by the California Energy Commission, Berkeley Lab’s Demand Response Research Center will explore options for the jail to control its loads to further lower costs and potentially provide support to the grid.
Of course, the microgrid can also function when it’s connected to the grid, allowing the Jail to reduce its electricity bill as well as lowering the load on the local electricity distribution network. “Part of this grant is to demonstrate the ability to lower the electrical load on the neighboring PG&E feeder, which is the part of the of the electricity distribution system from the substation to the meter,” Marnay said. “So the Jail can coordinate with nearby loads such that the overall peak load on that feeder is reduced, which is another way of saying that it provides a big financial benefit to the utility because it postpones them having to upgrade their equipment to increase capacity.”
Besides reliability, microgrids offer several other advantages. One is that they can be tailored to take advantage of local resources, such as the sun or wind. Integrating small and uncontrollable renewables into our legacy grid is tricky because of the requirement that supply and demand must constantly be in balance while these resources vary continuously.
“This thinking leads to the most controversial advantage, by far, which is that we may be able to live with a less reliable grid because highly sensitive loads, such as the Jail, are served in a more localized fashion,” Marnay said. “To me, that’s where the huge advantage lies, in unshackling the traditional grid. With our current system, the grid has no feasible way to differentiate and prioritize between a recharging iPhone and hospital life-saving equipment.”
Along with hospitals and university campuses, another sector very interested in microgrids is the military, for which energy security and reliability are paramount. Earlier last year, DOE announced new steps to enhance cooperation with the Department of Defense (DOD) on clean energy and energy security, including cost effective energy storage. Marnay’s next bi wireless m2m g project at the Los Angeles Air Force Base is only one of several current and planned DOD microgrid demonstrations.

According to the San Francisco Chronicle, the Oakland City Council has “authorized a multimillion-dollar antitrust lawsuit against the NFL and the Raiders over the team’s impending move to Las Vegas.” Team executives have already stated that they will not sign any future lease agreement at the aging Oakland-Alameda County Coliseum should the lawsuit be filed. The lawsuit “will likely seek millions of dollars in damages for the team’s exit” to Las Vegas; Oakland Councilman Noel Gallo noted that the lawsuit could result in up to $500 million in damages being paid out by the NFL and the Raiders. The franchise is currently under a year-to-year lease with the Coliseum Authority, but is in a temporary bind pending the construction of its new stadium in Nevada. One possible alternative to staying in Oakland any longer could be playing home games at the San Francisco 49ers’ Levi’s Stadium, though Owner Mark Davis “can’t stand Levi’s Stadium.” Regardless of where the Raiders play next year, Oakland fans no doubt wish one Raiders fixture still called the Bay Area home: star pass rusher Khalil Mack, just dealt to the Chicago Bears for $141 million.
Despite failing to break back into the NFL, former San Francisco 49ers quarterback Colin Kaepernick is the new face of Nike’s 30th anniversary “Just Do It” campaign. According to the New York Times, Kaepernick recently signed a new, multiyear deal with Nike as his previous one, signed back in 2011, was about to expire. Instead of dropping him from the company payroll, Nike re-signed the former NFLer, made him the star of the new campaign, and donated money to his “Know Your Rights” campaign. Nike elected to do so as a way to give the politically-outspoken icon a “larger platform”; his message of standing up for what he believes in still resonates with athletes and fans all around the country. The first ad shows a close-up black and white photo of his face and reads: “Believes in something. Even if it means sacrificing everything.” Since tweeting the photo on his account, the campaign has generated at least $43 million in free advertising for Nike. Research conducted by Edison Trends has also revealed that Nike’s online sales surged 31% Sunday-Tuesday – a noteworthy measure for any campaign.
A recent report from Nielsen boldly states that a fully mature U.S. sports gambling market could be worth as much as $2.3 billion to the NFL. The Arizona Cardinals have a new naming rights sponsor: State Farm. According to SportsBusiness Journal, the Cardinals have signed State Farm to an 18-year deal, replacing the University of Phoenix as the stadium’s title sponsor. The value of State Farm’s new deal has not yet been disclosed, though the University of Phoenix was paying between $8-9 million per year since signing on in 2006. News of this deal comes less than a week after the Atlanta Hawks announced State Farm as their new naming rights partner, changing from Philips Arena to State Farm Arena for this coming season. The 20-year deal is reportedly worth $175 million over its lifetime, making it the fifth-largest naming rights deal in the NBA currently. “We think these give a far broader audience than we’ve ever had,” commented State Farm Exec Vice President and Chief Agency Sales & Marketing Officer Rand Harbert on the two deals. “In both cities, these will help us to connect, and not only fly the brand flag, but to do good.” Now, the 0-1 Cardinals need to win a few games before State Farm changes its mind.
