Mariah Carey: Top 10 Most Iconic Songs
To celebrate the holiday season, which has really become the season of Mariah Carey this year, and “#All I Want For Christmas Is You” finally becoming a #1 single, I am sharing with you my “Top” lists of MC songs every Monday and Tuesday up until the 25th. For example, we’re going to start things off with the Top 10 Most Iconic Mariah Carey songs; on Tuesday, we’ll look at remixes. All songs mentioned these lists can be found on streaming services (e.g. Spotify and Apple Music). That means deep, deep cuts like “Slipping Away” off the B-side of the “Always Be My Baby” single, and “Help Me Make It (Through the Night)”, Mariah’s cover of a country song, which aren’t available, aren’t included. To explore the most iconic MC songs, we have to look at streaming numbers (based on Spotify data, accurate as of Dec. 2019), MV views (based on YouTube data, accurate as of Dec. 2019), appearances on concert set lists, but also it’s prevalence outside of the Mariah fan base. “Butterfly” is an iconic ballad within the fan base, but pales compared to another empowering song like “Hero”, which non-MC fans most likely know even if they hate Mariah.

10. “My All” Butterfly

“My All” makes its way into almost all of MC’s concert set lists since its release in 1997, appearing most recently in Mariah’s Caution World Tour. In this way, it gathers a lot more exposure than some of her other #1’s, such as “Dreamlover” or “Honey”. Despite its relatively low number of streams compared to other songs on this list, the number of views for the main music video is actually placed sixth on this list, and for good reason. The MV for “My All” is arguably the most artistic of MC’s catalogue, if not at least the steamiest. The video is in black-and-white, and features Mariah Carey floating on water with cutscenes of some hot model. The song appeals to a more specific audience, mainly adults, but the incorporation of Latin guitars will evoke a certain headiness seen only in a handful of Mariah songs.
9. “Vision of Love” Mariah Carey

This may be confusing; overall, “Vision of Love” received the least views and least streams of any of the songs listed here. Why is it not last on the list? Unlike “My All”, this song is one for the entire family. Don’t believe me? Many popular artists of the 2000s cited this song as their inspiration, including the great Beyoncé. Besides the complex runs, which becomes more complex in the live version, “Vision of Love” is a peer into Mariah’s vocal range, from her lows (E♭3) to a signature whistle note (C7), and a blend of genres, including pop, R&B and gospel. Even if it spawned a generation of over-singing vocalists, this was MC’s debut, a tour de force that inspired a new generation of singers. And thanks to its prevalence in Mariah’s concert set lists, it could very well even be inspiring this new generation.
8. “Fantasy” Daydream

“Fantasy” is a bop, and arguably the song that pushed Mariah to super stardom. Despite being nominated in six categories and controversially winning nothing on the night of the 38th Grammy Awards, Daydream cemented MC’s status in the music industry. “Fantasy” was the album’s leading track, and it became the first ever single by a female artist to debut #1 on the Billboard Hot 100 chart. It stayed there eight consecutive weeks. If the pop version isn’t iconic enough, with the music video featuring Mariah riding on a roller coaster, the remix with O.D.B. is arguably just as famous, if not more so. The “Bad Boy Fantasy Remix” introduced the featured rapper formula into mainstream music, a formula that’s practically standard in the industry nowadays.
7. “Always Be My Baby” Daydream

Yet, the numbers for "Fantasy" cannot compete with this song. A reason for this is perhaps a lack of airplay; “Fantasy” is danceable but there’s no hook.“Always Be My Baby” was the third single off the Daydream album. After breaking records with “Fantasy”, by debuting at #1, and “One Sweet Day”, for logging 16 weeks at #1, “Always Be My Baby” debuted at #2 and logged only 2 weeks at #1; however, the stats show how age has affected the song’s popularity with the MV views for “Always Be My Baby” doubling those of “Fantasy”. “Fantasy” takes more of a backseat in Mariah’s concert set lists. “One Sweet Day” almost faded into obscurity before it made a resurgence this decade when songs like “Despacito” and “Old Town Road” rivalled its chart records; it’s also made a reappearance on set lists. All of this is to illustrate that “Always Be My Baby” has always been a staple, a favourite amongst fans and the general listeners. The song has many great Mariah moments, but what really latches on and sets the ground for “Always Be My Baby” to play on is the opening “Doo doo doo”. This song does what “Fantasy” didn’t do, and that’s creating a feeling. The song and the music video is a perfect pairing. You listen to the song, and you are reminded of sitting by a firepit, reminiscing about a significant first love that’s no longer, the exact imagery that’s been replicated by the MV; this is probably why it has so many views.
6. “Touch My Body” E=MC²

“Touch My Body” is Mariah’s second-most recent #1 single of her 19 chart-toppers, and the leading single to the 2008 album E=MC². Although its release was in the middle of February, the song really transports you to an eternal summer. The song received its fair share of critiques, including more than a couple that said “Touch My Body” lacks Mariah’s 5-octave range; nonetheless, if MC’s previous album, The Emancipation of Mimi, was MC’s comeback, this single solidified her status as 'the diva' with a new decade of listeners. It’ll be wrong to think, however, that Mariah wasn’t in on all the fun as well, and this is why the MV has its views. The music video is a fantasy sequence of Mariah flirting with Jack McBrayer in a mansion. After her comeback, this was Mariah’s way of going back to doing something that defied the critic’s expectations. With The Emancipation of Mimi, she proved that she still got it — the range, the ability to write hits, the star power; "Touch My Body” brings back the Mariah we have come to love in the past decade — the extravagance, the luxury, the seeming aloofness. For a moment, “Touch My Body” captures MC having fun, and the simple structure of this song reflects that.
5. “Obsessed” Memoirs of an Imperfect Angel

“Obsessed” gained new life this year, ten years after its initial release in 2009, with the #Obsessed challenge on TikTok. Teens were creating choreography for this song, and simultaneously propelling Mariah to becoming Queen of Memes, one of MC’s many titles. The opening to “Obsessed” breathes new life into a line borrowed from one of Mariah’s favourite movies, Mean Girls, “Why are you so obsessed with me?” This line, along with “I don’t know her”, has its place in meme culture. Besides its relevance to a new generation, its iconicity can also be contributed to the fact that it's a high profile diss track that attacks Eminem’s harassment, but it’s pop, not rap. Its conception introduced a new generation of pop artists to using their tracks as a way to call-out others. “Obsessed” resurfaces perennially when Eminem decides that his almost-two-decade old alleged fling with MC somehow deserves another mention. Maybe she’s the best thing to have happened to Eminem? Lyrically, “Obsessed” is one of Mariah’s sharpest, with her directly calling out Eminem’s desire to make something out of nothing; see: “you hatin' hard/Ain’t goin' feed you, I'm a let you starve/Graspin’ for air, and I'm ventilation/You out of breath, hope you ain't waitin’.”

“We Belong Together” is Mariah’s comeback track. Regardless of whether she knew this song would make it big when she was writing it, this song would live on in the history books as the song that told skeptics that Mariah ain’t going anywhere. “We Belong Together” is very stripped down — it’s Mariah singing on top of a piano and a beat, then Mariah singing on top of herself in the chorus. For a song about unrequited love, which Mariah usually packages as being more upbeat than it should be (see: “Always Be My Baby” or “All I Want For Christmas Is You”), “We Belong Together” is incredibly visceral. It’s a sad song and it shows, and somehow Mariah communicates the frustration and swirling of emotions so well that you might even tear up by the end when she holds that fifteen-second note. The other unique thing about this song is that she sings the lyrics as if it’s a rap, very reminiscent of her earlier hip-hop inspired tracks like “Breakdown” ft. Bone Thugs-n-Harmony, an overlooked fan favourite. Try singing it without ever practising, and you’ll find that MC placed words in a very specific rhythm. This song also introduced the ‘Mariah-ballad structure’, a formula that she continues to follow for many of her ballads: It consists of an absent bridge with a belted last chorus that takes its place. And as for the MV, Mariah elopes with a lover in a car while wearing the same Vera Wang wedding dress she wore at her real-life marriage is as iconic as it gets.

There’s a reason “We Belong Together” didn’t crack the Top 3: It’s strictly a song about unrequited love. Mariah, alone, has quite a few of those in her catalogue. And there’s only oh-so-many occasions in which to bring back this song unless it’s already part of your daily repertoire. If Minnie Riperton’s “Lovin’ You” takes first place for the most iconic use of whistle notes in a pop song, “Emotions” no doubt takes second; however “Emotions” has to take first for inspiring every pop singer and their grandmas to use whistle notes, from Christina Aguilera and Leona Lewis to Ariana Grande and Tori Kelly. Yes, “Emotions” is a love song, similar to “We Belong Together”, but it’s also a learning tool for many aspiring pop and R&B singers — this song is a resource. It’s like learning music theory and referring back to Mozart and Beethoven. “Emotions” contains those whistle notes, all the up to an E7, but it also contains low notes (several C3s), high belts (F5s and G5s), head notes (the “You” in G5), repetitive phrasing from C5 - E5, a couple of sustained E5 belts, and melismas. In the live versions, you really get to observe MC’s stamina as we goes through the song with ease. And if you compile all of the live versions of “Emotions”, Mariah demonstrates five full octaves from B2 to B7. Simply put, “Emotions” is an encyclopedia of vocal virtuosity for rising and seasoned singers.

There’s a thing about “Emotions”, and it’s best if I told you through an anecdote: I played this song in a classroom once, and one of the 5-year olds asked why she [Mariah] was screaming in the song. Blasphemous, I know. Arguably though, the whistle notes are more well-known than the actual song itself. But “Hero” is one of those instances where you know the song, even though you don’t think you do. Just listen to those opening piano notes; flashes of the entire song will surely follow. Not surprisingly, this is the first ever MC song I’ve ever heard; I heard it when I was seven because we had to perform an ASL version of it, but I didn’t know it was Mariah at the time. I didn’t know until possibly a decade later when I thought back on the signs, and the lyrics “And a hero comes along” popped into mind. Obviously, this list is tinged by my own biases; however, “Hero”, this song about loving yourself, and finding that hero within yourself, is special, not only to the fan base, but to anyone who needs a pick-me-up, even if they’re not Mariah fans. It’s radio-friendly; it’s singing competition-friendly (it only goes up to an E5, a mid-belt for Mariah; for reference Idina Menzel goes up to E♭5 in “Let It Go” and “Into the Unknown”); it’s graduation-friendly; and it’s concert-friendly, considering Mariah almost always ends her concert with “Hero”. It’s a sappy song, one that Mariah initially didn’t like, but she explains that she sings it every time because you never know who might need it.

Perhaps you can avoid unrequited love, high notes, and graduations, but in North America, can you really avoid winter? With winter comes holiday season comes Mariah Carey, Queen of Christmas comes “All I Want For Christmas Is You”. Released in 1994, this song has finally reached #1 on the Billboards Hot 100 after 25 years. MC released a handful of versions, including a re-recorded, Disney-sounding version in 2010, and another with Justin Bieber in 2011, but let’s make it clear that the version that makes a resurgence every year, and that we all hear on the radio, is none other than the original 1994 recording. The original recording which was never released as a single was not allowed to chart in ‘94, but ever since Billboard updated its rules to allow songs to re-chart in the Top 50 in 2012, “All I Want For Christmas Is You” has made a reappearance every year. It broke into the Top 10 for the first time in 2017, then the Top 5 in 2018. It’s hard to best something when it’s already so close to perfection, if not perfect. “All I Want For Christmas Is You” is such a definitive holiday-pop standard that it’s been broken down into a two-part formula. The formula finds it’s way into many of the new released Christmas songs hoping to make it big, which in some ways are their downfall because it sounds disingenuous, particularly in a season where sentimentality drives sincerity, or at least the façade of it. This two-part formula that it has inspired includes: (A) Wrapping up a unrequited love song to sound like an upbeat Christmas song; and (B) The “Wall of Sound” sound originally created by Phil Spector, which includes a underlying chorus line, a strong accompaniment, and the use of symphonic instruments. You’ll find at least one, if not both, pieces of the formula, whether it’s intentional or not, in recent holiday songs such as “Mistletoe”, “Underneath the Tree”, “One More Sleep”, “Santa Tell Me”, and even “Christmas Tree Farm”. Walter Afanasieff, the co-writer of this song, said, “Back then, you didn’t have a lot of artists with Christmas albums,” and with that he meant in the ‘80s and ‘90s, rising stars didn’t record an entire studio album's worth of Christmas songs. Whitney didn’t have one yet, Madonna didn’t have one (and still continues not to have one), Michael stopped doing them when he recorded under Epic Records in 1979; and y’alls are probably thinking of Wham!’s “Last Christmas”, but that was a single. Despite Mariah initially not wanting to do a Christmas album, and as pessimistic as this may sound, Merry Christmas has re-introduced the lucrative Christmas song business to pop singers.
We may remember this decade’s Mariah — a diva with shaky performances, but this two-dimensional image erases the gut-wrenching, tear-jerking efforts she put into the two previous decades. MC was a trailblazer, and continues to be one as you will see in the upcoming lists. To say that Mariah leans only on past achievements, and relies too heavily on titles like “Queen of Christmas” or “Queen of Memes” diminishes the fact that the upkeep of the legacy she’s built for herself requires time and hard work.

The spike in sex toy sales, rise of OnlyFans, and normalization of masturbation as part of everyday health and wellness were some of the only good things to come from the pandemic (pun intended). But, if you've felt a weird sense of FOMO for missing out on these alleged COVID-inspired boons in sexual exploration and acceptance, you're not alone.
At CES 2021 this week, sextech company Lioness released a new exploratory study analyzing an in-depth dataset capturing how people's sex lives and drives were impacted by the pandemic. The data, which compares participants' habits from 2019 versus 2020, includes everything from how often participants masturbated to how long it took to orgasm. The main takeaway? 2020 might not have been the free-for-all cum fest all those trends implied.

Since stay-at-home orders began in late March, retailers and toy companies — particularly those selling internet-connected sextech like We-Vibe, Ohmibod, and Satisfyer — reported skyrocketing numbers, with toys flying off virtual shelves. Faced with indefinite alone time and the risks of pandemic dating, folks rushed to do the responsible thing by turning to self-pleasure, with a particular focus on toys boasting high-tech features like virtual sex with long-distance partners. The explosion of sextech during the pandemic is undeniable, with tech market forecaster Juniper Research predicting that the already multi-billion-dollar industry would see an accelerated 87 percent spike in global adoption of these digital-savvy pleasure devices in 2020.
But assuming that this spike, coupled with more time at home, automatically translated into a wave of reinvigorated, pandemic-fueled masturbation remains to be substantiated. Actually, the new study, which is based on user data gathered by Lioness' biofeedback-tracking smart vibrator, found potential evidence of the exact opposite conclusion too.
Lioness CEO Liz Klinger, who created the high-tech vibrator designed to help people explore their sexuality through data, said she, "got the sense that things were clearly changing a lot for people [sexually during the pandemic]. And we wanted to dig in and understand what was going on." The Lioness team's hypothesis was that folks' sex lives in 2020 were probably a lot more complicated than that increase in toy sales suggested.
Conducted through Lionness' Sex Research Platform (which launched last year), the study was done in partnership with the Center for Genital Health & Education, and credits Dr. Natasha Aduloju-Ajijola (a research fellow with a Ph.D. in health education and promotion) with the data analysis. Pooling from the aggregated, anonymized data of 1,879 Lioness users who opted into participation, it analyzed their arousal responses during approximately 40,000 sessions with the smart vibrator between 2019 and 2020.
The study found, "convincing evidence of a significant drop-off in masturbation frequency as the year wore on when compared to [those same users'] masturbation frequency back in 2019," according to the toy company's blog post on the study. Overall, there was a roughly 9 percent month-to-month drop in sessions from last year. While the holiday season in 2019 saw an increase in masturbation frequency, the most significant decline in 2020 happened in those same final months of the year, with November's use dropping more than 37 percent.
November, if you'll remember, not only brought a devastating (ongoing) spike in COVID cases, but also kicked off the gloomiest social-distanced holiday season ever — on top of also coinciding with one of the most stressful elections in recent American history. To be clear, the data in this study can't prove causality, since it's entirely possible participants simply used the Lioness less frequently while masturbating the same amount by other means.
That being said, on an anecdotal level, it's not hard to imagine why lots of folks weren't feeling especially horned up in the final months of 2020.

In a separate survey of Lioness users (who were not necessarily the same ones who offered their physiological data), 235 participants answered questions on their sex lives in 2020. Almost 80 percent reported changes in masturbation frequency from 2019, and 76 percent said the same for partnered sex.
A few commonalities emerged in participants' self-reported reasons for why they'd experienced decreases or increases in libido during the pandemic.
Those who reported less sexual interest and activity (whether partnered or solo) pointed to struggles with self-care, with one quoted participant saying:
“I did purchase several new toys this year however I think overall I masturbated less. I don’t know what maybe it was cause my sleep schedule was off some months then my depression kicked up a little and I just wasn’t interested.”
Others spoke to the impacts of anxiety and stress, less time for privacy due to family members or roommates being home all the time, decreases in self-esteem and feeling less attractive (one surveyor said pandemic-related weight gain inhibited their sex drive), or loss of a loved one.
What both the survey and physiological data really reveal, though, is just how normal it was for folks to have polar opposite sexual responses to the collective traumas of the pandemic.
On the other side of the coin, the survey respondents who reported increased interest in masturbation frequency cited reasons such as: more time at home, being unable to visit long-distance partners, having partners who experienced lower sex drives, being single and the difficulties of pandemic dating, and needing the mood-boost and stress-relief of sexual gratification.
The more granular physiological user data paints an even more complex picture of the unexpected ways COVID-19 changed their sex lives and pleasure experiences, though.

For example, the average duration of sessions with the Lioness decreased by 20 seconds between February 2020 and April 2020 (so, in other words, the period when many of us were adjusting from the before-times and into pandemic life). Meanwhile, sessions increased by 30 seconds between July 2020 and November 2020 (which correspond to U. S. COVID spikes).
It's impossible to make any sound assumptions about what those time discrepancies actually mean about a users' sexual experience during said session, though. Longer time spent using the vibrator could mean anything from increased difficulty in reaching orgasm or a deliberately slower build (aka edging) in order to achieve a more powerful orgasm.
The best judge for whether users enjoyed themselves less or more during these sessions comes down to the person's own subjective experience. Since Lioness allows users to rate each of their sessions on a scale of 1 to 5, the study reports that the common session score went up from 4/5 in 2019, to a perfect 5/5 in 2020.
So, it's safe to say that, while users may have masturbated less overall, when they did get off the results appear to have delivered above-average satisfaction.

The Lioness COVID study is first-of-its-kind sex research, with Lioness describing it as the "type of data and techniques mid-20th century researchers like Masters and Johnson dreamed of having." Unlike all other sex research gathered in a lab setting, the kind of data the Lioness platform can gather meets subjects in the natural habitat of their own bedrooms, Klinger said. But the study also makes clear that, "This is an exploratory study with retrospective data — which can't prove causality."
There's a lot of variables and unknowns that call the scientific rigor of this type of study into question. For example, because the data is anonymized to protect user privacy, researchers cannot know key information about participants like gender, age, race, or socioeconomic background. Without that, one cannot claim the study is at all representative of the larger population. It's reflective only of this subset of people who own a Lioness.
This exploratory study should be seen as a flawed but intriguing real-time snapshot of an extraordinary moment in human sexuality.
At the same time, Klinger also questioned whether the same can't be said for a lot of sex research done in labs, which often disproportionately rely on college students as subjects — specifically, college students who are comfortable performing sex acts in a clinical setting while researchers observe.
The potential benefits of sex research that isn't confined to a laboratory environment are obvious. But they come at the cost of a whole host of variables you can't control, account for, or recreate — all things which are essential to legitimate scientific research. There's an infinite number of explanations for why Lioness users had fewer sessions with their smart vibrator in 2020 — perhaps they contributed to the aforementioned spike in sales for other sex toys and used those instead.
What this exploratory study should be seen as is a flawed but intriguing real-time snapshot of an extraordinary moment in human sexuality — nothing more and nothing less.
As with everything related to COVID, it will be years before we can claim anything definitive about the pandemic's effects on us. At the same time, what this Lioness data does validate is that, no matter how the pandemic impacted your libido — whether it turned you into a sex hermit or a sex monster or anything in between — all of it is totally normal.
That's what Klinger believes is one of the benefits for users who opt into the research platform. "It's beneficial to the researchers for data, but it's also a way for users to learn more about themselves by participating and seeing some of the results from the findings."

Klinger said her team is also working on ways to make the $200 devices more accessible, through potential grants — though getting a sex toy qualified as a medical device presents its own set of problems. If you're interested, you may want to wait to get the second generation of the Lioness, which is supposed to come out soon.
We've been in isolation for so long that it's a comfort to just to be reminded that none of us are alone in our reactions to these unprecedented circumstances. You're not a sex freak or sexually broken after all, and Lioness has got the data to prove it.
What's inarguable is that COVID-19 changed a lot of people's sex lives. And it's OK to take your time in understanding how or why.

Craigslist Denied Section 230 Immunity for Classified Ads from 2008–ML v. Craigslist
FOSTA always targeted Backpage; but with Backpage gone before FOSTA became law, it seemed inevitable that plaintiffs would eventually figure out how to deploy FOSTA against other targets. Yet, if you’d asked me to name a top 100 list of alternative targets, Craigslist would not have made my list. After all, Craigslist famously shut down its adult category a decade ago (in 2010), which gave rise to Backpage; plus Craigslist responded to FOSTA by shutting down its entire personals category (and nuking lots of completely legal speech in the process). Surely those moves put Craigslist in the clear, right?
Nope. This judge says that (even without FOSTA) Craigslist does not fully qualify for Section 230 based on third-party ads ran in 2008. This mind-blowing conclusion suggests that plaintiffs could have potentially successfully sued Craigslist a dozen years ago (but didn’t), and that plaintiffs never needed FOSTA to sue either Craigslist or Backpage. Yet here we are, adjudicating the legitimacy of Craigslist’s conduct from a dozen years ago, without full Section 230 cover.
This case is also one of the first cases to apply the new FOSTA claims that bypass Section 230, but the case doesn’t provide much insight on that claim for technical reasons. Still, if the Section 230 door is now open against Craigslist, who needs FOSTA???
The Magistrate’s Report
Statute of Limitations
The plaintiff was allegedly advertised on Craigslist in 2007 and 2008. That makes it seem like this case should have an obvious statute of limitations problem. However, the applicable statute of limitations is tolled until the victim reaches age 18, which happened in 2009; and it can be further tolled for other reasons that could (but probably don’t) apply here. The magistrate says that the statute of limitations is an affirmative defense, so the plaintiff didn’t have to allege tolling to survive the motion to dismiss. Nevertheless, the magistrate instead wants to see an early summary judgment motion on this topic. This case may end then.
Section 230 and FOSTA
The magistrate says that FOSTA excluded 1595 claims from Section 230, but not state law claims, which are still preempted by Section 230. This is a pretty straightforward reading of the statute, but I think it’s the first court to actually say this.
This means Section 230 still nominally applies to the plaintiff’s non-1595 claims. Thus, the court runs through the standard Section 230 three-part test:
1) ICS provider/user. Craigslist counts as a website.
2) Publisher/speaker claim. The magistrate says that complaint sufficiently alleged that Craigslist materially contributed to the illegality of the ads because
plaintiff is alleging that craigslist provided the guidelines to facilitate and promote the trafficker’s illegal activity. Further, plaintiff alleges that there was a relationship between craigslist and the traffickers by which craigslist actively facilitated and induced the content underlying the plaintiff’s cause of action…. the amended complaint alleges sufficient facts to plausibly state a claim that craigslist was a content creator, not merely a publisher of third party created content. Therefore, as to plaintiff’s allegations that craigslist actively participated in creating content and inducing others to create illegal content, craigslist is not entitled to CDA immunity from plaintiff’s state law claims
What? What are these “guidelines” that the court says converted the ads from third-party content to first-party content? The complaint provides no details about the “guidelines,” other than the fact that the applicable paragraphs also reference Craigslist’s TOU and its “requirements,” without providing any further detail about those, either. If the “guidelines” are simply Craigslist’s standard editorial and technical policies for advertising generally, and do not relate directly to the illegality at issue in this case, then they can’t possibly constitute a material contribution to the ads’ alleged illegality. Because the magistrate didn’t probe the plaintiff’s factual allegations at all, the magistrate deferred too much to the plaintiff’s vague pleadings. Instead, the magistrate should have: (1) required the plaintiff to provide some details about the guidelines; (2) acknowledged that every 230-immunized website has “guidelines” for third party content; (3) distinguished Craigslist’s guidelines from those other guidelines; and (4) required the plaintiff to explain how the guidelines contributed to or induced the illegal content. By not scrutinizing the plaintiff’s asserted facts, the magistrate basically rubber-stamps the plaintiff into discovery.
Compounding this lackadaisical review, the magistrate misapplies the Roommates.com standard. The Roommates.com standard isn’t whether the defendant “actively facilitated and induced” the third-party content. Every UGC service satisfies that standard. Facilitating and inducing third-party content is their raison d’etre. Instead, the applicable standard is whether the defendant facilitated/induced *illegal* content. The magistrate ignores the illegality requirement.
Furthermore, despite relying on the Roommates.com en banc decision, the magistrate overlooked FN33 of that decision discussing the 7th Circuit’s Craigslist case (emphasis added):
the Seventh Circuit held the online classified website craigslist immune from liability for discriminatory housing advertisements submitted by users. Craigslist’s service works very much like the “Additional Comments” section of Roommate’s website, in that users are given an open text prompt in which to enter any description of the rental property without any structure imposed on their content or any requirement to enter discriminatory information: “Nothing in the service craigslist offers induces anyone to post any particular listing or express a preference for discrimination”
So the Ninth Circuit has already indicated that Craigslist qualifies for Section 230 because it doesn’t structure the content or require the input of illegal content. It would have been fair for the magistrate to distinguish this discussion by showing that the facts were different with respect to sex trafficking ads compared to discriminatory housing ads. That’s not what the magistrate did–even as it relied on the opinion to support a contrary conclusion.
Finally, it’s anomalous to discuss Craigslist as a content creator under the publisher/speaker claims prong rather than the ICP prong (discussed below). The magistrate seemingly misunderstood this factor.
The Section 230 news isn’t all bad for Craigslist. The magistrate adds that:
if any of plaintiff’s state law claims are based on allegations that seek to hold craigslist liable solely for failing to remove third party content that is illegal, this conduct would fall within Section 230, and craigslist may have immunity for this alleged conduct as the functions of a publisher. Finally, simply allowing users to post anonymously without more is conduct for which craigslist would be immune under Section 230.
So the plaintiff’s pleadaround to Section 230 won’t necessarily lead to a final victory. The plaintiff has to show that Craigslist’s guidelines (whatever those are) induced or materially contributed to the third-party ads’ illegality. Given how Craigslist operated, I’m extremely skeptical that the facts support this legal standard.
3) Provided by another information content provider. Everyone agrees the ads came from third parties.
Because the plaintiff was able to plead around Section 230 on the motion to dismiss, the court then evaluates the merits of each state law claim individually.
Negligence. The magistrate says that Craigslist does not have “a general duty to ensure that their website does not endanger minors.” There is also not a statutory duty; 1595 does not say that “a website or company must take the affirmative step to ensure that third parties are not using their websites for sex trafficking.” Plus, that would ensnare the claim in the Section 230 immunity that the magistrate recognized.
Outrage (a/k/a IIED). The magistrate rejects Craigslist’s argument that its “conduct consisted of providing a neutral platform for people to post and search content on the internet.” Instead, the complaint alleges “a relationship between craigslist and the traffickers by which craigslist actively facilitated and induced advertisements trafficking plaintiff,” and that’s enough to survive the motion to dismiss. How often do you see an IIED claim survive a motion to dismiss, especially for a UGC service defendant like Craigslist? Amazing.
“Criminal Profiteering.” This claim also survives because:
plaintiff’s complaint alleges that the traffickers contracted and conspired with craigslist to promote the illegal advertisements selling plaintiff and evade law enforcement. And, plaintiff alleges that craigslist received fees for each advertisement. Plaintiff also alleges that the traffickers who were allegedly part of this relationship were prosecuted for trafficking plaintiff through craigslist for commercial prostitution.
Amazing.
“Sexual Exploitation of Children Act.” The magistrate says there’s no private right of action, but the act permits attorneys’ fees and costs, so the claim should survive to that extent if the plaintiff navigates through several hoops. I’m not familiar with this state law claim, but the magistrate apparently breaks new ground here.
Vicarious Liability. This is not an independent claim.
Unjust Enrichment. The plaintiff never entered into a contract with Craigslist.
Civil Conspiracy. This claim survives because:
plaintiff’s amended complaint alleges sufficient facts to plausibly state viable claims under federal and state law against craigslist. Additionally, plaintiff’s complaint alleges an agreement existed between craigslist and the traffickers to promote the illegal advertisements by which plaintiff was sold as a sexual slave and by which the defendants as well as individual sex traffickers and sex purchasers evaded law enforcement. Plaintiff’s complaint also alleges that craigslist developed features and guidelines so that the traffickers could continue to achieve their illegal means while evading law enforcement.
18 USC 1595. This is the new claim enabled by FOSTA. The 1595 claim survives because:
Plaintiff is alleging that craigslist knew that human trafficking was occurring on its website and that plaintiff was being trafficked on the craigslist website. Plaintiff also alleges that craigslist received benefits in the form of the fees paid by the traffickers and from the increase in website usage by the prospective purchasers of plaintiff. Next, the complaint alleges that craigslist not only knew that human trafficking was occurring on its website, but that craigslist was part of an active conspiracy with plaintiff’s traffickers to traffic plaintiff. The complaint alleges that craigslist was a participant in this venture and knew or should have known that the venture was engaged in trafficking plaintiff.
However, the 1595 claim only applies to activity after December 23, 2008, which a key statutory amendment took effect. The complaint alleges that the ads ran in 2007-2008 without being more specific. Unless the ads ran in the last 8 days of 2008, it appears that the 1595 claim should fail.
Implications
What’s Next for this Case? Craigslist will surely challenge this ruling to the district court judge. It’s possible the district court judge will fix some or all of the errors. If the case gets to summary judgment, there are some potentially serious problems with the case’s facts, such as the SOL tolling, the guidelines that constituted material contribution, and the ad timing for the 1595 claim. While it’s surprising that the case survived the motion to dismiss, this ruling does not predict Craigslist’s ultimate liability.
Motion to Dismiss v. Summary Judgment. Among Section 230 litigators, there is a split of opinion about the best time to bring a Section 230 defense. Most litigators prefer to bring it on a motion to dismiss. If that works, it knocks out the claim early and prevents discovery. Other litigators prefer to bring the Section 230 defense on a summary judgment motion, even though that will almost certainly necessitate discovery.
Why wait to summary judgment? The motion to dismiss costs time and money, and it may not work. On the motion to dismiss, the court must assume the plaintiff’s fact claims as true. Some judges will scrutinize the complaint’s facts more carefully than others. However, you can see how a judge’s solicitude towards the plaintiff’s story can screw up the motion to dismiss. This magistrate assumed that the mythical “guidelines” constituted a material contribution to third-party content, but it’s almost certain that the facts won’t be able to survive summary judgment. Similarly, on summary judgment, Craigslist could have resolved the statute of limitations question, whereas the magistrate ignored it on the motion to dismiss. This ruling provides some support for the minority argument that it’s better to skip the Section 230 motion to dismiss and push for an early summary judgment motion.
This ruling reminded me some of the JS v. Village Voice case, one of the Backpage cases. Both cases involved sex trafficking ads and were litigated in Washington state (but JS was in state court, not federal court like this one). In JS, Backpage tried a Section 230 motion to dismiss and it went sideways due to the court’s deference to the plaintiff’s factual claims, producing an adverse Washington Supreme Court ruling. It’s worth noting that the Wisconsin Supreme Court trashed the JS ruling (saying it “ignored the text of the CDA, and the overwhelming majority of cases interpreting it”); but those kinds of major gaffes can occur when the court unquestioningly treats the plaintiff’s story as true.
Effect on the Woodhull Case? A constitutional challenge is pending against FOSTA in DC federal court. The fact that Craigslist might face civil liability under FOSTA doesn’t directly affect that case. However, this ruling highlights how FOSTA can potentially impose liability on run-of-the-mill online classified ad sites. That should heighten the First Amendment concerns about FOSTA’s reach into constitutionally protected publishing.
Was FOSTA Necessary? The magistrate assumes that Section 230 can preempt to the state law claims, but it doesn’t categorically preempt them based on the plaintiff’s allegations. This kind of decision is maddening because, as in the 2018 Doe 1 and Florida Abolitionists cases, it was clear before FOSTA became law that sex trafficking plaintiffs could plead around Section 230. If so, why was FOSTA necessary?
The Future of FOSTA Litigation. Because this case involves such old facts, this magistrate doesn’t do much with the 1595 claim, which is newly excluded from Section 230 by FOSTA. Other cases will have more plaintiff-favorable facts, so this ruling doesn’t provide a good preview of the 1595 issue.
Having said that, this ruling is troubling for the entire Internet industry. Craigslist is one of the most “passive” and unstructured websites in the industry. If they can be viewed as being in league with sex trafficking criminals, then more “active” and structured services will be even more vulnerable to litigation.

Craigslist Denied Section 230 Immunity for Classified Ads from 2008–ML v. Craigslist
FOSTA always targeted Backpage; but with Backpage gone before FOSTA became law, it seemed inevitable that plaintiffs would eventually figure out how to deploy FOSTA against other targets. Yet, if you’d asked me to name a top 100 list of alternative targets, Craigslist would not have made my list. After all, Craigslist famously shut down its adult category a decade ago (in 2010), which gave rise to Backpage; plus Craigslist responded to FOSTA by shutting down its entire personals category (and nuking lots of completely legal speech in the process). Surely those moves put Craigslist in the clear, right?
Nope. This judge says that (even without FOSTA) Craigslist does not fully qualify for Section 230 based on third-party ads ran in 2008. This mind-blowing conclusion suggests that plaintiffs could have potentially successfully sued Craigslist a dozen years ago (but didn’t), and that plaintiffs never needed FOSTA to sue either Craigslist or Backpage. Yet here we are, adjudicating the legitimacy of Craigslist’s conduct from a dozen years ago, without full Section 230 cover.

However, the 1595 claim only applies to activity after December 23, 2008, which a key statutory amendment took effect. The complaint alleges that the ads ran in 2007-2008 without being more specific. Unless the ads ran in the last 8 days of 2008, it appears that the 1595 claim should fail.
Implications
What’s Next for this Case? Craigslist will surely challenge this ruling to the district court judge. It’s possible the district court judge will fix some or all of the errors. If the case gets to summary judgment, there are some potentially serious problems with the case’s facts, such as the SOL tolling, the guidelines that constituted material contribution, and the ad timing for the 1595 claim. While it’s surprising that the case survived the motion to dismiss, this ruling does not predict Craigslist’s ultimate liability.
Motion to Dismiss v. Summary Judgment. Among Section 230 litigators, there is a split of opinion about the best time to bring a Section 230 defense. Most litigators prefer to bring it on a motion to dismiss. If that works, it knocks out the claim early and prevents discovery. Other litigators prefer to bring the Section 230 defense on a summary judgment motion, even though that will almost certainly necessitate discovery.
Why wait to summary judgment? The motion to dismiss costs time and money, and it may not work. On the motion to dismiss, the court must assume the plaintiff’s fact claims as true. Some judges will scrutinize the complaint’s facts more carefully than others. However, you can see how a judge’s solicitude towards the plaintiff’s story can screw up the motion to dismiss. This magistrate assumed that the mythical “guidelines” constituted a material contribution to third-party content, but it’s almost certain that the facts won’t be able to survive summary judgment. Similarly, on summary judgment, Craigslist could have resolved the statute of limitations question, whereas the magistrate ignored it on the motion to dismiss. This ruling provides some support for the minority argument that it’s better to skip the Section 230 motion to dismiss and push for an early summary judgment motion.
This ruling reminded me some of the JS v. Village Voice case, one of the Backpage cases. Both cases involved sex trafficking ads and were litigated in Washington state (but JS was in state court, not federal court like this one). In JS, Backpage tried a Section 230 motion to dismiss and it went sideways due to the court’s deference to the plaintiff’s factual claims, producing an adverse Washington Supreme Court ruling. It’s worth noting that the Wisconsin Supreme Court trashed the JS ruling (saying it “ignored the text of the CDA, and the overwhelming majority of cases interpreting it”); but those kinds of major gaffes can occur when the court unquestioningly treats the plaintiff’s story as true.
Effect on the Woodhull Case? A constitutional challenge is pending against FOSTA in DC federal court. The fact that Craigslist might face civil liability under FOSTA doesn’t directly affect that case. However, this ruling highlights how FOSTA can potentially impose liability on run-of-the-mill online classified ad sites. That should heighten the First Amendment concerns about FOSTA’s reach into constitutionally protected publishing.
Was FOSTA Necessary? The magistrate assumes that Section 230 can preempt to the state law claims, but it doesn’t categorically preempt them based on the plaintiff’s allegations. This kind of decision is maddening because, as in the 2018 Doe 1 and Florida Abolitionists cases, it was clear before FOSTA became law that sex trafficking plaintiffs could plead around Section 230. If so, why was FOSTA necessary?
The Future of FOSTA Litigation. Because this case involves such old facts, this magistrate doesn’t do much with the 1595 claim, which is newly excluded from Section 230 by FOSTA. Other cases will have more plaintiff-favorable facts, so this ruling doesn’t provide a good preview of the 1595 issue.
Having said that, this ruling is troubling for the entire Internet industry. Craigslist is one of the most “passive” and unstructured websites in the industry. If they can be viewed as being in league with sex trafficking criminals, then more “active” and structured services will be even more vulnerable to litigation.

Under the Digital Millennium Copyright Act (DMCA), ISPs must forward copyright infringement warnings provided by the entertainment industry to users, and have policies in place for “repeat offenders.” The DMCA does not require that ISPs kick these users off of the internet, but the entertainment industry has repeatedly tried to claim that section 512(i) says otherwise. That section outlines that service providers aren’t liable for monetary relief in cases of copyright infringement.
“When the risk is a crippling lawsuit, many companies are going to cut people off first and ask questions later.”
Copyright expert Mike Masnick told me that since around 2012 or so the recording industry has been trying to force ISPs into the role of content nanny “in the false belief that if everyone else is liable for not successfully policing copyright infringement, it will magically clear the internet of piracy.”
But the problem with the industry’s approach is multi-pronged.
Section 512(i) of the DMCA has been routinely abused by rights holders and those attempting to censor legitimate speech. Putting a broadband industry that has repeatedly proven to have shaky ethics in charge of policing speech isn’t the best idea, Masnick warns.
“It will almost certainly lead to legitimate uses and legitimate speech being blocked,” he said. “When the risk is a crippling lawsuit, many companies are going to cut people off first and ask questions later.”

Internet freedom advocacy groups like the Electronic Freedom Foundation have also argued that eliminating user access to an essential utility like broadband is a draconian overreaction to copyright infringement, and some experts have even argued that such a move may violate users’ First Amendment rights. Others have been quick to point out the evidence the industry uses to prove guilt of piracy is often flimsy at best.
“Determining whether or not something is actually infringing is a complex process that involves weighing a variety of factors, and that’s historically always required a court adjudication,” Masnick told me. “Here, the [recording industry’s] argument is based on the claim that mere accusations of infringement should trigger such a policy, which should concern anyone. If that’s an accurate state of the law, it means that a series of false accusations could literally remove people from the internet.”
Despite these pitfalls and a lot of shaky legal logic, the music industry has had some notable success in bullying ISPs in court. Cable TV and broadband ISP Cox Communications was recently forced to settle with BMG Rights Management, which administers the rights to works by artists including David Bowie and Frank Ocean, for an undisclosed sum after the internet service providers failed to kick repeat-offender pirates offline at the recording industry’s behest.
While this new case against Charter in many ways mirrors the arguments made in the Cox case, Meredith Rose, a copyright expert and lawyer at the consumer rights group Public Knowledge, told me in an email that this new effort has a few unique wrinkles. Specifically, the labels try to argue that the simple act of advertising high-speed internet means Charter was somehow encouraging piracy.
“The unlimited ability to download and distribute Plaintiffs’ works through Charter’s service has served as a draw for Charter to attract, retain, and charge higher fees to subscribers,” the lawsuit claims.

Rose said this claim was a particular stretch.
“Under their argument, any service that advertises having high speeds is courting pirates and therefore a contributory/vicarious infringer, and thus immediately liable if it doesn’t accept rightsholder allegations of infringement at face value and terminate subscribers when asked,” Rose said. “That’s pretty intensely dystopian,” she added.
The recording industry’s attempt to up the ante with this new lawsuit comes on the heels of more than two decades of failed efforts to thwart online piracy.
In 2013, the entertainment industry struck an arrangement with the telecom sector dubbed the Copyright Alert System. Under this program, ISPs targeted repeat infringers with an ever-escalating series of warnings that included throttling or temporarily suspending pirates’ broadband connections until they confirmed the receipt of “educational” copyright materials.
But the effort was scrapped in 2017 after it didn’t meaningfully impact piracy rates. This was in part because users who receive these infringement notices simply hid their BitTorrent or other infringing activity behind proxies and virtual private networks (VPNs).
Now the entertainment industry wants to up the ante by threatening ISPs’ safe harbor protections under the DMCA unless they kick these users offline. Some ISPs, like AT&T, have already agreed. The company told Motherboard last November that it had begun kicking a “small number” of users offline if they ignored more than nine previous warnings.
But there’s little evidence that these efforts will solve copyright infringement either. There’s nothing stopping accused pirates booted from one ISP from signing up with another (assuming they have a competitive choice). And experts continue to warn that the potential pitfalls of such a system wouldn’t be worth the costs imposed on ISPs and the public.
“In an age when even the Supreme Court has said that kicking people off the internet goes too far, changing the DMCA to undermine its safe harbors would be a disaster for those engaged in civic discourse on the internet,” Masnick said.
Both history and scientific data shows that offering quality, cheap streaming music and video alternatives to piracy is the best way to thwart copyright infringement, but it’s a lesson the industry has historically refused to learn. Instead, internet users and providers are routinely subjected to a rotating crop of heavy-handed “solutions,” many of which experts say cause far more problems than they solve.

The plot to revive Mt. Gox and repay victims’ Bitcoin
It was the Lehman Brothers of blockchain. 850,000 Bitcoin disappeared when cryptocurrency exchange Mt. Gox imploded in 2014 after a series of hacks. The incident cemented the industry’s reputation as frighteningly insecure. Now a controversial crypto celebrity named Brock Pierce is trying to get the Mt. Gox flameout’s 24,000 victims their money back and build a new company from the ashes.
Pierce spoke to TechCrunch for the first interview about Gox Rising — his plan to reboot the Mt. Gox brand and challenge Coinbase and Binance for the title of top cryptocurrency exchange. He claims there’s around $630 million and 150,000 Bitcoin are waiting in the Mt. Gox bankruptcy trust, and Pierce wants to solve the legal and technical barriers to getting those assets distributed back to their rightful owners.
The consensus from several blockchain startup CEOs I spoke with was that the plot is “crazy”, but that it also has the potential to right one of the biggest wrongs marring the history of Bitcoin.
The Fall Of Mt. Gox
The story starts with Magic: The Gathering. Mt. Gox launched in 2006 as a place for players of the fantasy card game to trade monsters and spells before cryptocurrency came of age. The Magic: The Gathering Online eXchange wasn’t designed to safeguard huge quantities of Bitcoin from legions of hackers, but founder Jed McCaleb pivoted the site to do that in 2010. Seeking to focus on other projects, he gave 88 percent of the company to French software engineer Mark Karpeles, and kept 12 percent. By 2013, the Tokyo-based Mt. Gox had become the world’s leading cryptocurrency exchange, handling 70 percent of all Bitcoin trades. But security breaches, technology problems, and regulations were already plaguing the service.
Then everything fell apart. In February 2014, Mt. Gox halted withdrawls due to what it called a bug in Bitcoin, trapping assets in user accounts. Mt. Gox discovered that it had lost over 700,000 Bitcoins due to theft over the past few years. By the end of the month, it had suspended all trading and filed for bankruptcy protection, which would contribute to a 36 percent decline in Bitcoin’s price. It admitted that 100,000 of its own Bitcoin atop 750,000 owned by customers had been stolen.
Mt. Gox is now undergoing bankruptcy rehabilitation in Japan overseen by court-appointed trustee and veteran bankruptcy lawyer Nobuaki Kobayashi to establish a process for compensating the 24,000 victims who filed claims. There’s now 137,892 Bitcoin, 162,106 Bitcoin Cash, and some other forked coins in Mt. Gox’s holdings, along with $630 million cash from the sale of 25 percent of the Bitcoin that Kobayashi handled at a precient price point above where it is today. But five years later, creditors still haven’t been paid back.
A Rescue Attempt
Brock Pierce, the eccentric crypto celebrity
Pierce had actually tried to acquire Mt. Gox in 2013. The child actor known from The Mighty Ducks had gone on to work with a talent management company called Digital Entertainment Network. But accusations of sex crimes led Pierce and some team members to flee the US to Spain until they were extradited back. Pierce wasn’t charged and paid roughly $21,000 to settle civil suits, but his cohorts were convicted of child molestation and child pornography.
The situation still haunts Pierce’s reputation and makes some in the industry apprehensive to be associated with him. But he managed to break into the virtual currency business, setting up World Of Warcraft gold mining farms in China. He claims to have eventually run the world’s largest exchanges for WOW Gold and Second Life Linden Dollars.
Soon Pierce was becoming a central figure in the blockchain scene. He co-founded Blockchain Capital, and eventually the EOS Alliance as well as a much-derided “crypto utopia” in Puerto Rico called Sol. His eccentric, Burning Man-influenced fashion made him easy to spot at the industry’s many conferences.
As Bitcoin and Mt. Gox rose in late 2012, Pierce tried to buy it, but “my biggest investor was Goldman Sachs. Goldman was not a fan of me buying the biggest Bitcoin exchange” due to the regulatory issues, Pierce tells me. But he also suspected the exchange was built on a shaky technical foundation that led him to stop pursuing the deal. “I thought there was a big risk factor in the Mt. Gox back-end. That was may intuition and I’m glad it was because my intuition was dead right.”
After Mt. Gox imploded, Pierce claims his investment group Sunlot Holdings successfully bought founder McCaleb’s 12 percent stake for 1 Bitcoin, though McCaleb says he didn’t receive the Bitcoin and it’s not clear if the deal went through. Pierce also claims he had a binding deal with Karpeles to buy the other 88 percent of Mt. Gox, but that Karpeles tried to pull out of the deal that remains in legal limbo.
The Supposed Villain
The Sunlot has since been trying to handle the bankruptcy proceedings, but that arrangement was derailed by a lawsuit from CoinLab. That company had partnered with Mt. Gox to run its North American operations but claimed it never received the necessary assets, and sued Mt. Gox for $75 million, though Mt. Gox countersued saying CoinLab wasn’t legally certified to run the exchange in the US and that it hadn’t returned $5.3 million in customer deposits. This week, CoinLab co-founder Peter Vessenes increased the claim and is now seeking $16 billion. Pierce alleges “this is a frivolous lawsuit. He’s claiming if [the partnership with Mt. Gox] hadn’t been cancelled, CoinLab would have been Coinbase and is suing for all the value. He believes Coinbase is worth $16 billion so he should be paid $16 billion. He embezzled money from Mt. Gox, he committed a crime, and he’s trying to extort the creditors. He’s holding up the entire process hoping he’ll get a payday.” Later, Pierce reiterated that “Coinlab is the villain trying to take all the money and see creditors get nothing.” Industry sources I spoke to agreed with that characterization
Mt. Gox customers worried that they might only receive the cash equivalent of their Bitcoin according to the currency’s $486 value when Gox closed in 2014. That’s despite the rise in Bitcoin’s value rising to around 7X that today, and as high as 40X at the currency’s peak. Luckily, in June 2018 a Japanese District Court halted bankruptcy proceedings and sent Mt. Gox into civil rehabilitation which means the company’s assets would be distributed to its creditors (the users) instead of liquidated. It also declared that users would be paid back their lost Bitcoin rather than the old cash value.
The Plan For Gox Rising
Now Pierce and Sunlot are attempting another rescue of Mt. Gox’s $1.2 billion assets. He wants to track down the remaining cryptocurrency that’s missing, have it all fairly valued, and then distribute the maximum amount to the robbed users with Mt. Gox equity shareholders including himself receiving nothing.
That’s a much better deal for creditors than if Mt. Gox paid out the undervalued sum, and then shareholders like Pierce got to keep the remaining Bitcoins or proceeds of their sale at today’s true value. “I‘ve been very blessed in my life. I did commit to giving my first billion away” Pierce notes, joking that this plan could account for the first $700 million he plans to ‘donate’.
“Like Game Of Thrones, the last season of Mt. Gox hasn’t been written” Pierce tells me, speaking in terms HBO’s Silicon Valley would be quick to parody. “What kind of ending do we want to make for it? I’m a Joseph Campbell fan so I’m obviously going to go with a hero’s journey, with a rise and a fall, and then a rise from the ashes like a phoenix.”
But to make this happen, Sunlot needs at least half of those Mt. Gox users seeking compensation, or roughly 12,000 that represent the majority of assets, to sign up to join a creditors committee. That’s where GoxRising.com comes in. The plan is to have users join the committee there so they can present a united voice to Kobayashi about how they want Mt. Gox’s assets distributed. “I think that would allow the process to move faster than it would otherise. Things are on track to be resolved in the next three to five years. If [a majority of creditors sign on] this could be resolved in maybe 1 year.
Beyond providing whatever the Mt. Gox estate pays out, Pierce wants to create a Gox Coin that gives original Mt Gox creditors a stake in the new company. He plans to have all of Mt. Gox’s equity wiped out, including his own. Then he’ll arrange to finance and tokenize an independent foundation governed by the creditors that will seek to recover additional lost Mt. Gox assets and then distribute them pro rata to the Gox Coin holders. There are plenty of unanswered questions about the regulatory status of a Gox Coin and what holders would be entitled to, Pierce admits.
Meanwhile, Pierce is bidding to buy the intangibles of Mt. Gox, aka the brand and domain. He wants to then relaunch it as a Gox or Mt. Gox exchange that doesn’t provide custody itself for higher security.
“We want to offer [creditors] more than the bankruptcy trustee can do on its own” Pierce tells me. He concedes that the venture isn’t purely altruistic. “If the exchange is very successful I stand to benefit sometime down the road.” Still, he stands by his plan, even if the revived Mt. Gox never rises to legitimately challenge Binance, Coinbase, and other leading exchanges. Pierce concludes, “Whether we’re successful or not, I want to see the creditors made whole.” Those creditors will have to decide for themselves who to trust.
