The marriage bill is part of a set
The marriage bill is part of a set of four texts adopted by the government at the end of March, aimed at reforming the writings in favor of the family, filiation, minorities and inheritance,  after the first two reforms of September 2003 and January 2013. “It is to improve and balance the relationship between spouses that the government has undertaken a more complete reform of the law relating to marriage, which is part of the reform of the judicial system”. • Fewer articles
The new text contains, in form, 104 articles divided into ten chapters. The previous one consisted of 115 articles of eight chapters. Some articles have been simplified to ensure better understanding. The new major chapter relates to the patrimonial effects of marriage. As the management of the couple’s assets had not been clearly framed until then, widows were often discriminated against by certain in-laws.
No more marriage
The first article of the project underlines: “Marriage is the union of a man and a woman celebrated before the registrar”. This article was deleted in the text of 2013, raising a wind of indignation from religious circles, who had denounced a law in favor of marriage. Following incessant pressure from the Superior Council of Imams (Cosim) and the Catholic episcopate, the government reintroduced this article which in fact outlaws unions between people of the same gander. “It is about respecting the social values ​​of the State of Côte d’Ivoire”, specifies a presidential note, explaining the motivations of the innovations brought to the text.
Marriage at 18 for women
The second article states that “a man and a woman before the age of eighteen cannot enter into a marriage”. The current text sets the age of marriage at 20 for men and 18 for women. Nevertheless, the prosecutor had authority in the previous text to grant “exemptions for serious reasons” not specific, so that this provision could be subject to interpretation, in particular in the case of marriages contracted by minors
• Nullity of marriage
This is one of the major innovations: the physical inability to consummate the marriage or the impossibility of procreating one of the two spouses, is now a ground for nullity of the marriage. Indeed, article 4 mentions that “the consent (to marriage) is not valid either if the person who gave it was unaware of the physical incapacity to consummate the marriage or the impossibility of procreating of the other spouse, known by the latter before the marriage”.
If this provision resolves an insufficiency in a society where sterility is a taboo subject, it risks being one of the controversial points of the text. Indeed, the bill does not indicate by which mechanism the spouses must prove, before their marriage, their capacity to procreate or to consummate the marriage.
• The couple’s property
“Common goods, other than the earnings and income of the spouses, are administered by one or the other of the spouses”, specifies article 82 of the new text. The current article on the same subject is a source of discrimination denounced by feminist movements. This one formulates as well as the “the husband alone administers all the acts of administration or disposal on the common goods”.

A Spouse Married Under the Community
When a spouse married under the community regime subscribes for shares or shares in a company by means of the contribution of common goods (in kind or in cash), or acquires them by means of community funds, these social shares or shares fall in community with his spouse, but only the spouse who subscribes or acquires them will have the quality of partner in the company, and will be able to exercise all the rights which are attached to them: right to participate in GA, right to voting, right to communicate corporate documents, right to receive dividends, right to request reimbursement of the shareholder’s current account, etc.
Remember, however, that for companies other than joint-stock companies (civil companies, SARL, SNC, etc.), the spouse of the partner who subscribes for shares by contributing community property must be informed beforehand of the contribution (barely nullity of the contribution), and may himself claim the status of partner on half of the shares, subject however to any approval clauses that may have been provided for this purpose in the statutes.
What if both spouses subscribe or acquire the shares?
If the two spouses together make a contribution to the company of community property, the subscribed shares will naturally be in community between them, but the quality of partner which is attached to it can be distributed between the two spouses in the proportions that they will have agreed upon. .
In the absence of this conventional distribution, it seems logical to consider that the quality of partner belongs to the two spouses, each for half.
Thus, for example, each of the partner spouses will exercise alone the voting rights attached to the shares in which they have the status of partner.
Who can dispose of community shares or shares?
Even if the husband alone has the quality of partner on the shares belonging to the community, he cannot sell them without the consent of his spouse (article 1424 Civil Code), nor dispose of them free of charge (article 1422), except to incur the nullity of the alienation.
If these are community shares (SA, SAS, etc.), the partner spouse or shareholder may sell them alone, but may not dispose of them free of charge without the assistance of their spouse.
The social rights of the spouses upon the dissolution of the community
In companies other than joint stock companies (civil companies, SARL, SNC)
The Court of Cassation here strictly applies the distinction between title and finance, and in its latest judgments gives it considerable scope: upon the dissolution of the matrimonial community (death of one of the spouses or divorce), shares which depended on it do not fall in kind in the post-community joint ownership, which collects only the value of the shares.
The partner spouse (or his heirs in the event of death) alone retains the quality of partner attached to the said shares, and can alone dispose of the shares, free of charge or against payment, without needing the agreement of his co-joint owners. (cf. Cass. 1st civ., June 12, 2014).
It is important to understand the consequences of this solution in the various cases that may arise.
In the event of the death of the associated spouse
The shares he held in the company, with the quality of associated partner, are found in his estate and fall under joint ownership.
The heirs, if they were not themselves already partners, must however, if necessary, obtain the approval of the partners in order to be able to join the company, according to what the statutes provide in this regard.
If the heirs do not obtain the approval required by the articles of association, the value of the deceased’s shares on the day of death must be paid to them by the company (in which case the shares will be canceled as part of a capital reduction) or by the partners who buy back the shares.
In the event of the death of the spouse of the associated spouse
The situation remains unchanged at the level of society.
The partner spouse alone retains the quality of partner.
Only the value of the shares falls into the post-community joint ownership and therefore half of the estate of the spouse.
The heirs of a non-partner spouse do not join the company, and cannot request the possible approval of the partners, since they do not collect the shares in the estate but only half of their value.
What about dividends received from community shares?
Distributed income is not the exclusive property of the partner spouse.
The income from the shares falls into the post-community joint ownership, and the distributions of profits made between the dissolution of the community and the sharing (or the date of the divided enjoyment) therefore increase the joint ownership and will have to be shared.
In joint stock companies (SA, SAS, etc.)
The distinction of title and finance is applied by the Court of Cassation in a less rigorous way for community actions.
Thus, during the marriage, the quality of partner belongs exclusively to the spouse who has subscribed or acquired the shares by means of community property or funds, as we have seen above.
On the other hand, on the dissolution of the community, it does seem, on examination of the case law, that the actions themselves fall into post-community joint ownership, and not only their value, as is the case for the shares.
It follows in particular that the agreement of both spouses (and ex-spouses) will be necessary to sell the shares.
In a recent judgment of October 7, 2015, the Court of Cassation considered that the alienation of shares by a single spouse during post-community joint ownership was unenforceable against the other, from which it logically deduced that it is the value of the shares on the day of the sharing of the community which will be included in the pool to be shared, and not their sale price.
In the event of dissolution of the community by the death of one of the spouses, the shares fall in kind in the post-community joint possession, and therefore in his succession for half.
The surviving spouse and the heirs therefore collect the shares, in proportion to their rights, and join the company, naturally subject to the operation of any approval clauses provided for by the statutes.
