Get your Digital Signature Certificate

Before beginning the LLP registration online process, you must first obtain the digital signatures of the new LLP designated partners. This is due to the fact that all LLP documentation must be digitally signed and submitted online. As a result, the selected partner must receive their digital signature certificates 2 from certifying institutions.

2. Get Your Direction Identification Number (DIN)

All designated partners must apply for a DIN. To get this, they need a Form DIR-3 and complete it in order to apply for a DIN number. The scanned copies of documents (often Aadhaar and PAN) must be attached to the form.

The paperwork must be signed by either a full-time Firm Secretary or the Managing Director/Director/CEO/CFO of the existing company where the applicant will be appointed as a director.

3. Name Approval

The LLP-RUN (Limited Liability Partnership-Reserve Unique Name) form is used to reserve the name of a proposed organization. The form will be processed by the Central Registration Centre under the Non-STP system.

To avoid any issues later, make sure to run your proposed name by the MCA portal. Based on the search criteria entered, the system will generate a list of existing companies/LLPs with names that are very similar.

You also need to pay the fee listed in Annexure ‘A’ of the RUN-LLP form.

4. LLP Incorporation

The Form for Incorporation of Limited Liability Partnership or FiLiP must be submitted to the Registrar, who has authority over the state where the LLP's registered office is located. If an individual who is to be nominated as a designated partner does not have a DPIN or DIN, this form also allows them to apply for one.

Note that only two people will be allowed to submit an application for allotment, and the FiLLiP can also be used to make a reservation request.

5. Submission of the Limited Liability Partnership (LLP) Agreement

In the last step of LLP registration online, Form 3 of the LLP agreement must be submitted online through the MCA Portal within 30 days of the date of incorporation. Take note that the LLP agreement must be printed on a Stamp Paper and the final value of the same depends on the State you are filing the agreement in.

Costs Associated with LLP Registration Online

Capital input up to Rs. 1,00,000 will invite a fee of Rs. 500 and the same between Rs. 1,00,000 to 5,00,000 is Rs. 2000.
