然而，剛準備在美國享受盛夏陽光的中國公司沒想到，第二年便遭遇到最冷的寒冬。2011年，在美新上市的公司隻有可憐的11傢，第四季度甚至一傢都沒有。大部分中國概念股股價低迷，被腰斬的個股比比皆是，還有一大批淪為一兩美元的“垃圾股”，面臨被摘牌的境地。

這也是中概股私有化退市最為兇猛的一年。根據羅仕證券有限公司（Roth Capital Partners）的統計，不包括被強制摘牌的企業，去年在美已經或正在通過私有化交易退市的中國企業股本總額高達78億美元，其中已經被管理層、戰略收購財團和私募股權基金等買斷的中概股總規模達到35億美元，此外還有43億美元的此類交易正在進入被收購或托管程序。這個數字也遠遠超過瞭2011年中國企業在美首次公開募股（IPO）22億美元的總融資額。

這股私有化風潮並不僅僅是隻發生在美國市場，在香港和新加坡，也有不少公司正在或者已經完成私有化交易，其中還不乏阿裡巴巴和小肥羊等“行業指標性”企業。

盡管不乏泛華保險等私有化失敗案例，但總體而言，私有化已取代IPO，成為近期中國企業在境外資本市場活動的主要議題。

上市時，企業大都抱有相似的目的和訴求；而退市時，卻是各有各的苦衷和打算。China Venture投中集團CEO楊偉慶對《中國經濟周刊》分析，海外上市的中國公司進行私有化的動因主要有四個方面：

一是公司市值被嚴重低估，交投清淡無法有效融資，但又要支付大量費用和接受嚴格監管，還不如在回購成本較低的時候進行私有化，也可以防止潛在競爭對手或其他投資者進行敵意收購。

二是有一些公司考慮進行PPP（Public—Private—Public，即上市、退市、再上市），從低迷的海外市場退市，回到估值較高的國內或者其他市場重新上市，市值可能會因此增長好幾倍。

三是上市公司身份不利於長期業務開拓。出於中長期戰略需要而選擇私有化退市，盛大和阿裡巴巴都是這種情況，公司發展到一定階段，資金已經不是迫切需求，而是考慮長遠競爭力，還不如暫時成為私人公司，安安心心地做企業。為瞭方便集團管理而選擇私有化的企業還有華潤微電子和環球天下。2011年9月，華潤微電子私有化提議在法院會議及股東特別大會上獲得通過。股東大會上，支持率高達99.99%。環球天下總裁張永琪說：“我們可以借此實現承諾，將股東價值最大化。”

四是，私有化也可能是一種純粹的套現行為，如2009年退市的電訊盈科，發行價10塊錢，退市時隻有2塊錢，大股東們通過私有化可以套現很多錢。

案例一

小肥羊：擺脫小股東方便決策

小肥羊餐飲連鎖有限公司（下稱“小肥羊”，原代碼：0968.HK）的發展，似乎總是以4年為周期。

2000年開始，小肥羊開始在全國各地生根發芽。2004年，投行出身的盧文兵來到小肥羊，擔任“上市副總裁”。之後的4年，經驗豐富的盧文兵引領小肥羊一路凱旋，年收入超過50億，向全世界擴張。2008年，小肥羊成功登陸香港，被稱為“中國火鍋第一股”。

然而，4年後的2012年2月2日，小肥羊結束瞭港交所之旅，摘牌退市，盧文兵離任。這戲劇性轉折的背後，是小肥羊和美國百勝餐飲集團（下稱“百勝”）的一紙收購合約。

百勝集團是擁有肯德基、必勝客等著名連鎖品牌美國餐飲巨頭。從2011年4月份起，百勝集團就提出以45.57億港元或溢價三成收購小肥羊，但出於保護民族品牌和防止壟斷的考慮，經過瞭7個月時間，中國商務部才給予批準。

盧文兵認為，股價偏低不是退市的原因。退市更多取決於企業戰略的考慮。上市公司股權結構復雜，有很多小股東，企業決策過程比較復雜，而私有化之後則不存在這些問題。

一位不願透露姓名的投行人士對《中國經濟周刊》解讀道，如果有小股東存在，在企業擴張等問題決策上就會受到很多內部的阻力。而私有化之後，集團控股在67%以上，就擁有瞭全部決策權，這樣有利於企業作出統一決策。

退市與私有化

退市分為主動退市和被動退市兩種。私有化屬於主動退市，就是上市公司選擇主動退出股票市場，通常是由控股股東提出，以現金或者有價證券的方式從其他小股東手中將市場上的所有流通股購回，從而使上市公司就此摘牌退市，成為私人公司。被動退市，大部分是由於公司已不符合上市標準（在美國，被動退市的原因主要有：股價長期處於1美元之下、無法滿足信息披露等要求、財務遭質疑等）。被動退市後，投資者仍舊持有公司股權，股票會被轉至低級別的證券場外交易市場繼續交易。華爾街“圍獵”中概股（中標2）

根據專門統計新股數據的英國市場研究公司Dealogic的數據，2011年，各國企業在美國證交所IPO籌資總額達到419億美元，略低於2010年的445億美元。美國資本市場整體狀況隻能算是欠佳，可見，中國概念股局面如此之差，並非盡是大環境所致，而是另有原因。

中國概念股們過去常常抱怨：“華爾街不懂中國網！”這也難怪，��竟大多數中國概念股雖然在美國上市，但幾乎沒有海外業務，隻能艱難地去跟大多數從未到過中國的投資者們解釋：我們是中國的Amazon、中國的Facebook、中國的Groupon……還要絞盡腦汁地將“和諧社會”、“不折騰”等中國政治熱詞翻譯成英文，向境外投資者說明中國的政治經濟形勢。

這種“不懂”，在中藥這類企業身上表現更為明顯。從對文化概念的“不懂”到對安全性和財務的“不信”，一場群體性的誠信危機終於在去年集中爆發。

“大連綠��、多元印刷、中國高速頻道、東南融通等30餘傢中國企業因為財務舞弊、誇大訂單、虛假陳述等問題被美證監會勒令退市；做空機構也頻頻對部分中國企業的盈利模式和財務數據發出質疑。”美國中國企業上市協會會長王宇龍告訴《中國經濟周刊》。

一時間，中國概念股神話破滅，“中國奇跡”變成瞭偽概念，更有激進外媒稱中國股票實際上“一文不值”。在這種背景之下，美國資本市場出現瞭一股做空中國概念股的風潮。

去年3月開始，渾水（Muddy Waters）、香櫞（Citron）、Geo Investing、OLP Global等機構頻頻做空中國概念股，他們的“圍獵”致使多傢中國在美上市企業股價暴跌，甚至被停牌摘牌。這輪“獵殺”，也有不少中國概念股“被誤殺”，股價一落千丈，尋求退市的企業也逐漸增多。目前，仍有70多傢中國企業股價不到2美元，20多傢中國企業股價不到1美元。

數據顯示，不少中國概念股的市盈率已經跌至3~4倍，好一些也就在十幾倍，這與國內創業板和中小板動輒三四十倍左右的市盈率存在巨大差異。即使在香港市場，市盈率也普遍能夠達到二十幾倍。既要面對已經基本失去瞭融資能力的美國資本市場，又要承擔高額的融資成本和接受嚴格的監管，不如豪賭一把，從美國退市，回到估值更高的內地股市或港股再重新上市，就成為很多企業的更好選擇。

案例二

同濟堂：中藥在美國的尷尬

有“中藥美國紐交所第一股”之稱的同濟堂（原代碼：TCM.NY）2011年4月15日宣佈，其將被復星實業和Hanmax投資公司兩傢並購，成為其二者全資私有公司，股票於當日在紐交所停止交易。

從2007年上市到2011年退市，同濟堂股價已經縮水一倍以上。其實早在2008年3月，董事長王曉春就曾經提出過私有化，但該提議終因資金問題夭折。後來，王曉春遇到瞭復興實業的掌��人郭廣昌，於是二人決定聯手，卷土重來這場私有化計劃。

“同濟堂在紐交所的流通股比例非常低，交易很不活躍，股價也較為低迷。這是公司決定從紐交所退市的重要原因。”復興實業方面表示。

“中藥的模式老外一直不太明白，因此得不到美國投資者的認可。股價被嚴重低估是情理之中的事。”深圳北京大學香港科技大學醫學中心科研教育部部長李剛告訴《中國經濟周刊》。

李剛指出，美國平均研制一款西藥要花費數十億美元、近10年時間。這期間要經過嚴格的實驗程序，確定藥的生物利用度何時達到峰值、最小致死量是多少等等。然而，中藥的行藥方式和西藥完全不同，是將幾十種藥物放在一起，其中有多少有害成分不得而知，大部分中成藥的副作用一欄隻寫著“不詳”二字。這對美國人來說是不可理解，也不能接受的。

“在美國，投入市場的藥品首先要經過食品和藥物管理局（FDA）認證。而目前中國沒有一款中成藥獲得該認證，因此，中成藥就無法進入美國的藥房。美國官方對中藥的質疑，直接導致瞭公眾以及投資者對中藥的不信任。上市的中藥企業也紛紛成瞭雞肋。”李剛說。費時費錢的私有化

關於私有化的條件和規則，各個股票市場略有不同，但流程都不復雜。以美國為例，根據美國《普通公司法》，上市公司私有化隻需遵守一定的程序，再按照美國證券交易委員會（SEC）的相關要求完成退市流程即可。可以以現金收購流通股，也可以並購方式進行私有化退市，如百勝收購小肥羊後，選擇將小肥羊私有化並令其從港交所退市，而不是保留在二級市場。優酷和土豆合並後，土豆退市也屬於這種情況。

這個過程看似簡單，但其實風險重重，而且成本很高。

“上市公司因為私有化所要支付的成本往往不低，不同交易所的費用也不盡相同，而美國尤其高昂，固定成本包括律師咨詢費用、審計費用、會計費用、財務顧問費用、銀行貸款及融資費用等等，而浮動成本則是私有化要約的溢價比例，一般溢價比例是現有股價的10%~30%，個別案例會超過50%甚至更高，浮動成本還有可能會包括法律訴訟方面的一系列費用。”王宇龍介紹說，“但是，上市公司私有化最大的風險還是私有化運作的失敗。”

“上市公司提出私有化要約，並非100%會成功，一旦失敗，會對投資者信心造成重大打擊，要想重新獲得市場認可會非常困難，因為大傢再投資這傢公司會非常非常的謹慎。”易觀��庫分析師黃萌告訴《中國經濟周刊》。

“私有化對企業資金需求很大，要想收購流通股肯定要付出比市價更高的價格。如果私有化給出價格過低，投資者認為是對投資者權益的傷害，可能還會引發集體訴訟。”China Venture投中集團首席分析師李瑋棟告訴《中國經濟周刊》，“私有化過程中需要雇用中介機構，花大量精力與投資者溝通，應付各種監管要求……時間成本也很大，盛大私有化已經算是比較順利的，但從2011年10月宣佈，到2012年2月才真正完成。一旦失敗，這些也都打瞭水漂，因此，機會成本更大。”

“自從1992年華晨汽車前身‘沈陽金杯’成功登陸紐約證券交易所，開辟瞭中國企業赴美上市的先河以來，還沒有哪個年份出現過如此密集的私有化現象。但中國概念股們還是要深思熟慮的，畢竟丟瞭西瓜也未必能夠撿到芝麻。”美國中國企業上市協會會長王宇龍說。

案例三

阿裡巴巴：整體上市和中小投資者之傷

2月21日，阿裡巴巴集團宣佈將旗下於香港上市的阿裡巴巴B2B公司（01688.HK）私有化，這次可謂“不惜血本”。

最終回購價為13.5港幣/股，較2月9日停牌前的最後60個交易日的平均收盤價格溢價60.4%，可以說是近期退市的中概股中溢價最大一宗。對於近期從美國市場退市的中國公司而言，私有化價格的溢價幅度平均在20%~30%之間。

不可否認，阿裡巴巴的私有化背後也有估值過低的原因：在以13.5港幣發行價上市之後，最近兩年其股價始終在10港幣上下浮動。金融危機期間，還曾一度探底至3港幣左右。

然而分析師們認為，主要原因是阿裡巴巴在計劃未來的整體打包上市。

無論是渴望回購股權的阿裡巴巴，還是不肯放手的雅虎，雙方的出發點似乎都建立在一個信念上。瑞銀集團分析師Makio Inui預測，阿裡巴巴的估值在2013年後將攀升至630億美元，盡管這可能意味著更高的盈利，該公司最終會整體進行IPO。

一位投行人士也告訴《中國經濟周刊》，此次阿裡巴巴私有化的最終目標是為瞭實現控制權，從而滿足未來整體上市的需要。相信阿裡巴巴一旦切斷與雅虎的聯系，就可能開始認真考慮集團整體上市的計劃。

然而，在阿裡巴巴這盤大棋中，中小投資者卻是被忽視的一群。如果不是因為看好阿裡巴巴和對馬雲的個人崇拜，戴鋼可能不會去開通一個港股賬戶。戴鋼從2007年阿裡巴巴上市就開始持有其股票，後來也有過幾次加倉和減倉，現在平均成本價在20港幣左右。“大環境不好，金融危機之後又歐債危機、美債危機，阿裡巴巴的走勢也一直不是太好，但是我想最壞也就是長期持有唄，大不瞭留給��女兒，因為這個公司我還是長期看好的。但是，我萬萬沒想到還有私有化這麼一出。”

“私有化過程中受損最大的還是中小投資者，因為他們在整個私有化過程中幾乎沒有話語權。盡管私有化要約提出的收購價比當時的股價會有一定的溢價，但是較投資者的投入成本可能還有相當大的差距。他們可能本來打算長期持有以實現扭虧，但現在有可能被強制清退瞭，隻能賣出。”易觀國際分析師黃萌告訴《中國經濟周刊》。

有香港媒體指出，阿裡巴巴此次回購其股份的價格為13.5港元，這與當初的發行價完全持平，也就是說5年時間，阿裡巴巴獲得的運營資金相當於無息貸款。而當年電訊盈科的私有化更是被港人視為赤裸裸的搶劫。

誰靠私有化發瞭財？

有人也許會疑惑，如此費時費錢，這些因私有化而退市的企業難道真的是在以虧本的代價換取未來嗎？

答案是否定的。這些企業通過“一上一下”往往或多或少獲得瞭套現。然而，我們不能簡單用“回購總價-上市融資額”這樣簡單的公式去計算，因為在上市的過程中還有很多其他因素，例如企業的盈利在增加，還常常有多輪新融資，同時發行的股比以及回購的股比也並不相等。

相對而言，市凈率（股價與凈資產的比率）也許是一個更為清晰的參照數據。以樂語中國舉例，其上市時股價為7美元，每股凈資產為3.34美元，其當時的市凈率為2.1。而截至其私有化日，其回購股價為7.2美元，每股凈資產為4.45美元，市凈率為1.6。由此可以看出，盡管回購的絕對價值升高瞭，但相對於凈資產的價值實際上下降瞭。

許多公司退市時的市凈率都遠低於上市時的市凈率，換句話說，盡管這些公司付出的資金更多瞭，但他們的資產也變得更大瞭。

如此大規模的私有化風潮，絕不隻有一方在賺錢。事實上，私有化儼然已經成為在資本市場寒冬中投行、PE和對沖基金的“黑馬”業務。

“在私有化的過程當中，除瞭常見管理者收購（MBO）方式，貝恩資本、KKR等PE也有參與。”黃萌說，“雖然VC和PE一般都是投資一級市場，很少涉及二級市場業務，但是現在，他們通過支持上市公司在二級市場的私有化，然後等待經濟轉暖，進行re-IPO（再上市）或者over-listed（整體上市）。其實，隻是獲得股權的方式有一點不同，而且還省去瞭做估值的工作。”

“在上市公司私有化的背後，私募股權投資起著很大的作用。在公司缺乏足夠資金在公開市場回購股份的情況下，資本充沛的私募是很好的補給，同時，VC、PE機構還可以為這些公司在重新上市、業務拆分或兼並重組等方面運作提供幫助。”李瑋棟說，“已有的25個案例��，一共有6個私有化交易有PE參與，包括鼎暉投資、貝恩資本、春華資本、Abax Global等等，未來這個數量可能會進一步擴大。”

“PE的嗅覺都是很靈敏的，上市是生意，但現在不好做瞭，那退市也可以是生意。”一位PE人士Harry告訴《中國經濟周刊》，“很多PE已經開始尋找潛在的優質私有化對象，把那些價值被低估的上市公司私有化之後，通過並購、重組再上市，這也是一條不錯的價值鏈。”

去年7月，平安證券、金牛投資和國浩律所還推出瞭一隻目標金額為2億美元的“PPP策略基金”，專門幫助中概股從低迷的美國市場退市（Public-Private），解除境外架構，再於高估值的市場重新上市（Private-Public）。

而對於投行而言，退市賺取的傭金當然無法和IPO相比，但是在上市慘淡的情況下，有退市做也聊勝於無。“大量私有化退市交易，也算是投行的意外收獲吧！”一位投行人士表示。

案例四

樂語：老總聯手PE“逆襲”

從2009年12月17日上市到2011年8月退市，樂語中國控股有限公司（下稱“樂語”，原代碼：FTLK.NA）的納斯達克之旅似乎閃電般短暫。

盡管如此，樂語董事長張闊的圈錢思路卻十分清晰。剛登陸納斯達克時，樂語共融資2170萬美元，以每股7美元的價格發行瞭310萬股。2010年10月29日，再次以每股7美元的價格發行700萬股，凈融資4600萬美金。但在2011年三四月份，也就是宣佈私有化的前夕，股價已經跌到瞭5美元左右。

此時的張闊，再也坐不住瞭。根據獨立董事的意見，退市有兩個原因：1.上市公司治理比較復雜，決策無法得到迅速有效的執行。2.作為一個上市公司，他們需要披露太多的信息，使他們處於不利的競爭地位。

於是，一個叫Fortress的集團在開曼群島悄然成立，而其幕後老板正是以張闊為首、總共擁有樂語77%股權的老股東們。Fortress集團以每股7.2美元的價格收購瞭樂語其餘23%的普通股——這和當時上市時的股價7美元基本相當。Fortress集團總共花費瞭1.09億美元完成此次私有化。期間，另一個神秘公司扮演瞭幕後出資人的角色——太盟亞洲資本。2011年9月，太盟亞洲資本以優先股的形式向樂語投資瞭1.5億美元，由此換來的，是Fortress集團32.85%的股權。樂語通過這次私有化，又獲得瞭3900萬美元的資金。“在這個過程中，樂語獲得瞭比在納斯達克上市更高的估值，以及更多用於拓展的現金。”分析人士指出。

洋股海歸，能否一帆風順？

私有化隻是暫時的策略性選擇，企業並非永久離開公開市場。“當初去海外上市本來就是無奈的選擇，因為國內資本市場是有一定門檻的，對盈利能力有比較硬性的要求，不像美股比��看重成長性，中小企業和虛擬業務的公司比較難走入國內資本市場。”黃萌認為。

一個行業的兩傢實力相當的公司，一傢在美國上市，一傢在國內上市，估值水平可能差距非常大。雪球分析師劉志超告訴《中國經濟周刊》，現在國內A股市場估值非常高，小盤股比海外市場估值高40~50倍非常正常。很多公司聯合PE把自己私有化回來，重新在A股上市。日前從納斯達克退下來的盛大就很有可能借機回歸A股。

在這種情況下，同樣的公司，為什麼不回到國內上市呢？想法雖好，但海歸回國也並非一條坦途。

據李瑋棟介紹，一個公司從海外退市後回到國內上市，首先要對股權結構進行改造，這是非常耗時耗力的巨大工程；同時還要適應國內的會計準則、稅收制度、法律環境等等；還要實現至少3年的業績持續增長和盈利……

也就是說，從境外回來，一切正常，行業沒有波動性風險、業績持續增長、國內資本市場的整體狀況良好、新股發行制度和上市公司的標準沒有變化……最快也要2~3年才能完成上市。

“從美國退市的中國企業有近四成是TMT（科技、媒體和通信）公司，他們大多數是輕資產的虛��業務公司，想要登陸國內資本市場就更難瞭。”關註TMT行業的易觀國際分析師齊劍哲告訴《中國經濟周刊》。

其實，“上市、退市、再上市”的模式已有先例。2005年，南都電源在新加坡退市，並於2010年初登陸A股創業板。但是，再多找出幾傢就難瞭。

不過，證監會主席郭樹清在幾次講話中都提及，新興產業龍頭企業到海外上市而非登陸創業板有些遺憾；證監會會逐步降低上市門檻、適度放寬上市條件……證監會幾個最新征求意見稿都被解讀為“釋放出歡迎洋股海歸的信號”。

黃萌說：“大的趨勢肯定是往這個方向走的，但是能走多快很難預計。” Harry表示：“如果國際板能夠盡快推出，這個問題可能就會得到解決。”

“中概股從美國退市之後，轉到香港會是一個比較順暢的思路，一是離境內資本市場比較近，估值水平相對來說也比較高，而且從法律層面上，操作難度也不是很大。因此現階段而言，到香港可能是更為主流的方法。”李瑋棟說。

案例五

盛大：為瞭回歸高估值的A股？

2月14日這個浪漫的日子，上海盛大網絡發展有限公司（下稱“盛大”，原代碼：SNDA.NA）悄然告別瞭納斯達克。

在近期這批退市的中資企業中，盛大可謂是“德高望重的老大哥”瞭。2004年5月，盛大在美國上市，成為中國網��概念在美上市的第一股。然而，老資格不能幫它擺脫估值過低的命運。其股價2009年巔峰時曾達到63美元，此後震蕩走低，去年10月初一度跌破30美元。

去年，華爾街做空中國概念股，盛大也受到瞭波及。其子公司盛大文學籌備上市時，陳天橋的估值接近10億美元，但投資機構卻隻給出2億美元。

“網遊公司在美國的估值一向很低，市盈率通常隻有個位數。同時，盛大等中國公司的股票一直是基金在操作，散戶並不熟悉。這就導致流動性差，進一步降低瞭市場估值。這意味著，這些公司在美國的再融資功能幾乎喪失，納斯達克不再值得流連。”雪球分析師劉志超對《中國經濟周刊》表示。

陳天橋本人曾多次表示，盛大希望回歸國內資本市場。假如國際板推出，他們會第一時間申請。由此，業內人士認為，A股市場將是盛大的下一步歸宿。“等A股市場推出國際板，相信盛大將會是第一批成員。”劉志超表示，當然盛大面臨著和其他海歸同樣的難題。美國私有化更多是重組並購的需要

“私有化”源自美國，其第一次大規模湧現可以追溯到20世紀70年代的大蕭條時期。當時，許多在牛市上市的公司為瞭利用股票價值被低估而獲利，開始回購公眾股東持有的股票，從而有瞭“私有化”一說。

加華偉業投資咨詢有限公司董事長宋向前認為：“上市公司私有化模式在歐美市場已較為多見。PE利用舉債或其他金融工具把價值被低估的上市公司私有化後，孵化成長，再行並購或重新上市，從中發現並締造新的價值鏈。”

如今在美國，私有化已經成為和上市一樣常見的商業行為。企業私有化的原因，也不再像大蕭條時期那樣單純為瞭獲利，而更多的是重組並購等商業運作需要。經《中國經濟周刊》記者統計，在去年美國退市的316傢企業中，有245傢的退市原因為“並購”。
