StubWorld: Additional Complexity For Melco, PCCW's All Time Low, Swire Secures HAECO
This week in StubWorld ...
Melco Resorts & Entertainment (MLCO US)'s Studio City spin-off will add another layer into the Melco Group, further distancing Melco International Development (200 HK) from key Macau operations.
PCCW Ltd (8 HK) lags HKT Ltd (6823 HK) as the latter gains from its first price hike in two years.
After minority shareholders approved the privatisation of HAECO (44 HK), Swire Pacific Ltd Cl A (19 HK) trades at its narrowest discount to NAV inside a year.
This, and other relationships discussed below, trade with: 1) a minimum liquidity threshold of US$1mn on a 90-day moving average; and 2) a minimum 20% 'market capitalisation' threshold, whereby the value of the holding/Opco held must be at least 20% of the parent's market cap.
My comments on Melco, PCCW and Swire follow my weekly setup/unwind tables.

Unlocking the Benefits of Company Formation in DIFC: Why OpCo Setup in Dubai Makes Business Sense

Choosing the right jurisdiction and structure is a foundational step for any business in the UAE. Among the Emirates, Dubai continues to lead as a hub for innovation, finance, and international business. And within Dubai, the Dubai International Financial Centre (DIFC) has emerged as a preferred choice for operational company setup in DIFC, thanks to its world-class infrastructure and investor-friendly environment.
Over the past 20 years, company formation in DIFC has become synonymous with prestige and regulatory certainty. DIFC provides a compelling proposition: access to global markets, a robust legal system based on common law, flexible ownership structures, and strategic proximity to financial institutions and service providers.
0% Corporate Tax — A Game-Changer for OpCo Setup in DIFC
The UAE’s corporate tax framework is designed to incentivize growth. Companies operating within free zones such as the DIFC may benefit from a 0% tax rate on qualifying income — an advantage that significantly boosts the ROI of an OpCo setup in Dubai.
To maintain this benefit, companies must qualify as a Qualifying Free Zone Person (QFZP) by fulfilling certain criteria, including maintaining substantial presence in the UAE, deriving qualifying income, staying under the De Minimis threshold for non-qualifying income, and keeping IFRS-compliant audited records.
What Operational Activities Qualify?
Not all income streams qualify for the 0% tax rate. For operational companies in DIFC, eligible activities include:
Fund and asset management
Headquarters and treasury services
Investment holding
Trading of qualifying commodities
Distribution and logistics
Aircraft financing
Wealth management
Reinsurance and ancillary services
These activities support long-term business sustainability while meeting tax criteria.
Filing & Compliance for DIFC OpCos
The process for operational company setup in DIFC includes corporate tax registration through the DIFC Corporate Registry, annual tax return filing with the FTA, and periodic reporting aligned with federal laws. The system is digital-first, offering convenience through e-services for registration, filing, and payments.
How MS Supports Your DIFC OpCo Setup

StubWorld: PCCW Plumbs New Lows & Wheelock Props' Privatisation
This week I analysed PCCW Ltd (8 HK)'s discount to NAV, which has widened beyond its 12-month STD subsequent to the release of its 2018 interim results. The EBITDA stub loss in 1H18, the largest in 2 years, was primarily dragged down by a decline in revenue and profit margins in the Solutions segment.
I've also briefly touched on Wheelock & (20 HK)'s 2018 interim results and an update on the Voluntary Unconditional General Offer for Wheelock Properties (S) Ltd (WP SP).
Preceding my comments on PCCW and Wheelock are the weekly setup/unwind tables for Asia-Pacific Holdcos.
These relationships trade with a minimum liquidity threshold of US$1mn on a 90-day moving average, and a % market capitalisation threshold - the $ value of the holding/opco held, over the parent’s market capitalisation, expressed as a % - of at least 20%.
A detailed NAV for a number of these parent/holding relationships highlighted can be found in Smartkarma's Holdco monitor.
