4月17日訊 近日，證監會對龍薇傳媒空殼收購案做出正式行政處罰，對萬家文化（已更名祥源文化）、龍薇傳媒以及趙薇夫婦等做出60萬元頂格處罰，趙薇夫婦遭5年市場禁入。至此，趙薇夫婦51倍槓桿收購失利一事塵埃落定。

鳳凰網財經梳理髮現，趙薇所在5家公司職務將調整，旗下四公司註銷或吊銷狀態。但趙薇夫婦面臨的麻煩不僅於此，多位證券維權律師表示，已啟動受損投資者徵集，並著手向法院提起立案。

黃有龍已辭任順龍控股董事局主席

5年市場禁入對趙薇夫婦有何影響？廣東環宇京茂律師事務所劉華浩律師表示，根據金融規定，市場禁入行政處罰的人在一定時間內不得在上市公司和非上市的公司擔任董事、監事和高級管理人員，也不能從事證券業務。不過，對於從事證券業務的界定有一些分歧，劉華浩律師介紹道，目前普遍認為範疇是指在證券從業機構從事證券業務，不包括二級市場買賣股票，所以，個人正常買賣股票應該還是可以的。

天眼查數據顯示，與趙薇相關的公司共有17家，趙薇在這17家公司里總共扮演29個角色，擔任西藏龍薇文化傳媒有限公司等5家公司法人，16家公司的股東，8家公司的高管，不過目前龍騰匯聚餐飲管理有限公司、上海欣藝文化傳播有限公司、蕪湖市鼎盛房地產開發有限公司和上海星星商務諮詢有限公司共4家公司已被吊銷或註銷，剩下13家正常經營。根據市場禁入的規定以及證監會處罰的規定，五年內，趙薇不能再擔任上市公司或非上市公司法人、董事和高管，那麼預計未來趙薇在北京普林賽斯文化傳播有限責任公司、龍旭新（北京）商貿有限公司、蕪湖中星汽車銷售服務有限公司、趙趙（上海）影視文化工作室、西藏龍薇文化傳媒有限公司的5家公司的法人、董事或高管職務將會調整。

依據港交所披露信息顯示，與黃有龍有關的核心關聯企業有15家，其中上市公司有5家，分別為金寶寶控股、順龍控股、阿里影業、雲峰金融和唐德影視，前4家為港股上市���司。金寶寶控股2017年半年報顯示，黃有龍和趙薇夫婦持有19.03%的股權，共21億股，為第一大股東。金寶寶控股在去年10月4日更名為Teamway International Group Holdings Limited，證券簡稱變更為TEAMWAY INTL GP。此外，根據順龍控股2017年半年報，黃有龍通過註冊在英屬維京群島的金航有限公司持有順龍控股67.5%的股權。

劉華浩表示，中國證監會作出的5年禁入證券市場處罰只適用於A股市場和大陸境內，這意味著黃有龍在港股上市公司擔任的董監高職務並不受影響。不過證監會對龍薇夫婦市場禁入的懲罰威力逐漸顯現，4月17日，順龍控股發布公告，黃有龍由於市場禁入決定書及行政處罰決定書的原因，已辭任該公司主席及執行董事以及董事會提名委員會主席職務，而今年1月份，雲鋒金融也發布公告，黃有龍由於擬專註其個人其他業務的原因，已辭去非執行董事的職務。

對於按照市場禁入規定，執行處罰結果調整趙薇夫婦的相關職務時間有何界定？劉華浩律師表示，根據法律規定，從禁入規定生效開始就要做些事情。但截止時間也沒有太明確。從理論上來講，應該從規定生效之日起就應該生效，不過程序並沒有那麼明確，多長時間內要做什麼，不過從處罰決定下達之日起，相關職務就不應該再擔任了。

劉華浩認為，雖然不擔任董事、監事或高管，如果是公司的股東，也可以行駛股東的權利，參與股東大會行駛表決權。劉華浩律師認為，市場禁入對於趙薇夫婦的影響可能更大在於兩大部分：一是職務的關係，這涉及到未來他們能夠從事什麼和做什麼，比如在資本運作控制和風險保本方面，���險會提高，他們進行資本運作的意願就會下降。另外他們也不能從事相關證券業務，比如自己控制的公司去進行相關併購收購也會有一定的影響。其實對於普通人而言，這個處罰影響不大，但對於一個在資本市場生根多年想要在資本市場有所發揮的人影響比較大，從職業角度來看，5年針對不短。第二，不從法律方面的，從資本運作角度來講，因為他們受到過這樣的處罰，可能對其以後從事資本運作會有些負面的、消極的評價。公眾對其評價以及個人名譽方面評價也會降低，可能給合作帶來一些障礙。

決定書還提到對萬家文化、龍薇傳媒責令改正，給予警告，並分別處以60萬元罰款，對孔德永、黃有龍、趙薇、趙政給予警告，並分別處以30萬元罰款。劉華浩律師分析道，雖然金額看起來不多，但是從法律框架來看，這已經是規定框架內的頂格處罰，從這個角度來看，處罰很嚴厲。

多家律師事務所近期將就民事賠償立案

除了市場禁入的處罰外，劉華浩律師認為，從實際角度，影響更大的是他們將面臨的民事賠償。“雖然，歷時一年有餘的龍薇傳媒擬收購萬家文化事件告一段落，但對於捲入這場收購大戲介入萬家文化的投資者索賠才剛剛開始。”劉華浩稱。

證監會的決定書認定龍薇傳媒關於籌資計劃和安排的信息披露存在虛假記載、重大遺漏；未及時披露與金融機構未達成融資合作的情況；對無法按期完成融資計劃原因的披露存在重大遺漏；關於積極促使本次控股權轉讓交易順利完成的信息披露存在虛假記載、誤導性陳述等違法事實。劉華浩律師表示，根據虛假陳述司法解釋規定，上市公司和其他信息披露義務人因虛假陳述受到證監會行政處罰，權益受損的投資者可以起訴索賠損失。根據《證券法》的相關規定，投資者可以向龍薇傳媒提起訴訟，也可以向萬家集團實際控制人孔德永以及上市公司提起訴訟。

“早在2017年初，已經有很多股民聯繫我們要求索賠的事情，那時我們就已經開始準備了，”劉華浩律師說，“目前我們律師事務所收到材料齊全的索賠有40多個，金額在800萬左右。我們一直在等行政處罰下來，因為行政處罰是索賠的前提，是立案條件之一。”

而對於索賠的條件，劉華浩律師介紹按照以往的案例或者經驗，需要滿足兩個條件：一、在2017年1月12日至2017年2月27日期間買入祥源文化股票，並在2017年2月28日後繼續持有或賣出該股票的受損投資者可以索賠。這實際上是證監會認定的虛假稱述的第一個階段，從公告收購祥源文化到公告5%收購方案的期間。二、在2017年1月12日至2017年3月31日期間買入祥源文化股票，並在2017年4月1日後繼續持有或賣出該股票的受損投資者可以索賠。這既指從收購公告到協議終止期間。

證監會《告知書》認為2017年1月12日的回復公告中“將積極與萬家集團進行溝通以使本次交易順利完成”的表述讓投資者對龍薇傳媒完成收購產生了強烈預期，而根據後續龍薇傳媒的表現，2017年2月8日趙政受黃有龍指派直接與孔德永談判終止收購、黃有龍勉強接受收購5.0396%的方案、最終完全終止收購等等，全然看不出龍薇傳媒有“積極”促使本次交易順利完成的意願。劉華浩律師分析道，從趙薇夫婦等申辯意見來看，他們主動出來解決民事賠償問題的可能性不大，而且從以往的經驗來看，很少有上市公司受處罰人有意願來解決民事賠償，即使有意願，估計也不會那麼快解決問題。

劉華浩透露，“我們前期一直在準備材料，這周或者下周我們會去杭州中級人民法院立案。按照規定，案件都是指定管轄，立案在上市公司所在地的省會城市的中院或者是類似深圳這種特區的中院，具體情況會比較複雜。”

劉華浩表示，案件周期較長，預計從立案到結案需兩年時間。

此外，鳳凰網財經還了解到，全國多個律師事務已著手立案，如上海創遠律師事務所目前正在推進萬家文化虛假陳述案的投資者索賠徵集代理工作，目前該案已陸續法院立案階段。
