Incorporation Process Philippines: A Step-by-Step Guide
Incorporating a business in the Philippines is a vital step for entrepreneurs looking to establish their presence in one of Southeast Asia's fastest-growing economies. Did you know that the Philippines ranked 95th globally in ease of doing business according to the World Bank? This statistic underscores the importance of understanding the incorporation process to navigate it efficiently. Let’s dive into the details!
Why Incorporate in the Philippines?
Incorporating a business in the Philippines offers several advantages:
Legal Protection: A corporation is a separate legal entity, shielding personal assets from business liabilities.
Access to Opportunities: Corporations can engage in larger-scale projects and attract investors more easily.
Credibility: A registered corporation enhances trust with clients, partners, and stakeholders.
Step-by-Step Guide to Incorporation Process Philippines
Step 1: Reserve Your Business Name
The first step is reserving your business name with the Securities and Exchange Commission (SEC). This ensures that your chosen name is unique and compliant with SEC regulations. Once approved, you’ll receive a name verification slip, which is essential for subsequent steps.
👉 Tip: Make sure your business name reflects your brand while adhering to SEC guidelines.
Step 2: Prepare and Submit Required Documents
To register a corporation in the Philippines, you need to submit essential documents to SEC, including:
Articles of Incorporation and By-Laws
Treasurer’s Affidavit (notarized)
List of incorporators (minimum of 2; maximum of 15)
Proof of paid-up capital
Once submitted, SEC will issue a Certificate of Incorporation, legitimizing your business operations. This document is crucial for further registrations with other agencies.
Step 3: Register with Local Government Units (LGUs)
After securing your Certificate of Incorporation, register your business with LGUs where your office or establishment will operate. The requirements typically include:
Barangay Clearance
Mayor’s Permit
Business Tax Registration
This step ensures compliance with local regulations and enables you to operate legally within your chosen area.
Step 4: Tax Registration
Next, apply for a Taxpayer Identification Number (TIN) with the Bureau of Internal Revenue (BIR). This registration allows your corporation to issue official receipts and comply with tax obligations.
Step 5: Register Employees and Services
If you plan to hire employees, ensure they are registered with key government agencies such as:
Social Security System (SSS)
Philippine Health Insurance Corporation (PhilHealth)
Home Development Mutual Fund (Pag-Ibig Fund).
This step demonstrates compliance with labor laws and provides benefits for employees.
Key Considerations for SEC Philippines Incorporation
When incorporating in the Philippines, be mindful of these factors:
Ownership Structure: Foreign ownership is allowed but regulated in certain industries. Ensure compliance with equity restrictions if applicable.
Timeline: The incorporation process typically takes 2–3 months, depending on document preparation and approvals.
Regulated Industries: Additional permits may be required for businesses operating in regulated sectors like finance or healthcare.
Conclusion
The incorporation process Philippines may seem complex at first glance, but breaking it down into manageable steps makes it achievable! From reserving your business name to registering with LGUs and government agencies, each step builds toward creating a legitimate and thriving corporation. Whether you're looking to register a corporation Philippines or navigate SEC Philippines incorporation requirements, preparation is key. Dive into this exciting journey armed with knowledge and confidence!

CONSUMER ALERT: McDonalds Philippines' promotional sauce menu advertisement campaign "Dunk into Flavor" slapped its potential misleading affecting "Chili con Carne Dunk", leaving "Cheese Dunk" remain [#OneNETnewsInvestigatesEXCLUSIVE] (updated!!!)
Tumblr media
(Written by Rhayniel Saldasal Calimpong / Freelance News Writer and Presenter of OneNETnews & Online Media Reporter of ONC)
(1st UPDATE) DUMAGUETE, NEGROS ORIENTAL -- The highly awaited "Dunk into Flavor" promotion campaign of the American fast food giant, with a special focus on the spicy 'Chili con Carne' dunk and favorite 'Cheese Dunk' has hit a total roadblock. While the said 'Cheese Dunk' continues to be available as usual, the 'Chili con Carne Dunk' is said to be not available at least for a long time everywhere in all the McDonald's stores including two local branches in Dumaguete City covering Business Park in Brgy. Calindagan and Real Street on the highway of Brgy. Daro, next to the Government Service Insurance System (GSIS) branch office.
"Dunk into Flavor" aims to upgrade your McDonald's experience by providing you with two (2) richer sauce menus: "Cheese Dunk" and "Chili con Carne Dunk". Both sauces were highlighted as the best complement to McDonald's everyday menu items such as Cheeseburgers, McNuggets and Fries. 'Chili con Carne Dunk' was specially promoted as a hearty and robust sauce made using high-quality ground beef cooked down in a proprietary mix of spices.
Despite the promotional hype surrounding it, customers have reported that the 'Chili con Carne' dunk is unavailable at all store branches, a situation that has impacted some locations here in the Negros Island Region (NIR). This has sparked concerns regarding potentially misleading advertising, especially since the promotion is set to run until Sunday (March 16th, 2025). Sauce menu absence of the 'Chili con Carne' product remains a puzzle and could be caused by many reasons in logistical delays and supply chain breakdowns or operational problems.
Our consumer investigative news team of OneNETnews attempted and paid the sauce menu order of 'Cheese' dunk through the McDelivery App worth PHP50 each (or almost a dollar in the U.S.) last week on March 1st, everything went smoothly without any problem. But for the 'Chili con Carne' dunk, sadly, it was a complete failure.
This time, by the early weekend on Friday (March 14th), we re-ordering it again thru Cash-on-Delivery (CoD) via the McDelivery App, usually proven if the menu is considered to be scammed twice, or the "Chili con Carne" Dunk menu in stock a few weeks late. The prolonged sauce marketing product from McDonald's Philippines creates concerns about consumer protection law compliance along with consumer dissatisfaction throughout the country.
Deceptive advertisements may violate regulations established by the Department of Trade and Industry (DTI), such as the regional office on the '2nd Floor, Uymatiao Building, San Jose Street', this aforementioned city and province, the left side of BPI (Bank of the Philippine Islands) branch. The local government units (LGUs) are set to partner with DTI to investigate whether McDonald's Philippines is adhering to fair trade practices or not.
Tumblr media
On Wednesday afternoon (March 12th), an e-mail response with the Trade-Industry Development Specialist of DTI-Negros Oriental Provincial Office named 'Ms. Krystle Jade R. Bato' told OneNETnews, that the new menu offerings and other irregularities are both currently not covered under DTI's Sales Promotion Permit and Promotional Regulations. They only regulate sales promotions involving discounts, premiums and more, especially the importance of fair advertising to provide clear and accurate promotional information. DTI-NegOr will communicate with McDonald's Philippines in Dumaguete City to reinforce consumer trust and prevent misleading expectations in future promotions.
Fast-food advertising campaigns require full transparency because of this series of menu problems. The resolution of this issue by McDonald's Philippines should happen immediately to preserve consumer trust or die trying for nothing for the corporately American fast-food chain.

Filipino Welders in Switzerland: Post-Soviet Impacts, Employment, & Financial Aid Access
The narrative of Overseas Filipino Workers (OFWs) is a complex tapestry woven with threads of sacrifice, ambition, and resilience. Millions of Filipinos venture abroad each year, seeking opportunities that remain elusive in their homeland. From domestic workers to healthcare professionals, engineers to seamen, OFWs contribute significantly to the Philippine economy through their remittances, while simultaneously shaping the social and economic landscapes of their host countries. This article delves into a specific facet of this vast diaspora: Filipino welders, their experiences in Switzerland, the intricacies of employment verification, and the influence of the post-Soviet job market, particularly examining how these factors intersect with the availability and accessibility of financial aid programs.
The collapse of the Soviet Union in 1991 triggered a seismic shift in the global job market. The newly independent states of Eastern Europe and Central Asia underwent rapid economic transitions, often accompanied by instability and unemployment. This period saw a surge in demand for skilled labor in Western Europe, including Switzerland, as industries sought to capitalize on new markets and expand their operations. This created opportunities for skilled workers from around the world, including Filipino welders, who possessed the technical expertise and were willing to relocate for better prospects. Switzerland, renowned for its precision engineering and manufacturing industries, became a desirable destination. The country’s strong economy, high wages, and robust social security system offered a stark contrast to the uncertainties prevalent in many parts of the world during this era.
For Filipino welders, Switzerland presented a chance to earn significantly higher salaries than they could in the Philippines, enabling them to support their families back home and build a more secure future. The demand for welders in Switzerland, particularly during the post-Soviet era, aligned with the Philippines’ established vocational training programs, which produced a steady stream of qualified individuals seeking employment abroad. However, navigating the complexities of international migration presented its own set of challenges.
One of the crucial aspects of securing employment in Switzerland, or any country for that matter, is employment verification. This process ensures that prospective employers can confirm the authenticity of an applicant’s qualifications and experience. For Filipino welders, this often involves submitting various documents, including educational certificates, training records, and employment history, to Swiss authorities for validation. This process can be time-consuming and require navigating bureaucratic procedures, language barriers, and cultural differences. The importance of accurate and verifiable documentation cannot be overstated, as it directly impacts the success of an OFW’s application and their ability to obtain the necessary work permits.
The post-Soviet era, while creating opportunities, also introduced new challenges in employment verification. The influx of workers from diverse backgrounds meant that employers and immigration authorities had to grapple with a wider range of educational systems and qualification frameworks. This necessitated the development of more sophisticated verification processes and international collaborations to ensure the credibility of credentials. For Filipino welders, this meant adhering to evolving standards and potentially undergoing further assessments to demonstrate their competency.
The journey of an OFW is often fraught with financial burdens. The cost of travel, visa applications, and settling into a new country can be substantial. This is where financial aid programs play a vital role. These programs, offered by both the Philippine government and various non-governmental organizations, aim to alleviate some of the financial pressures faced by OFWs. They may provide assistance with pre-departure expenses, skills training, language courses, and even emergency funds in case of unforeseen circumstances. Accessing these programs, however, can be challenging. Information about available resources is not always readily accessible, and application processes can be complex. Furthermore, eligibility criteria may vary, and not all OFWs qualify for assistance.
The specific needs of Filipino welders, such as specialized training or equipment upgrades, may not always be addressed by existing financial aid programs. This highlights the need for more tailored support systems that cater to the specific occupational requirements of different OFW groups. For instance, programs that facilitate the recognition of Filipino welding certifications in Switzerland could streamline the employment process and reduce the need for costly re-training. Similarly, initiatives that provide access to affordable housing and healthcare can significantly improve the overall well-being of OFWs and their families.
Navigating the landscape of OFW resources can be daunting. Websites like OFWJobs.org (https://www.ofwjobs.org/) serve as valuable platforms for connecting OFWs with potential employers and providing information about relevant programs and services. These online resources play a crucial role in empowering OFWs with the knowledge and tools they need to make informed decisions and navigate the challenges of working abroad.
The Philippine government plays a multifaceted role in the OFW experience. It is responsible for protecting the rights and welfare of its citizens abroad, negotiating bilateral agreements with host countries, and providing support services through embassies and consulates. The government also plays a key role in regulating recruitment agencies, combating illegal recruitment practices, and ensuring that OFWs are not exploited or subjected to unfair labor practices. However, the sheer scale of the OFW phenomenon presents ongoing challenges in terms of oversight and enforcement.
The remittances sent home by OFWs contribute significantly to the Philippine economy, boosting consumer spending and fueling economic growth. These remittances have become a vital source of income for many Filipino families, enabling them to access better education, healthcare, and housing. However, the reliance on remittances also raises concerns about the long-term sustainability of the Philippine economy and the potential social costs of family separation.
The social impact of OFW migration is profound. While remittances provide economic benefits, the prolonged absence of family members can strain relationships and create emotional challenges for both the OFWs and their families back home. Children growing up without one or both parents may face unique developmental challenges. The emotional toll of separation, coupled with the pressures of working in a foreign land, can also impact the mental health of OFWs. Addressing these social and emotional needs requires a comprehensive approach involving government initiatives, community support systems, and access to mental health services.
Looking ahead, the future of OFW work, particularly for skilled professionals like welders, will likely be shaped by evolving global economic trends and technological advancements. Automation and the rise of artificial intelligence may impact the demand for certain skills, while the emergence of new industries may create new opportunities. The ongoing effects of climate change and geopolitical instability could also influence migration patterns and labor markets.
For Filipino welders, continuous professional development and adaptation to new technologies will be crucial for maintaining their competitiveness in the global job market. Investing in skills upgrading and lifelong learning can empower them to seize emerging opportunities and navigate the challenges of a rapidly changing world. The role of government and private sector partnerships in facilitating these upskilling initiatives will be increasingly important.
Furthermore, strengthening international collaborations and harmonizing qualification frameworks can streamline the employment verification process and facilitate greater mobility for skilled workers. This requires ongoing dialogue between governments, educational institutions, and professional organizations to ensure that skills and qualifications are recognized across borders.
The story of Filipino welders in Switzerland and beyond is a testament to the resilience and adaptability of OFWs. Their contributions to both the Philippine and global economies are undeniable. As the world continues to evolve, it is essential to recognize the multifaceted challenges and opportunities facing OFWs and to develop comprehensive support systems that empower them to achieve their full potential while safeguarding their rights and well-being. Continued efforts to improve access to financial aid, streamline employment verification processes, and address the social and emotional needs of OFWs are crucial for ensuring a more equitable and sustainable future for this vital segment of the global workforce.

Joint Affidavit of two incorporators
Name Verification Slip from the SEC.
3. Register with the Securities and Exchange Commission (SEC)
File all required documents with the SEC to formally incorporate your foundation as a non-stock, non-profit corporation. This step is crucial for legal recognition.
4. Obtain Additional Registrations
After SEC registration:
Register with the Bureau of Internal Revenue (BIR) for tax identification.
Secure permits from local government units (Barangay and City Hall).
Depending on your focus, register with relevant agencies such as the Department of Social Welfare and Development (DSWD).
Key Considerations: Foundation vs Non-Profit Organization
If you’re unsure whether a foundation is right for you, consider its differences from other non-profits. Foundations require higher capital (₱1,000,000) and often provide grants, while non-profits have lower financial requirements and rely heavily on volunteers. Paperboard Tubes - A Step Towards Sustanability
It is the 21st century and we're waking up to a huge environmental crisis.
Humans are using up all available non-renewable sources of energy on the planet.
There are multiple crises at play which are contributing to this global environmental crisis - non-uniform human population explosion, large scale deforestation, excess consumption, unimaginable production of non-biodegradable waste, a lack of responsible waste management and recycling issues which as this story today on BBC News... the list goes on and on.
Tumblr media
It is only recently (in the past couple of decades) that we've started paying heed to our surroundings and tried to assess the human impact and the consequences. Thus, the solutions to our problems are still work-in-progress. But among the many important steps we must take to curb our problems, 'recycling our waste and resources' is a top priority.
Therefore, paperboard products made of 100% recycled paper are an obvious choice to replace various non-sustainable and costly materials. In fact, paperboard tubes have been around for a while now, dating back to 1950s, and have proved to be cheap and eco-friendly.
Now used in a variety of industries ranging from packaging to construction, paperboard is particularly known for its strength and structural integrity and enable 100% recyclability.
Characteristics that make paperboard the first choice for the construction industry:
100% recyclable - can be reused or recycled as desired
Inexpensive - relative to other structural material available
Strength & stiffness - ability to support structural loads as per building codes
Technological advancements in engineering processes have enabled paper tubes to be highly engineered making them suitable for a variety of uses in construction and industrial winding operations. Depending on the use and function for which it is being used, the paperboard cores and tubes can be engineered for the required size, strength and integrity for numerous industrial and construction applications.
Application of Paperboard Tubes in Architecture
Until as recently as 2010, the use of paperboard was limited in the field of architecture. This was based on the fact that paper strength is compromised when exposed to high humidity levels. This limited its use for various load bearing structures.
However, thanks to some very powerful and pioneering work by 2014 Pritzker prize-winning Japanese Architect Shigeru Ban, we are now capable of manufacturing paperboard tubes which are specially treated to prevent moisture penetration. This technique has allowed paperboard to be used for architectural structures that display high load bearing capacity and structural strength that meet the compliances and permits.
Thus, paperboard tubes now find wide use in designing temporary or semi-permanent structures such as exhibition and entertainment spaces, houses, shelter homes and even bridges! Shigeru Ban's design was used following the devastation of Typhoon Haiyan in November of 2013 to provide emergency shelter in the Cebu region of the Philippines.
Paperboard Tubes in Construction Engineering
As mentioned previously, paperboard tubes have been used in the construction industry since 1950s, primarily for creating concrete columns for building frame construction. Large diameter tubes have also traditionally been used for horizontal formwork for bridges and similar structures.
While the currently available paperboard tubes are not optimized for heavy structural application, there is huge merit in using paper tubes for designing structures due to its recyclability and sustainable use.
Currently, numerous research work is already underway globally to make effective use of paperboard material and tubes to replace high cost material which can enable low cost and sustainable construction. This can potentially address the worldwide need for low cost housing and construction.
It is indeed the need of the hour - to act responsibly and rationally.
If you'd like to discuss your options in regards to cardboard tubes in the construction industry, please get in touch via our website.

Filipino English Teachers in Italy: Navigating the Future of OFW Work in a Digital Age
The Philippines has a long and complex history of labor migration, with millions of Filipinos working abroad as Overseas Filipino Workers (OFWs). These modern-day heroes contribute significantly to the Philippine economy through remittances, but their journeys are often fraught with challenges and sacrifices. This article will explore the multifaceted world of OFWs, focusing on English language instructors in Italy, the evolution of online banking services catering to their needs, the historical context of the domestic worker rights movement, and the potential decline in demand for certain OFW professions amidst the evolving global job market.
English Language Instructors in Italy: A Growing Niche
Italy, a land rich in culture and history, has seen a growing demand for English language instruction in recent years. This has opened up opportunities for Filipino English teachers, who are often highly regarded for their proficiency in English, strong work ethic, and adaptability. Many Filipinos hold bachelor's degrees in education or related fields, making them well-suited for teaching positions. The demand stems from a variety of sources, including Italian businesses seeking to improve their employees' English skills for international trade, students preparing for academic programs abroad, and individuals simply wanting to learn English for personal enrichment.
While opportunities exist, navigating the Italian job market can be challenging for Filipino English teachers. One crucial aspect is obtaining the necessary visa and work permits. Italy has specific regulations for non-EU citizens seeking employment, and navigating these bureaucratic processes can be time-consuming and complex. Networking within the expat community and utilizing online resources can be invaluable in finding job openings and understanding the requirements. Furthermore, cultural sensitivity and adapting to the Italian way of life are essential for successful integration and professional fulfillment. Building rapport with students and colleagues requires understanding cultural nuances and communication styles, contributing to a more positive and effective teaching experience.
Online Banking: A Lifeline for OFWs
The advent of online banking has revolutionized the way OFWs manage their finances. Sending remittances, which are a crucial lifeline for many families back home, has become significantly easier, faster, and more secure. Traditional methods, such as money transfer agencies, often involved long queues, high fees, and concerns about security. Online banking platforms now offer a convenient alternative, allowing OFWs to transfer money directly to their families' bank accounts with just a few clicks. Furthermore, online banking provides OFWs with greater control over their finances. They can monitor their account balances, pay bills, and manage investments from anywhere in the world with an internet connection.
Several banks in the Philippines and internationally have developed specialized services tailored to the needs of OFWs. These services often include preferential exchange rates, lower transaction fees, and dedicated customer support. Furthermore, many banks offer financial literacy programs and investment opportunities specifically designed for OFWs to help them manage their earnings effectively and plan for their future. The increasing accessibility of smartphones and internet connectivity globally has further empowered OFWs to take advantage of these online banking services.
The Long Road to Domestic Worker Rights: A Historical Perspective
The struggle for domestic worker rights is a global movement with a long and complex history. The fight for recognition, fair treatment, and legal protection for domestic workers dates back to the early 20th century, with incremental progress achieved through decades of advocacy and activism. Many OFWs work as domestic helpers, and their experiences are intertwined with this broader historical context. The International Labour Organization (ILO) played a crucial role in this movement, culminating in the adoption of the Domestic Workers Convention, 2011 (No. 189). This landmark convention recognizes domestic workers as employees with rights equivalent to those in other sectors, including minimum wage, rest days, and protection against abuse and exploitation.
The ratification and implementation of this convention by various countries have been a significant step forward, albeit with ongoing challenges. Many countries still lack adequate legal frameworks and enforcement mechanisms to protect domestic workers' rights effectively. Furthermore, societal attitudes and perceptions towards domestic work often contribute to their undervaluation and vulnerability to exploitation. Continued advocacy, awareness-raising, and capacity-building are essential to ensure that domestic workers receive the recognition, respect, and protection they deserve.
The Shifting Landscape of OFW Demand: Navigating Future Challenges
The global job market is constantly evolving, and certain OFW professions are facing potential declines in demand. Automation, technological advancements, and changing economic landscapes are influencing the types of skills and expertise that are in demand globally. For example, some traditional caregiving roles might see a shift towards technologically assisted care in the future. This necessitates a proactive approach from OFWs, governments, and relevant stakeholders to adapt to these changes and ensure the continued employability of Filipino workers abroad.
One crucial strategy is investing in skills development and training programs that equip OFWs with the skills needed for emerging job markets. This includes focusing on areas such as digital literacy, specialized technical skills, and language proficiency beyond English. Furthermore, promoting entrepreneurship and providing support for OFWs who wish to start their own businesses can create new opportunities and reduce reliance on traditional employment models. Platforms like OFWJobs.org (https://www.ofwjobs.org/) provide valuable resources and job listings specifically catering to OFWs, helping them navigate the changing job market and explore new career paths.
Looking Ahead: Empowering OFWs in a Changing World
The future of OFW work requires a multifaceted approach that addresses the evolving needs and challenges faced by Filipino workers abroad. Strengthening pre-departure orientation programs, providing access to legal and consular assistance, and promoting ethical recruitment practices are crucial steps in protecting OFWs' rights and well-being. Collaboration between governments, recruitment agencies, and non-governmental organizations is essential to create a supportive and protective environment for OFWs throughout their migration journey.
Furthermore, fostering financial literacy and providing access to investment opportunities can empower OFWs to manage their earnings effectively and build a secure future for themselves and their families. Promoting reintegration programs for returning OFWs can help them transition back into the Philippine workforce and contribute their skills and experiences to the local economy. Ultimately, recognizing and valuing the contributions of OFWs to both the Philippine and global economies is crucial. Their hard work, resilience, and dedication deserve recognition, support, and ongoing efforts to ensure their fair treatment, protection, and empowerment in a constantly changing world. The challenges are significant, but through collaborative efforts and proactive strategies, the future of OFW work can be one of greater opportunity, security, and prosperity.
