It Takes Three Redheads (Brick/Blossom/Berserk)
The city of townsville.
At what should have been a normal day by their standards was interrupted by a furious red flash breaking the sound barrier, zipping left and right, from one hospital to another. "MOVE YOU IDIOTS, I'M NOT GONNA MAKE IT IN TIME AND SHE'S GONNA KILL ME!"
That was the sound of a very panicking, concerned Brick clotheslining and pushing everyone out of his way. Knowing that he was going to be a father was an unexpected feeling he didn't believe he could had, neither was it ever a thought at his mind, but a lot of things had happened over the years. "Now where is-"
"BRICK! I AM DEFINITELY GONNA KILL YOU IF YOU DO NOT COME OVER TO THIS ROOM THIS INSTANT!"
One of those things was of course, marrying both Blossom and Berserk.
"YOU'VE ALREADY KILLED ME ONCE WITH A KISS, GIVE ME A FUCKING BREAK!"
"Brick, I don't think Blossom's screwing around. You better haul your ass here right now!"
Without even responding, he directs his movements towards the room to make his appearance known. The first image he was greeted was a tired Blossom, holding their daughter and Berserk chuckling at him. "At least you arrived just in the nick of time, you worry-wart. Say hello to our new daughter."
And for the first time, they could see him not knowing what to feel. No snarkiness, no wise ass remarks..for a while. Brick took a step forward and hold her in his arms. "She has your eyes Bloss."
"Mmhm. And she has my birthday as well seeing as how today really is my birthday. A lucky child that one."
"Heh, this kid is gonna be spoiled. If not by me, by your other self."
"Speak for yourself, daddy. Look who's getting all worked up!"
"Let him have his moment Berserk. So..do you have a name for her?"
Brick thought of it for a minute. "It ain't gonna be Blossick, that's for sure."
"You do that, you lose your naming rights just like Butch."
"I'm not that much of a dumbass, pinky. I was going for..Athena."
"A greek goddess. I like that."
"So..welcome to the world, Athena. We may not know much about this parenting stuff yet but..we promise to do our best."

Athena learned quickly most of the patterns of each parent by heart at age six. She knows all of the nooks and crannies to get out of the situation when a confrontation rises. Brick seems to love it when she gets him laughing with a smart remark, and her mirror mom will back her up when she needs it to get out of her birth mom's long winded lessons. "And so Athena, what's one plus one again?"
"One more if you're not careful."
"Wh-BRICK! Did you tell her that joke?!"
"Oh whatever do you mean, my darling?" Brick was trying hard to to quake with laughter, with the only indication was his hands vibrating along with the newspaper he was pretending to read. With that reponse gains him a body slam from his wife, and knowing that he was ticklish did so in petty payback.
And the playful banter started again, which seemed more comedic to her rather than two actual adults arguing. "Are they always like this, Mirror Mommy?"
"Believe it or not, they were a whole lot worse when they are around..say your age." Berserk nodded. "That includes Mirror Mommy as well."
She concluded her parents are weird, as much as they are loving and kind.

"Athena, we need to talk."
She was dreading that four exact words. She could have been anywhere but in her house right now with them just staring at her. "Mom.."
"Athena, what were you actually thinking back there? What in that conciousness of yours decided that this is actually okay?"
At thirteen years, she was formulating her own thoughts and opinions. Her disdain for snobs and bullies was in an all time high. That made her the biggest target in school, and it didn't help that she was very vocal about it. Being home in bruises was a normal day necessity as long as she gets the point across. But that was not why she got in trouble today.
"Athena Jojo, I am not talking to a brick wall. Please give me an answer when I ask you something."
The tone was set. She really meant business this time and she can't use her loopholes or sweet talking to get out of it. "Mom..I didn't mean to steal that make up set."
"Athena, it was in your bag when you left the mall. You're lucky Grandma Bellum let you off with a warning. If it was anyone else it would have been juvie for you. Does it sends you thrills to see us worried like this? What did we do to ever make you do this?"
Brick sensed something was off. "Bloss, let her some spac-"
"No Brick, I need to hear this out of her right NOW! Why did you do this, when you know nothing good is coming out of it?"
That was the last straw for her. "YOUR BIRTHDAY WAS COMING UP, MOM!"
Blossom could feel pins sticking her stomach. "M..My birthday? Athena..you mean.."
"Yeah…sniff." She couldn't contain her tears anymore. "That set costs an arm and a leg, and I don't have that much money, no matter how much I squeeze out of my friends for doing their homework. I-I've seen the way you look like you would have died and came back if you had it. I know I can't do much and I always cause trouble at school..but what kind of daughter would I be if I can't..IF I CAN'T EVEN GIVE MY MOM A SINGLE LOUSY BIRTHDAY GIFT!"
Regret flooded in Blossom's heart when she realized how wrong she was. Looking back, she did the same thing just make her own father happy, even if she knew it was wrong.
"Athena.."
Brick was the first to hug her, before her other moms joined in. "Kid, what you did there was stupid, but your heart and intentions were good. We would rather not have anything than to lose you, you know that better than anyone else."
"Your father's right." Berserk continued. "You are one hell of a gremlin, but you're our gremlin and we won't change that for anything."
"Athena..I'm so sorry I misunderstood your intentions. It may be wrong but you just wanted to do something for me. I know it's gonna take a while for you to talk to me but, I'll try my best to work it out."
"I hate you."
"I know, Moms can be stupid at times."
"Im sorry as well, I shouldn't have done that as well."
"It's all water under the bridge now Athena, let it all out."
From that day on, their bond has been tighter, despite the many differences in opinions that they had.

Daimler’s Truck Unit Maps Plans to Replace Diesel With Hydrogen Carmakers have been promising to scrap the internal combustion engine, and now it’s the truckmakers’ turn. But the makers of giant 18-wheelers are taking a different route. Daimler, the world’s largest maker of heavy trucks, whose Freightliners are a familiar sight on American interstates, said last week that it would convert to zero-emission vehicles within 15 years at the latest, providing another example of how the shift to electric power is reshaping vehicle manufacturing with significant implications for the climate, economic growth and jobs. The journey away from fossil fuels will play out differently and take longer in the trucking industry than it will for passenger cars. For one thing, zero emission long-haul trucks are not yet available in large numbers. And different technology may be needed to power the electric motors. Batteries work well for delivery vehicles and other short-haul trucks, which are already on the roads in significant numbers. But Daimler argues that battery power is not ideal for long-haul 18-wheelers, at least with current technology. The weight of the batteries alone subtracts too much from payload, an important consideration for cost-conscious trucking companies. Instead, Daimler and some rivals are betting on fuel cells that generate electricity from hydrogen. Fuel cells produce no tailpipe emissions, and hydrogen fuel tanks can be refilled as fast as diesel tanks — a distinct advantage compared with batteries, which typically take at least twice as long to recharge. In April, Daimler began testing a prototype “GenH2” long-haul truck capable of going 600 miles between visits to the hydrogen pump. But lots of work is needed to bring down the cost of the equipment and there is not yet a network of hydrogen fueling stations or an adequate supply of hydrogen produced in a way that does not cancel out the environmental benefits. Last week Daimler provided details of how it plans to solve these problems, with the goal of selling hydrogen-fueled long-haul trucks by 2027 that will be cheaper to buy and operate than diesel models. During an online presentation Thursday, Daimler executives announced a partnership with Shell to build a “hydrogen corridor” of fueling stations spanning northern Europe. For shorter-haul trucks, Daimler announced a partnership with the Chinese company CATL to develop batteries, and partnerships with Siemens and other companies to install high-voltage charging stations in Europe and the United States. In March, Daimler and Volvo Trucks, which are usually intense rivals, formed a joint venture to develop fuel cell systems that will convert hydrogen to electricity to power long-distance trucks. The message is that the energy transition is too big even for a company the size of Daimler, with revenue last year of 154 billion euros, or $188 billion, to manage on its own. Daimler has been working on hydrogen fuel cell technology for decades, but the technology is not yet cheap enough or rugged enough for commercial use. “The fuel cells out there today are not at all fulfilling the demands that we have coming from our customers,” Lars Stenqvist, chief technology officer of Volvo Trucks (which is a separate company from Volvo Cars), said in an interview from company headquarters in Gothenburg, Sweden. “That’s one reason to join forces with Daimler, in order to share that development burden.” Daimler, based in Stuttgart, is planning this year to split its truck- and bus-making operations from the division that makes Mercedes-Benz cars, forming a separate company with its own stock market listing. The spinoff of Daimler Truck, announced in February, is a momentous event for the company, which traces its roots to the inventors of the automobile and was once a sprawling conglomerate that manufactured airplanes and trains as well as autos. One motivation for the amicable divorce is to give the truck unit more freedom to react to technological change, while raising money from investors to help finance the enormous cost of developing emission-free long-haul vehicles. Daimler managers concede that some portions of its truck business are ailing. In the United States, Freightliner, which Daimler acquired in 1981, is the top selling brand of heavy truck, with more than one-third of the market. But in Europe, Mercedes-Benz brand trucks have lost market share and score behind rivals in customer satisfaction surveys. Karin Radstrom, hired this year from rival Scania to fix the Daimler Truck business in Europe and Latin America, said the company put too much energy into fancy engineering that customers weren’t willing to pay for. “To some extent we lost touch with our customers,” Ms. Radstrom said during the presentation Thursday. As with passenger cars, the truck-making dinosaurs like Scania, a unit of Volkswagen, or Paccar, maker of Kenworth and Peterbilt trucks, face new competitors trying to exploit the transition to electric technology. Nikola, a truck start-up based in Arizona, was briefly worth more than $20 billion on the stock market. But its shares have lost three-quarters of their value since the founder, Trevor Milton, resigned last year facing accusations he had made numerous false assertions about the company’s hydrogen fuel-cell technology. Nikola at least demonstrated how eager investors are to put their money into hydrogen trucks. Another example is Hyzon, a maker of fuel cells based in Rochester, N.Y., that has begun offering complete trucks and buses. In February, Hyzon was acquired by Decarbonization Plus Acquisition Corporation, a so-called SPAC that raises money before it has any assets. Tesla unveiled a design for a battery-powered semi truck in 2017, which the company has said it will begin delivering this year. Tesla, Scania and some other truckmakers are skeptical of hydrogen technology, which they regard as too expensive and less energy-efficient. The traditional truckmakers like Daimler and Volvo have some advantages over the start-ups. Truck buyers tend to be practical hauling firms or drivers who carefully calculate the costs of maintenance and fuel consumption before they make a decision. Managers of big fleets may also be reluctant to take a chance on a manufacturer without a long track record. “There is a lot more spreadsheet analysis and crossing the Ts before any orders are signed,” said Daniel Ives, a managing director at Wedbush Securities who follows the tech industry. “Daimler is in a massive position of strength.” For trucking companies, it is a confusing time. They face pressure from regulators to reduce their impact on the climate before there is a big selection of emission-free vehicles to buy, said Glen Kedzie, energy and environmental counsel for the American Trucking Associations, an industry group. President Biden has been promoting electric vehicles, but has not yet defined what that means for the trucking industry. Trucking companies, which have depended on diesel for most of the last century, will have to revamp their maintenance departments, install their own charging or hydrogen fueling stations in some cases, retrain drivers and learn to plan their routes around hydrogen or electric charging points. But Mr. Kedzie said that emission-free trucks also had some advantages. Fuel costs for battery-powered vehicles are much lower than for diesel trucks. Maintenance costs may be lower because electric vehicles have fewer moving parts. Drivers like the way electric trucks perform — an important factor at the moment when there is a driver shortage in America. Many companies that ship a lot of goods, like Walmart or Target, are trying to reduce their carbon footprints and taking an interest in zero-emission trucks. “There are a lot of potential benefits” Mr. Kedzie said. Feeling as if you should better understand special purpose acquisition vehicles – or SPACs — than you do? You aren’t alone.
Like most casual observers, you’re probably already aware that Paul Ryan now has a SPAC, as does baseball executive Billy Beane and Silicon Valley stalwart Kevin Hartz. You probably know, too, that brash entrepreneur Chamath Palihapitiya seemed to kick off the craze around SPACs — blank-check companies that are formed for the purpose of merging or acquiring other companies — in 2017 when he raised $600 million for a SPAC. Called Social Capital Hedosophia Holdings, it was ultimately used to take a 49% stake in the British spaceflight company Virgin Galactic.
But how do SPACs come together in the first place, how they work exactly, and should you be thinking of launching one? We talked this week with a number of people who are right now focused on almost nothing but SPACs to get our questions — and maybe yours, too — answered.
First, why are these things suddenly spreading like weeds?
Kevin Hartz — who we spoke with after his $200 million blank-check company made its stock market debut on Tuesday — said their popularity ties in part to “Sarbanes Oxley and the difficulty in taking a company public the traditional route.”
Troy Steckenrider, an operator who has partnered with Hartz on his newly public company, said the growing popularity of SPACs also ties to a “shift in the quality of the sponsor teams,” meaning that more people like Hartz are shepherding these vehicles versus “people who might not be able to raise a traditional fund historically.”
Indeed, according to the investment bank Jefferies, 76% of last year’s SPACs were sponsored by industry executives who “typically have public company experience or have sold their prior business and are seeking new opportunities,” up from 65% in 2018 and 32% in 2017.
Don’t forget, too, that there are whole lot of companies that have raised tens and hundreds of millions of dollars in venture capital and whose IPO plans may have been derailed or slowed by the COVID-19 pandemic. Some need a relatively frictionless way to get out the door, and there are plenty of investors who would like to give them that push.
How does one start the process of creating a SPAC?
The process is really no different than a traditional IPO, explains Chris Weekes, a managing director in the capital markets group at the investment bank Cowen. “There’s a roadshow that will incorporate one-on-one meetings between institutional investors and the SPAC’s management team” to drum up interest in the offering.
At the end of it, institutional investors like mutual funds, private equity funds, and family offices buy into the offering, along with a smaller percentage of retail investors.
Who can form a SPAC?
Anyone who can persuade shareholders to buy its shares.
These SPACs all seem to sell their shares at $10 apiece. Why?
Easier accounting? Tradition? It’s not entirely clear, though Weekes says $10 has “always been the unit price” for SPACs and continues to be with the very occasional exception, such as with Bill Ackman’s Pershing Square Capital Management. (Last month it launched a $4 billion SPAC that sold units for $20 each.)
Have SPACs changed structurally over the years?
Funny you should ask! This gets a little more technical, but when buying a unit of a SPAC, institutional investors typically get a share of common stock and a warrant or a fraction of a warrant, which is a security that entitles the holder to buy the underlying stock of the issuing company at a fixed price at a later date.
Years back, when a SPAC announced the company it planned to buy to institutional investors in the SPAC, they would either vote yes to the deal if they wanted to keep their money in, and no to the deal if they wanted to redeem their shares and get out. But sometimes investors would team up and threaten to torpedo a deal if they weren’t given founder shares or other preferential treatment. (“There was a bit of bullying in the marketplace,” says Weekes.)
Regulators have since separated the right to vote and the right to redeem one’s shares, meaning investors today can vote ‘yes’ or ‘no’ and still redeem their capital, making the voting process more perfunctory and enabling most deals to go through as planned.
Does that mean SPACs are more safe? They haven’t had the best reputation historically.
They’ve “already gone through their junk phase,” suspects Albert Vanderlaan, an attorney in the tech companies group of Orrick, the global law firm. “In the ’90s, these were considered a pretty junky situation,” he says. “They were abused by foreign investors. In the early 2000s, they were still pretty disfavored.” Things could turn on a dime again, he suggests, but over the last couple of years, the players have changed for the better, which is making a big difference.
How much of the money raised does a management team like Hartz and Steckenrider keep?
The rough rule of thumb is 2% of the SPAC value, plus $2 million, says Steckenrider. The 2% roughly covers the initial underwriting fee; the $2 million then covers the operating expenses of the SPAC, from the initial cost to launch it, to legal preparation, accounting, and NYSE or NASDAQ filing fees. It’s also “provides the reserves for the ongoing due diligence process,” he says.
Is this money like the carry that VCs receive, and do a SPAC’s managers receive it no matter how the SPAC performs?
Yes and yes.
Here’s how Hartz explains it: “On a $200 million SPAC, there’s a $50 million ‘promote’ that is earned at $10 a share if the transaction consummates at $10 a share,” which, again, is always the traditional size of a SPAC. “But if that company doesn’t perform and, say, drops in half over a year or 18-month period, then the shares are still worth $25 million.”
Hartz calls “egregious,” though he and Steckenrider formed their SPAC in exactly the same way rather than structure it differently.
Says Steckrider, “We ultimately decided to go with a plain-vanilla structure [because] as a first-time spec sponsor, we wanted to make sure that the investment community had as as easy as a time as possible understanding our SPAC. We do expect to renegotiate these economics when we go and do the [merger] transaction with the partner company,” he adds.
From a mechanics standpoint, what happens right after SPAC has raised its capital?
The money is moved into a blind trust until the management team decides which company or companies it wants to acquire. Share prices don’t really move much during this period as no investors know (or should know, at least) what the target company will be yet.
Does a $200 million SPAC look to acquire a company that’s valued at around the same amount?
No. According to law firm Vinson & Elkins, there’s no maximum size of a target company — only a minimum size (roughly 80% of the funds in the SPAC trust).
In fact, it’s typical for a SPAC to combine with a company that’s two to four times its IPO proceeds in order to reduce the dilutive impact of the founder shares and warrants.
In the case of Hartz’s and Steckenrider’s SPAC (it’s called One), they are looking to find a company “that’s approximately four to six times the size of our vehicle of $200 million,” says Harzt, “so that puts us around in the billion dollar range.”
Where does the rest of the money come from if the partner company is many times larger than the SPAC itself?
It comes from PIPE deals, which, like SPACs, have been around forever and come into and out of fashion. These are literally “private investments in public equities” and they get tacked onto SPACs once management has decided on the company with which it wants to merge.
It’s here that institutional investors get different treatment than retail investors, which is why some industry observers are wary of SPACs.
Specifically, a SPAC’s institutional investors — along with maybe new institutional investors that aren’t part of the SPAC — are told before the rest of the world what the acquisition target is under confidentiality agreements so that they can decide if they want to provide further financing for the deal via a PIPE transaction.
The information asymmetry seems unfair. Then again, they’re restricted not only from sharing information but also from trading the shares for a minimum of four months from the time that the initial business combination is made public. Retail investors, who’ve been left in the dark, can trade their shares any time.
How long does a SPAC have to get all of this done?
It varies, but the standard seems to be around two years.
What do you call that phase of the deal after the partner company has been identified and agrees to merge, but before the actual combination?
That’s called De-SPACing and during this stage of things, the SPAC has to obtain shareholder approval through that vote we talked about, followed by a review and commenting by the SEC.
Toward the end of this stretch — which can take 12 to 18 weeks — bankers aretaking out the new operating team and, in the style of a traditional roadshow, getting the story out to analysts who cover the segment so when the combined new company is revealed, it receives the kind of support that keeps public shareholders interested in a company.
Will we see more people from the venture world like Palihapitiya and Hartz start SPACs?
So far, says Weekes, he’s seeing less interest from VCs in sponsoring SPACs and more interest from them in selling their portfolio companies to a SPAC. As he notes, “Most venture firms are typically a little earlier stage investors and are private market investors, but there’s an uptick of interest across the board, from PE firms, hedge funds, long-only mutual funds.”
That might change if Hartz has anything to do with it. “We’re actually out in the Valley, speaking with all the funds and just looking to educate the venture funds,” he says. “We’ve had a lot of requests in. We think we’re going to convert [famed VC] Bill Gurley from being a direct listings champion to the SPAC champion very soon.”
In the meantime, Hartz says his SPAC doesn’t have a specific target in mind yet. But he does takes issue with the word “target,” preferring instead “partner” company.
“A target sounds like we’re trying to assassinate somebody.”

He was 49. “We are shocked and profoundly saddened by the passing of Lee Delaney,” said Christopher J. Baldwin, the company’s executive chairman, said in a statement. “Lee was a brilliant and humble leader who cared deeply for his colleagues, his family and his community.” Mr. Delaney joined BJ’s in 2016 as executive vice president and chief growth officer. He was promoted to president in 2019 and became chief executive last year. Before joining BJ’s, he was a partner in the Boston office of Bain & Company from 1996 to 2016. Mr. Delaney earned a master’s in business administration from Carnegie Mellon University, and attended the University of Massachusetts, where he pursued a double major in computer science and mathematics. Mr. Delaney led the company through the unexpected changes in consumer demand spurred by the pandemic, with many customers stockpiling wholesale goods as they hunkered down at home. “2020 was a remarkable, transformative and challenging year that structurally changed our business for the better,” Mr. Delaney said in the company’s last quarterly earnings report. The BJ’s board appointed Bob Eddy, the chief administrative and financial officer, to serve as the company’s interim chief executive. Now, the hottest enticement is permission to work not just from home, but from anywhere — even, say, from the French Alps or a Caribbean island. Revolut, a banking start-up based in London, said Thursday that it would allow its more than 2,000 employees to work abroad for up to two months a year in response to requests to visit overseas family for longer periods. “Our employees asked for flexibility, and that’s what we’re giving them as part of our ongoing focus on employee experience and choice,” said Jim MacDougall, Revolut’s vice president of human resources. Georgia Pacquette-Bramble, a communications manager for Revolut, said she was planning to trade the winter in London for Spain or somewhere in the Caribbean. Other colleagues have talked about spending time with family abroad. Revolut has been valued at $5.5 billion, making it one of Europe’s most valuable financial technology firms. It joins a number of companies that will allow more flexible working arrangements to continue after the pandemic ends. JPMorgan Chase, Salesforce, Ford Motor and Target have said they are giving up office space as they expect workers to spend less time in the office, and Spotify has told employees they can work from anywhere. Not all companies, however, are shifting away from the office. Tech companies, including Amazon, Facebook, Google and Apple, have added office space in New York over the last year. Amazon told employees it would “return to an office-centric culture as our baseline.” Dr. Dan Wang, an associate professor at Columbia Business School, said he did not expect office-centric companies to lose top talent to companies that allow flexible working, in part because many employees prefer to work from the office. Furthermore, when employees are not in the same space, there are fewer spontaneous interactions, and spontaneity is critical for developing ideas and collaborating, Dr. Wang said. “There is a cost,” he said. “Yes, we can interact via email, via Slack, via Zoom — we’ve all gotten used to that. John Coates, the acting director of the corporate finance division at the S.E.C., issued a lengthy statement on Thursday about how securities laws apply to blank-check firms, the DealBook newsletter reports. “With the unprecedented surge has come unprecedented scrutiny,” Mr. Coates wrote of the recent boom in blank-check deals. In particular, he is interested in a crucial (and controversial) difference between SPACs and traditional initial public offerings: blank-check firms are allowed to publish often-rosy financial forecasts when merging with an acquisition target, while companies going public in an I.P.O. are not. Regulators consider such forecasts too risky for firms as yet untested by the public markets. Investors raise money for SPACs via an I.P.O. of a shell company, and those funds are used within two years to merge with an unspecified company, which then also becomes a publicly traded company. Because the deal is technically a merger, it’s given the same “safe harbor” legal protections for its financial forecasts as a typical M.& A. deal. And that’s why there are flying-taxi companies with little revenue going public via a SPAC while promising billions in sales far in the future. The S.E.C. thinks allowing financial forecasts for these deals might be a problem. They can be “untested, speculative, misleading or even fraudulent,” Mr. Coates wrote. And he concludes his statement by suggesting a major rethink of how the “full panoply” of securities laws applies to SPACs, which could upend the blank-check business model. If the S.E.C. does not treat SPAC deals as the I.P.Os they effectively are, he writes, “potentially problematic forward-looking information may be disseminated without appropriate safeguards.” The letter serves as a warning, but perhaps not much else — yet. Unless the S.E.C. issues new rules (as it did for penny stocks) or Congress passes legislation, SPAC projections will continue. Amazon Warehouse Unionization Votes Either side needed 1,521 votes to win. A total of 505 ballots were challenged; 76 were void.·Source: National Labor Relations Board Amazon beat back the unionization drive at its warehouse in Bessemer, Ala., the counting of ballots in the closely watched effort showed on Friday. A total of 738 workers voted “Yes” to unionize and 1,798 voted “No.” There were 76 ballots marked as void and 505 votes were challenged, according to the National Labor Relations Board. The union leading the drive to organize, the Retail, Wholesale and Department Store Union, said most of the challenges were from Amazon. About 50 percent of the 5,805 eligible voters at the warehouse cast ballots in the election. Either side needed to receive more than 50 percent of all cast ballots to prevail. Online stores offering counterfeit or stolen vaccine cards have mushroomed in recent weeks, according to Saoud Khalifah, the founder of FakeSpot, which offers tools to detect fake listings and reviews online. The efforts are far from hidden, with Facebook pages named “vax-cards” and eBay listings with “blank vaccine cards” openly hawking the items, Sheera Frenkel reports for The New York Times. Last week, 45 state attorneys general banded together to call on Twitter, Shopify and eBay to stop the sale of false and stolen vaccine cards. Facebook, Twitter, eBay, Shopify and Etsy said that the sale of fake vaccine cards violated their rules and that they were removing posts that advertised the items. The Centers for Disease Control and Prevention introduced the vaccination cards in December, describing them as the “simplest” way to keep track of Covid-19 shots. By January, sales of false vaccine cards started picking up, Mr. Khalifah said. Many people found the cards were easy to forge from samples available online. Authentic cards were also stolen by pharmacists from their workplaces and put up for sale, he said. Many people who bought the cards were opposed to the Covid-19 vaccines, Mr. Khalifah said. The proposed $1.52 trillion in spending on discretionary programs would significantly bolster education, health research and fighting climate change. It comes on top of Mr. Biden’s $1.9 trillion stimulus package and a separate plan to spend $2.3 trillion on the nation’s infrastructure. Mr. Biden’s first spending request to Congress showcases his belief that expanding, not shrinking, the federal government is crucial to economic growth and prosperity. It would direct billions of dollars toward reducing inequities in housing and education, as well as making sure every government agency puts climate change at the front of its agenda. It does not include tax proposals, economic projections or so-called mandatory programs like Social Security, which will all be included in a formal budget request the White House will release this spring. And it asks for an increase of about 2 percent in spending on national defense. The request represents a sharp break with the policies of President Donald J. All told, the proposal calls for a $118 billion increase in discretionary spending in the 2022 fiscal year, when compared with the base spending allocations this year. Under the arrangement announced on Friday, the investor group will buy 49 percent of a new company called Aramco Oil Pipelines, which will have the rights to 25 years of payments from Aramco for transporting oil through Saudi Arabia’s pipeline networks. Aramco is under pressure from its main owner, the Saudi government, to generate cash to finance state operations as well as investments like new cities to diversify the economy away from oil. The company has pledged to pay $75 billion in annual dividends, nearly all to the government, as well as other taxes. Last year, the dividends came to well in excess of the company’s net income of $49 billion. Recently, Aramco was tapped by Crown Prince Mohammed bin Salman, the kingdom’s main policymaker, to lead a new domestic investment drive to build up the Saudi economy. From Saudi Arabia’s perspective, the deal has the virtue of raising money up front without giving up control. #MeToo or #WitchHunt – a level of analysis problem
I like tackling easy issues. A while back, I pretty much solved racism. So, yeah, you’re welcome.
Let’s try something else that should be easy and uncontroversial: the reaction to the last centuries (millennia) of sexual predation, which for the vast majority of cases (not saying all, only a mere 95-99%) is male predation on female-let’s call this reaction the #MeToo movement for obvious reasons. Let’s contrast this to the fear sometimes expressed that #MeToo is going too far and that innocent men (mostly, not exclusively) risk being scapegoated unjustly—let’s call that the fear-of-witch-hunts movement (#WitchHunt for short). I suggest that we try to address this, by first accepting that there is some legitimacy to both movements, and restating that legitimacy upfront. I see the pitchforks rising already, so let me clarify: saying that two movements have *some* legitimacy does not mean that *all* elements of the movements are legitimate, or that their legitimacy is comparable and equal in all ways. But diving in these terribly murky waters requires to be ready to deal with tensions and address boundary issues about legitimacy of each case, without fear of losing one’s principles and convictions.
[I’m following a very classical (dialectical) but forgotten way to look at an argument: understand what each side seeks to say, before jumping in.]

Now, let’s dive in.
The #MeToo Argument
This one seems like an easy one. We have centuries, millennia, of sexual aggression, rape, all the way down to daily cat calls, innuendos, insults, harassment, professional quid pro quos offered or forced, on and on and on.
[You might personally fear that normal and appropriate human interactions, including flirting, could be caught in the wave of #MeToo response—that is very much part of the #WitchHunt response, which we will look at next. But right now, remember that we try to first acknowledge the value of each side of the argument. So, stay in this space for a moment.]
Let’s be clear: What we’re talking about are unsolicited and inappropriate remarks, calls, touches, down to the criminal act of rape (footnote 1). The stats are hard to produce, but where they exist they go from 20% to 40% of women being victims of sexual aggression (a man putting his unsolicited hand on a woman’s buttocks, George Bush Sr style), to power abuses in the workplace (Bill Clinton receiving fellatio from an intern in the oval office), to forced quid pro quos (3 trillion cases reported and counting since Abraham offered his wife to pacify the new neighbors, all the way to Weinstein), all the way down to rape (which, according to the current’s US president former wife, is sometimes not “technically” or “legally” a rape, police affidavits notwithstanding), and yes murder.
On top of that, we must acknowledge that silence, victim shaming, sweeping under the rug, mockery if not complicity have been the dominant social responses to this phenomenon. I am assuming that this is an acknowledged reality, and that I don’t have to provide links, book references, or statistics right now.
And where are we today? In a small part of the world (the “West” but not only), where human rights have been heralded and feminism has made headway, a quarter of a century after the Anita Hill–Clarence Thomas controversy, after a man was elected president in spite of boasting about his sexual aggressions against women, and after women and men marched in Washington and U.S. cities, finally women with some power (Hollywood elites) found the courage to step forward. An ‘enough is enough’ movement was born at a time when social media amplifies voices (and where traditional media spend half of their time reporting on social media). Let’s remember – another painful topic – that priests’ abuses against children started being addressed only once the Internet took the control of public voice away from organized structures. (See ‘Here comes everybody.’) Social media can generate unwanted noise from the mob and the trolls, but have this for them that isolated voices can also rapidly find peers, echo, and scale.
This collective ‘enough is enough’ moment is the legitimacy of #MeToo. A revolution against the silence and denial, that have been part and parcel of centuries of victimization.
But… here comes the tension, the fear of a proverbial pendulum swing...
The #WitchHunt argument
I’ve known a couple of people who have been wrongly accused at some point of sexual harassment or worse. Imagine a single individual—you or me—being wrongly accused of an act that they did not commit, and seeing their name publicly tarnished for something lewd, vile, or criminal. This has happened, this can happen, and this will happen again. It is certainly a terrible thing for the victim, in this case the wrongly accused.
[Now, if you followed wholeheartedly the #MeToo argument, this point may strike you as unbalanced. But that’s the name of the game in this blog. Put that aside for a second, to try and acknowledge that even if there was only one person--your father, your brother, your friend--,accused wrongly for an innocent act, it would be a painful and unfair event. Right?]
Liberal, progressive, rule-of-law societies seek to err on the side of ‘innocent-until-proven-guilty’ for good reasons. It is not trivial to be accused of gender violence, lewdness, sexual violence, or rape. That’s why it cost Rolling Stone Magazine $1.7 million to settle a wrongful accusation case.
So, we have two powerful fears in front of us. I did not say equal, but we should be able to acknowledge that these two fears are opposed to each other, and both can reasonably strike reasonable human beings. So where do we go from here?
Moving forward—a level of analysis problem
We do not want metaphorical ‘public lynching’ taking the place of justice (footnote 2). On the other hand, given the role of silence and a permissive culture, which we just described for the #MeToo argument, how can we work this out? Is the law always enough? Is it enough that the law exists, when societies develop a tacit understanding that the law can be distorted or ignored? Sometimes society needs to steer justice toward courage. So, how do we reconcile the legitimacy of both claims and movements?
I see two lenses through which we can answer that question, and both are heavily dependent on context:
First there is the quantitative, numerical element. Since all actions have unintended effects, very few actions perfectly solve a problem. A big task for policy makers, arbiters of justice, and yes collective conscience, is to ask whether our actions lead to better outcomes for more people, along with fewer people affected by unintended effects. I will add a quantitative post-scriptum to this post. But numbers are not the focus here.
The lens that I want to focus on could be called the level of analysis problem (footnote 3). Simply stated, the level at which a problem is analyzed (micro or macro; individual or aggregate; personal or social) changes the nature of the problem (footnote 4). I recommend the quotes inserted in the footnote, but let’s summarize as follows:
When numbers (of people, of things, of events) increase, complexity increases at some point. Let’s take an example outside of our debate, just to be clear, then we’ll get back to it. One student late for a class is one kind of a problem. Two students late for a class is just twice the one student late problem. But 20/30 students late for a class is a different type of a problem.
We can look at a problem at different scales, with different tools of analysis, and derive different lessons. Are we addressing the problem of ‘Jules is always late for classes,’ or ‘most students in this class show up late?’ Not being clear about the level of analysis can lead to using the wrong tools for understanding what is happening, and drawing the wrong conclusions for what needs to be done about it.
#MeToo versus #WitchHunt is in part a level of analysis problem, mediated by the context in which we live.
While victims are individuals, and each aggression is a terribly individual story, the gist of my argument for the legitimacy of #MeToo was the massive historical number of abuses, insults, and crimes, and the overwhelming waves of silence, which have allowed these numbers to endure (and still do in most of the world). And the #MeToo movement, as symbolized by the hashtag of a social media tool, is a collective response to a collective problem (footnote 5). Breaking the silence, changing social mores and societal norms, is all about aggregating experiences and voices. #MeToo is collective action for social change to create the space for individual protection and justice currently denied.
But to make the #WitchHunt case, I switched to a focus on the individual. Innocent until proven guilty is not about groups, but individuals. ‘He said - she said’ is framed as a conflict between two individuals. This understanding needs to guide the future of our response to sexual aggression and violence.
At a collective level, we must continue to break a deadly silence (and seriously, ‘deadly’ is not hyperbole; murder and rape are incestuous cousins in the family of gender-based violence). An endemic crime against nature and our human identity has fed on silence, complicity, and on eyes turning away from discomfort and pain. We need far more #MeToo on a larger global scale and timeline in order to change the norms and festering environment that have allowed this to go on.
And yet, at an individual (case-by-case) level, we must hold firm to two fundamental principles, which are in tension but not in contradiction: (1) immediate recognition and protection of alleged victims, and (2) energetic but due-process for the alleged culprits, innocent until proven guilty.The grey zone and terribly complex space to maneuver is represented by this simple word, “alleged”, and in considering with growing intelligence the wide scale of offenses, which I am lumping together in this blog.
Consider context
Balancing the trade offs between #MeToo and #WitchHunt requires an understanding of the importance of context. Let’s consider a somewhat absurdist thought experiment to make the point:
A company hires a new Chief Financial Officer, and the head of human resources tells a board member, “you know, she’s been known to commit bank robberies on weekends.” Can you imagine the board member responding, “Well, you know, these things are complicated. We need to give her the benefit of the doubt. What’s bank robbery, what’s making a withdrawal? Those things are hard to sort out. Let’s not create a mountain out of a molehill here.”?
This isn’t even vaguely plausible because there is no widespread social tolerance for bank robbery. Whether the comment was a stupid joke or factual would be assessed and addressed very quickly. There would be no reason for the HR director to take the story to the media, or start a social media campaign -- #EnoughBankRobberies. The process for dealing with this individual suspected crime would be a legal individual process. Because the cultural context is different for bank robberies and for violence against women, there would be no collective call for a solution, only due process.
For sexual predation, however, we know as a fact that there have been a multitude of cases when someone said, “you know that [anchor, movie producer, president, famous politician, powerful business man, small business manager, supervisor, artist, scientist, chef] has a ‘history’ with women”, and that ‘history’ was allowed to endure. Silence has over and over again led to a repeat of the crimes and to escalation. So, maybe yes, sometimes, the court of public opinion may rule before the justice system takes action, because it has too long encouraged the same justice system to take no action. A context of complicit silence is forcing a cart before the horse response – public sanction is coming to weigh in before justice does. It’s unfortunate, but it is necessary. For now. It is indeed dangerous, and so is surgery. But sometimes it is lifesaving.

In the current context, I have to agree with Margaret Sullivan of the Washington Post when she writes: Is sexual harassment just a witch hunt now? That’s absurd, and here’s why. Over time, if we don’t lose sight of the goal and challenges to overcome, we might one day see a world where the context has drastically changed. I am looking forward to the day, when I can disagree with Sullivan, and when we have the same level of tolerance for sexual aggression as for bank robberies. But we ain’t there yet. There are laws and guiding principles as old as the book of Leviticus precisely about balancing #MeToo and #WitchHunt arguments. The rest of the bible and human history indicate that the #MeToo problem has not yet been solved. Maybe we’re getting a second chance at tackling the problem seriously. Evolution?
Of course, companies, justice, and employers must do their job and engage in due-process with respect for the principle of innocence until proven guilty. Some innocents will sometimes be unfairly treated, and it is the job of all of those in power and positions of decision-making to react early, effectively, and justly, so that these cases remain few and far between. We must ensure just redress and yes, avoid overreaction. Serious journalists will need to do what Rolling Stone did: retract, apologize, and make amends. So will employers. In some cases, we may need to learn how to replace dismissals with institutionalized steps protecting alleged victims and providing due process for alleged victimizers. But we must continue to turn dominant norms and status quo upside down. The few, the proportionally very few people, who make false claims need themselves to be taken through due process. On an individual case, authorities (legal, institutional) must bear the #WitchHunt risk in mind, but the #MeToo movement, if anything, needs to grow and scale globally. The fear that one person could make a false claim cannot justify silencing 10,000 women who have suffered for too long the impunity of the predators. (see the post-scriptum if you are interested in the numbers.)
Let’s support #MeToo, and whatever comes next to change our culture, wreck the status quo, make complicit silence unacceptable, make justice more just, and create a climate where victims dare to speak out without fear of retribution, shame, and further victimization. Let’s continue our collective evolution toward progress, and let’s have determined and intentional case-by-case due process responses. It’s not ‘either-or’; it’s a battle to fight on two levels in a complementary manner. That’s the only way for progress and slow healing from this millennium-old malady.
