“Corporation Code” CSRGOVE Blog entry 4 (week 4)

This week we did a quick brief through on the Corporation Code of the Philippines. I was able to remember a few thing form my BUSLAW2 subject I took a few terms ago. We are informed about the new rules or laws in starting up a corporation and a few refreshers on corporate social responsibilities. There are new revisions and additions in the corporation code of the Philippines.

The significant changes that we discussed and are understandable for us non-law practitioners are the following. There can now be a one person corporation.(Sec 10) Before there must be at least five people in a corporation. Corporations imbued with public interest are now required to elect a compliance officer (Sec 24) and are required to submit additional annual reports to the Securities and Exchange Commission.(Sec 177) Corporations now have a perpetual existence, meaning they no longer have to  amend their articles of incorporation  to extend the corporate life for another fifty years.(RA 11232) The minimum stock requirement rule has been null in order to benefit small to medium scale incorporators.(Sec 12)  Corporation can now apply for a revival with the SEC if their terms have expired prior to due renewal. Once the the request to the SEC has been approved the corporation is then deemed revived and is given a perpetual life under article 11232.(Sec 11) 

After being reviewed and updated on the corporation code of the Philippines. I am now more confident in starting or being part of a corporation. The revisions on the code are encouraging small to medium scale incorporators to enter into business and the provisions are more considerate for them since the most difficult years of a business are at the early years. The revised code also made it easier for struggling yet old corporations to survive. I will try to retain this knowledge about the code and be updated about it for years to come since it will be useful in the future for business.
