POMPANO BEACH, FL, April 03, 2024 - Xcyte Digital Corp. (TSXV: XCYT) (“Xcyte” or the “Company”), a spatial computing, event technology aggregator and developer providing a high value, cost-effective, multi-platform subscription service to host online virtual and immersive events, announced it has signed an asset purchase agreement today with A+ Conferencing, Ltd. ("A+","A+ Conferencing or Seller"), pursuant to which a wholly owned subsidiary of the Company acquired all of the assets of A+, a Texas-based conferencing services limited partnership (the "Transaction"). The consideration for the Transaction is comprised of a revenue share, whereby Xcyte will receive 70% of the gross revenue derived from the acquired business each quarter (subject to certain adjustments). This revenue share expires five (5) years from the signing of this agreement. Xcyte will make a cash payment of US$300K at the closing of the Transaction (the "Closing") today. Xcyte will also execute a promissory note in the principal amount of US$200K, which will be payable by Xcyte in four equal quarterly installments of US$50K, commencing on July 1, 2024 to the Seller. During the twelve months ended December 31, 2023, A+ generated US$1.4 million in revenue and approximately US$207K in normalized EBITDA[1] (unaudited). During the same period, being the twelve months ended December 31, 2023, Xcyte generated revenue and a normalized EBITDA loss of approximately US$1.2 million and US$915K[2] respectively (unaudited). This transaction is Arms-Length and no finder fees have been paid in relation to it.

“Canadians deserve their say, and that’s exactly what we are going to give them,” Trudeau said. He is kicking off his campaign Sunday afternoon with a virtual townhall with candidates.
“After making it through 17 months of nothing like we’ve ever experienced, Canadians deserve to choose what the next 17 months, what the next 17 years and beyond, will look like. And I know that we have the right plan, the right team, and the proven leadership to meet that moment,” he said. “So to the other parties: Please explain why you don’t think Canadians should have the choice? Why you don’t think that this is a pivotal moment?”
Following Trudeau, all other federal party leaders will kick off their campaigns with remarks in which they will frame their focus for the race, and likely call out Trudeau for triggering the vote while the country is still trying to rebound from the last 17 months.
While the opposition parties have criticized Trudeau's timing, arguing that the Liberals are unnecessarily putting their own political interests above those of Canadians who are once again facing another wave of COVID-19 cases, all sides have already been engaging in pseudo-electioneering all summer long.
Given the ongoing pandemic, parties have had to map out public health parameters in an effort to safely crisscross the country pitching themselves, their candidates, and their platforms. This has included various elements of protections depending on each campaign, including mandatory vaccination and regular rapid testing.
Conservative Leader Erin O’Toole is doing virtual-only events for the first day of his campaign. Making use of the party’s studio setup in Ottawa, the leader who his running his first federal race at the helm of his party has two “telephone townhalls” scheduled with supporters in Quebec and British Columbia. NDP Leader Jagmeet Singh will be starting his 2021 campaign in Montreal and will attend a Pride event. Green Party Leader Annamie Paul will be launching her campaign from her coveted riding of Toronto Centre with a rally, “mainstreeting,” and a virtual evening launch party with candidates.
In the 2019 federal election, voters reduced the 2015 Liberal majority to a minority and now Trudeau is ready to gamble that his handling of the pandemic—and the unprecedented financial support doled out— will propel his party back to majority territory.
However, polling data issued Friday by Nanos Research showed Liberal support dropping out of majority territory after the election call was reported.
While the next fixed election date isn’t until October 2023, minority governments rarely last the full four years between elections.
With Elections Canada embarking on a series of new public health measures to ensure that the vote is conducted safely amid a forth wave, the price tag for the election is estimated to be $610 million.
Canada's Chief Electoral Officer Stephane Perrault has previously spoken favourably about of having a longer writ period—campaigns can be up to 50 days in length under current rules— to allow Elections Canada to have a longer runway to get all elements of a national election in place. Nevertheless, the agency says it will be ready to safely conduct a vote that’s expected to include much more uptake in mail-in ballots.
After a last-minute crunch to pass as many key bills as possible before the House of Commons and Senate adjourned in June given the rampant speculation of a summer election call, all outstanding business in both chambers has died with the dissolution of Parliament, leaving it up to the next government to restart a legislative agenda.
During the process of dissolving a Parliament there are three main steps: dismissing the senators and members; calling the next Parliament and ordering the writs to be issued; and setting the date for when Parliament will next meet after the writs are returned with the results.
Writs are written orders instructing the returning officer in each of the 338 federal ridings to hold an election to select a member of Parliament.
The government, and the bureaucracy in each federal department and agency, will now enter a "caretaker" mode in which major decisions are limited.
Heading into the campaign, here's the current seat breakdown in the House of Commons:
Liberal: 155
Conservative: 119
Bloc Québécois: 32
NDP: 24
Independent: 5
Green Party: 2
A party needs to win 170 seats for a majority government.

MANILA – The government continues to build cooperation and deepen unity with the Filipino people through the conduct of the “Dagyaw 2020: Open Government Virtual Townhall Meetings” that will run from Oct. 8 to Dec. 3.
Cabinet officials, together with experts from non-government sectors, will tackle issues and provide updates about major plans, programs, and projects that would help address the needs of the people in the face of coronavirus-induced headwinds.
Dagyaw 2020 will also serve as an open, neutral, and protected space for the public to freely ask questions, raise their concerns, and give suggestions on the ways to improve government policies.
The conduct of this series of virtual town hall meetings is a result of a successful collaboration among different government agencies, spearheaded by the Department of the Interior and Local Government (DILG), Department of Budget and Management (DBM), and the Presidential Communications Operations Office (PCOO) in cooperation with the Caucus of Development NGO Networks and Right to Know, Right Now! Coalition.
It is anchored in the objective of the National Task Force Against COVID-19 Sub-Task Group on Governance to ensure people-centered, clean, technology-enabled, and responsive governance in addressing Covid-19.
Dagyaw began on Oct. 8 with its first episode, “Usapang Edukasyon: Is PH Ready for Distance/Blended Learning?” that was participated by the Department of Education, United Nations Children’s Fund, and E-NET Philippines.
Dialogues will resume on Oct. 15 for “Usapang Trabaho” with the Department of Labor and Employment, International Labor Organization, and NAGKAISA Labor Coalition.
This will be followed by “Usapang OFW: Kinabukasan at Kalagayan ng OFWs sa Panahon ng Pandemya” on Oct. 22 with the Department of Foreign Affairs, Blas F. Ople Policy Center and Training Institute, and Center for Migrant Advocacy.
On the last Thursday of the month, Oct. 29, the Department of Agriculture, World Bank, and Samahan ng Nagkakaisang Samahan ng mga Magsasaka will join “Usapang Agri: Ahon Lahat Para sa Pagkaing Sapat.”
The outputs from these dialogues will serve as key references of government in public decision-making, and shape and update government policies that can lead to better public sector performance and service delivery.
In observance of the required health protocols and limitations to travel and mass gatherings in place due to the Covid-19 pandemic, the conduct of the Dagyaw 2020 will utilize various civic technology and online platforms.
The episodes will be livestreamed through the official Facebook pages of various government agencies including the Philippine Open Government Partnership, DILG, DBM, and PCOO, 2 to 4:30 p.m.

Discord now has a $3.5B valuation and $100M for a sales pitch lighter on the gaming
Discord wants to be more than just a place for gamers, and is now billing itself as the Slack for users’ social lives.
The new pitch, and a new funding round of $100 million at a reported valuation of $3.5 billion, will help the company as it looks to erase its legacy as a home for gamers (and a virtual townhall for white nationalists).

Now, the company has more money at its disposal to monitor its user base and promote the image that the service isn’t just for gamers. “It turns out that, for a lot of you, it wasn’t just about video games anymore,” write co-founders Jason Citron and Stanislav Vishnevskiy in a blog post.
The two men frame their company as “a place designed to hang out and talk in the comfort of your own communities and friends.” Discord, they say, is “a place to have genuine conversations and spend quality time with people, whether catching up, learning something or sharing ideas.”
It hadn’t always been that way. Three years ago, the company tried to boot a number of its most racist users, but their ability to use the platform to disseminate hate speech has stubbornly persisted. Up until mid-2019 white nationalists were comfortable enough using the service to warrant a shoutout from Daily Stormer founder, Andrew Anglin, who urged his fellow travelers to stop using the service.
“Discord is always on and always present among these groups on the far-right,” Joan Donovan, the lead researcher on media manipulation at the Data & Society Research Institute, told Slate. “It’s the place where they do most of the organizing of doxing and harassment campaigns.”
Discord says these users are a small (and dwindling) fraction of a user base that now also includes Black Lives Matter organizers, social media influencers, and, of course, gamers.
There are now more than 100 million active users on the service that spend 4 billion minutes in conversation on 6.7 million active servers, according to a statement from the company.
If anything, Discord’s success is both a function and feature of the rapid rise of social gaming and social media. The company’s servers enabled real time communication across gaming platforms that turned them into the dominant social experience for a generation of players. They also enabled influencers on a variety of social media platforms to have a more direct relationship with their fans.
As Taylor Lorenz noted in her reporting on Discord’s newfound fanbase among social media entrepreneurs and celebrities:
Last March, Ninja, one of the most popular video-game live-streamers in the world, taught Drake how to use Discord while playing Fortnite. YouTube A-listers such as Philip DeFranco, Grace Helbig, and the Try Guys all have their own servers, and subreddits such as those dedicated to discussing The Bachelor and The Real Housewives have their own Discord groups too. More than 200 million people use the service.
“We designed Discord for talking. There’s no endless scrolling, no news feed, and no tracking likes. No algorithms decide what you ‘should’ see. We designed Discord to enable the experience and feelings we wanted to recreate: being together with your community and friends. You’ve made your servers into personal spaces filled with people you invited and set the topics of discussion,” the founders write.
The kinder, gentler Discord belies both the company’s name and its roots. But it is a sign of its efforts to shift the perceptions of investors and woo potential new users to the service.
In addition to its new cash, the company is highlighting a new user experience and added server video so that users can communicate more readily. There are templates available to help users create servers, and the company has increased its voice and video capacity by 200%.
As part of this new focus on product, Discord has launched what it calls a “Safety Center” which clearly defines the company’s rules and regulations and what actions users can take to monitor and manage their use of service for hate speech and abuse.
“We will continue to take decisive action against white supremacists, racists, and others who seek to use Discord for evil,” the founders write. 
Danny Rimer, the co-founder of Index Ventures, which led the investor group that invested in Discord’s latest $100 million cash infusion, is an advocate for the company’s expanded vision for itself.
“I believe Discord is the future of platforms because it demonstrates how a responsibly curated site can provide a safe space for people with shared interests,” Rimer wrote in a statement. “Rather than throwing raw content at you, like Facebook, it provides a shared experience for you and your friends. We’ll come to appreciate that Discord does for social conversation what Slack has done for professional conversation.”

The parallels to Slack are interesting and begin with the fact that both companies began their lives as gaming studios before moving to become communications services.
“In France this year, Discord was adopted as the primary app for distance learning after the government’s official service failed. As a result, Discord reached the top ten app downloads in France in March and is still in the top 50 in the US and UK today,” Rimer noted in his explanation of Index’s latest investment. “As Discord plans its next phase of growth, it will become even more inclusive and welcoming for new users and communities and it will continue to be guided by the users that have informed its development from the start.”

According to whom? The answer is obvious: according to Apple, Google, YouTube, Facebook, and Twitter. They are becoming the Big Brother Orwell foresaw. Townhall, not Shopping Mall! Community, making, and the future of the Internet
I presented a version of this talk at the 2014 Futurebook Conference in London, England. They also kindly featured me in the program. Thank you to The Bookseller for a wonderful conference filled with innovation and intelligent people!
A few days ago, I was in the Bodleian Library at Oxford University, often considered the most beautiful library in the world. My enthusiastic guide told the following story:
After the Reformation (when all the books in Oxford were burned), Sir Thomas Bodleydecided to create a place where people could go and access all the world’s information at their fingertips, for free.
“What does that sound like?” she asked. “…the Internet?”
While this is a lovely conceit, the part of the story that resonated with me for this talk is the other big change that Bodley made, which was to work with publishers, who were largely a monopoly at that point, to fill his library for free by turning the library into a copyright library. While this seemed antithetical to the ways that publishers worked, in giving a copy of their very expensive books away, they left an indelible and permanent mark on the face of human knowledge. It was not only preservation, but self-preservation.
Bodley was what people nowadays would probably call “an innovator” and maybe even in the parlance of my field, a “community manager.”
By thinking outside of the scheme of how publishing works, he joined together with a group of skeptics and created one of the greatest knowledge repositories in the world, one that still exists 700 years later. This speaks to a few issues:
Sharing economies, community, and publishing should and do go hand in hand and have since the birth of libraries. By stepping outside of traditional models, you are creating a world filled with limitless knowledge and crafting it in new and unexpected ways.
The bound manuscript is one of the most enduring technologies. This story remains relevant because books are still books and people are still reading them.
As the same time, things are definitely changing. For the most part, books and manuscripts were pretty much identifiable as books and manuscripts for the past 1000 years.
But what if I were to give Google Maps to a 16th Century Map Maker? Or what if I were to show Joseph Pulitzer Medium? Or what if I were to hand Gutenberg a Kindle? Or Project Gutenberg for that matter? What if I were to explain to Thomas Bodley how I shared the new Lena Dunham book with a friend by sending her the file instead of actually handing her the physical book? What if I were to try to explain Lena Dunham?
These innovations have all taken place within the last twenty years, and I would argue that we haven’t even scratched the surface in terms of the innovations that are to come.
We need to accept that the future of the printed word may vary from words on paper to an ereader or computer in 500 years, but I want to emphasize that in the 500 years to come, it will more likely vary from the ereader to a giant question mark.
International literacy rates have risen rapidly over the past 100 years and companies are scrambling to be the first to reach what they call “developing markets” in terms of connectivity. In the vein of Mark Surman’s talk at the Mozilla Festival this year, I will instead call these economies post-colonial economies.
Because we (as people of the book) are fundamentally idealists who believe that the printed word can change lives, we need to be engaged with rethinking the printed word in a way that recognizes power structures and does not settle for the limited choices that the corporate Internet provides (think Facebook vs WhatsApp). This is not as a panacea to fix the world’s ills.
In the Atlantic last year, Phil Nichols wrote an excellent piece that paralleled Web literacy and early 20th century literacy movements. The dualities between “connected” and “non-connected,” he writes, impose the same kinds of binaries and blind cure-all for social ills that the “literacy” movement imposed in the early 20th century. In equating “connectedness” with opportunity, we are “hiding an ideology that is rooted in social control.”
Surman, who is director of the Mozilla Foundation, claims that the Web, which had so much potential to become a free and open virtual meeting place for communities, has started to resemble a shopping mall. While I can go there and meet with my friends, it’s still controlled by cameras that are watching my every move and its sole motive is to get me to buy things.
85 percent of North America is connected to the Internet and 40 percent of the world is connected. Connectivity increased at a rate of 676% in the past 13 years. Studies show that literacy and connectivity go hand in hand.
How do you envision a fully connected world? How do you envision a fully literate world? How can we empower a new generation of connected communities to become learners rather than consumers?
I’m not one of these technology nuts who’s going to argue that books are going to somehow leave their containers and become networked floating apparatuses, and I’m not going to argue that the ereader is a significantly different vessel than the physical book.
I’m also not going to argue that we’re going to have a world of people who are only Web literate and not reading books in twenty years. To make any kind of future prediction would be a false prophesy, elitist, and perhaps dangerous.
Although I don’t know what the printed word will look like in the next 500 years,
I want to take a moment to think outside the book,
to think outside traditional publishing models, and to embrace the instantaneousness, randomness, and spontaneity of the Internet as it could be, not as it is now.
One way I want you to embrace the wonderful wide Web is to try to at least partially decouple your social media followers from your community.
Twitter and other forms of social media are certainly a delightful and fun way for communities to communicate and get involved, but your viral campaign, if you have it, is not your community.
True communities of practice are groups of people who come together to think beyond traditional models and innovate within a domain. For a touchstone, a community of practice is something like the Penguin Labs internal innovation center that Tom Weldon spoke about this morning and not like Penguin’s 600,000 followers on Twitter. How can we bring people together to allow for innovation, communication, and creation?
The Internet provides new and unlimited opportunities for community and innovation, but we have to start managing communities and embracing the people we touch as makers rather than simply followers or consumers.
The maker economy is here— participatory content creation has become the norm rather than the exception. You have the potential to reach and mobilize 2.1 billion people and let them tell you what they want, but you have to identify leaders and early adopters and you have to empower them.
How do you recognize the people who create content for you? I don’t mean authors, but instead the ambassadors who want to get involved and stay involved with your brand.
I want to ask you, in the spirit of innovation from the edges
What is your next platform for radical participation? How are you enabling your community to bring you to the next level? How can you differentiate your brand and make every single person you touch psyched to read your content, together? How can you create a community of practice?
Community is conversation. Your users are not your community.
Ask yourself the question Rachel Fershleiser asked when building a community on Tumblr: Are you reaching out to the people who want to hear from you and encouraging them or are you just letting your community be unplanned and organic?
There reaches a point where we reach the limit of unplanned organic growth. Know when you reach this limit.
Target, plan, be upbeat, and encourage people to talk to one another without your help and stretch the creativity of your work to the upper limit.
Does this model look different from when you started working in publishing? Good.
As the story of the Bodelian Library illustrated, sometimes a totally crazy idea can be the beginning of an enduring institution.
To repeat, the book is one of the most durable technologies and publishing is one of the most durable industries in history. Its durability has been put to the test more than once, and it will surely be put to the test again. Think of your current concerns as a minor stumbling block in a history filled with success, a history that has documented and shaped the world.
Don’t be afraid of the person who calls you up and says, “I have this crazy idea that may just change the way you work…” While the industry may shift, the printed word will always prevail.
Publishing has been around in some shape or form for 1000 years. Here’s hoping that it’s around for another 1000 more.

BUTUAN CITY, Oct. 30 (PIA) -- Speakers of the first episode of Dagyaw 2020: Virtual Town Hall Meeting praised the Department of the Interior and Local Government (DILG) Caraga, Department of Budget Management (DBM) Caraga and the Philippine Information Agency (PIA) Caraga for spearheading the event, which helped shed light on the strong partnership between civil society organizations, private sector, and the government.
Glenn Bais, regional coordinator of Philippine Partnership for the Development of Human Resources in Rural Areas (PhilDHRRA) – Mindanao, who discussed the first topic of the said episode “Building Resilience” commended the said agencies for hosting the event.
“We are so happy that through Dagyaw and other platforms, we are able to display the spirit of partnership and collaboration between and among CSOs and the government and even with the private sector,” he said.
Dagyaw is one of the main campaigns of the current administration that aims to bring the government closer to the people. This year’s campaign focused on making the actions of the government and non-government stakeholders and partners on the current issues, such as the coronavirus disease 2019 (COVID-19) pandemic.
The event was launched virtually on Thursday via Facebook Live on DILG Caraga and PIA Caraga's official Facebook pages. This was aimed to make it more accessible to the public without compromising their health and safety.
The organization head discussed how Caraganons can build resilience, the ability to overcome and recover from challenges and difficulties, despite the pressure brought by the pandemic.
This entailed nurturing the said trait in oneself by keeping a positive outlook in the situation and facing stressors head-on. Having a strong support system can also help with maintaining resilience, which could comprise of friends and families or even peer groups.
Financial literacy was also briefly discussed. According to Bais, to achieve financial freedom, certain habits must be formed.
“These include making financial goals, budgeting, identifying firstly the needs before wants, knowledge on managing finances, investing, and taking care of one’s mental health. You must also be willing to commit to these habits. Doing so will guarantee financial freedom,” he said.
The PHilDHRRA head also emphasized the need to prepare for future uncertainties. On the part of the government, it is suggested that a recovery master plan that includes innovative strategies that address and mitigate multifaceted issues and a financial literacy program must be made. Government agencies and local government units (LGUs) must also mobilize CSOs to deliver its programs to the marginalized and vulnerable groups.
He concluded his presentation by lauding the efforts of the government to strengthen their links with non-state actors (NSAs) such as PhilDHRRA.
“I am so happy that the government is opening its doors. We all know that social accountability works when there is an open and responsive government. Through this, we can also fortify our partnership. When we are united, we can extend more help especially during this unprecedented crisis.”
"Dagyaw", the Hiligaynon word for "bayanihan," is a series of Open Government Partnership (OGP) and Participatory Governance Regional Townhall Meetings launched by the DBM and DILG with support from the Presidential Communications Operations Office (PCOO) and non-government partners.
The event serves as a platform for productive, valuable, sincere and visible engagement between senior officials of government and the citizens, promoting and disseminating information on the open government and participatory governance initiatives of the Duterte administration.
