21 - why

Stream

Today was quite a productive stream in terms of the things that I managed to do. In addition to thoroughly enjoying the new features added to Hearthstone, I got quite far into Act V of Diablo II. Hopefully, the next stream of Diablo II will allow me to finish it. It did suck, however, that my stream was dying due to wifi issues while our air conditioner was being fixed. And the people who keep on following me just to advertise their work and then leave and unfollow are REALLY getting on my nerves. I just want some people to interact with while I play the games that I enjoy, and the bot-like existence these people present is unfun to deal with. Sadly, I do not think that will happen anytime soon. Still, I will persevere.

Dogs

I mentioned earlier today that I had seen the neighbor's dog acting very strange. I believe it had jaundice, and I am not retracting that statement, but it seems that it in fact did NOT kill a possum. The possum had simply played dead and escaped. Or maybe it was killed and the dog had finally eaten it (STRANGE behavior)... Either way, I think the dog had been accidentally abandoned, and it may have happened a while ago since it kept a distance from me. The other dog-related scenario today happened on my daily walk with my brother. We were walking like normal until we saw that a dog was standing outside of the usual fencing it was in and on top of the short brick wall that bordered the house. It too exhibited strange behavior, not coming to chase us and not barking. What a weird day that made me a little less comfortable around dogs.

He is the medic of the team and as a result of his role, he carries the minimum amount of ammunition and mainly carries all kinds of medical equipment such as stretcher bars he attaches to the sides of his D2 armored back pack.   He was the team-medic for Team-Tzirallum, a workaholic spending most of his time studying medicine and bioengineering to help people in need, in fact he was one of the first robots to be nominated a Nobel Prize for his work on reversing irreversible protein in the optic nerve, he is a quiet bot whose daily conversational vocabulary is limited to "Uh-huh" "Yes" "No" "Affirmative" and "Don't do anything stupid." the final words usually directed to FLUFU-72000177 Julia Constantia, she would often time help him with whatever he needed, she would talk to him constantly and he would listen, not sounded like he was, but listened intently and the two were two pees in a pod.  <Weapons>   Licinianus II carries two weapons.  ・his main weapon was the Vektor CR-21 bullpup assault rifle with the Issue-Vierzig sight and a laser sight on top of said sight. the rifle fires the 5.56x45mm NATO round from a 30 round magazine which he carries five. (150 rounds total)  ・his secondary weapon Vektor CP-1 that fires the 9x19mm Parabellum from a 15 round magazine which he carries ten. (150 rounds total)

SEC Probes Twitter Over Spam Accounts — Court docket Orders the Social Media Big to Present Extra Knowledge to Elon Musk

Twitter Inc. has been ordered to provide additional data relating to spam and bot accounts to Elon Musk. The social media giant has sued the Tesla CEO for terminating his $44 billion offer to buy the social media platform. The U.S. Securities and Exchange Commission (SEC) has also questioned Twitter about the number of spam accounts.

Court Orders Twitter to Give Additional Data to Elon Musk

Chancellor Kathaleen St. J. McCormick, a judge on the Delaware Court of Chancery, signed an order Thursday requiring Twitter Inc. (NYSE: TWTR) to provide additional data to Tesla and Spacex CEO Elon Musk. Plaintiff Twitter has sued defendants Musk and his two companies, X Holdings I and X Holdings II, for terminating the $44 billion deal to buy the social media platform. Musk has countersued Twitter. Judge McCormick stated in her order: Defendants’ data requests are absolutely abroad. She added: “Read literally, Defendants’ documents request would require Plaintiff to produce trillions upon trillions of data points reflecting all of the data Twitter might possibly store for each of the approximately 200 million accounts included in its mDAU count every day on every three years.” The social media company defines monetizable daily active users (mDAU) as “Twitter users who logged in and accessed Twitter on any given day through Twitter.com or Twitter applications that are able to show ads.” The order further reads: Plaintiff is ordered to produce a subset of what Defendants have requested: the 9,000 accounts reviewed in connection with Plaintiff’s Q4 2021 audit, which the parties refer to as the ‘historical snapshot.’ “Plaintiff represented that, with considerable effort, these documents could be produced in under two weeks, and Plaintiff shall strive to meet that timeline. In addition, Plaintiff must produce documents sufficient to show how those 9,000 accounts were selected for review,” the order details. Meanwhile, the U.S. Securities and Exchange Commission (SEC) has probed Twitter over its method of identifying spam accounts, according to a new regulatory filing made public Wednesday. In a letter dated June 15, the SEC asked Twitter CEO Parag Agrawal to provide some information regarding how the company calculates the number of bot accounts. “We note your estimate that the average number of false or spam accounts during fiscal 2021 continues to represent fewer than 5% of mDAU,” the SEC wrote, adding: To the extent material, please disclose the methodology used in calculating these figures and the underlying judgements and assumptions used by management. Twitter responded to the SEC inquiry with a standard description of the methodology on June 22. The social media giant informed the securities regulator that it has “adequately” disclosed the methodology that it uses, noting that it randomly selects thousands of accounts to be reviewed by people each quarter. The SEC sent another letter to Twitter on July 27 stating: “We have completed our review of your filings. We remind you that the company and its management are responsible for the accuracy and adequacy of their disclosures, notwithstanding any review, comments, action or absence of action by the staff.” Earlier this month, Musk sold nearly 8 million Tesla shares. The Tesla boss said that in the event that Twitter forces the buyout deal to close and some equity partners do not come through, it is important to avoid an emergency sale of Tesla stock. Twitter Sues Musk For Attempting To Back Out Of Purchasing Twitter

Twitter, a popular social media platform, where messages called “tweets” limited to 280 characters are submitted for public opinion, has recently been embroiled in a legal battle.[i] Elon Musk, an American businessman who owns Tesla and other companies, agreed in April of 2022 that he would buy Twitter and take it private.[ii] This would mean that certain laws around censoring speech would not apply and people who felt they were excluded due their speech and beliefs during recent years could speak their mind. He also stated that he would get rid of spam bots and make sure real people were running the twitter accounts. [iii]However, in July of 2022, Musk tweeted that he did not believe the deal could move forward and informed Twitter later through the appropriate legal filings that he no longer wanted to complete their deal[iv]. Twitter is refusing to let him out of the deal and are taking him to court. The court date will be in October of this year. Musk wanted the trial to take place in late February, while Twitter asked for a date in September.[v] Musk stated that he needed the additional time to verify the number of actual users that Twitter has on its website from the data that Twitter sent him.[vi] Twitter needs the deal to go through quickly because the public fight with Musk has caused their stock to dip. In addition, Musk has continued to disparage Twitter online in order to get out of the deal, further damaging their image. [vii]

Elon Musk no longer wants to buy twitter because he claims they did not fulfill their end of the bargain when it came to proving to him with data how many real visitors they have on their sites. They also fired several employees. However, Twitter argues that Musk simply wanted to torpedo the deal when he asked for all the data.[ix] They were required to answer his requests that were reasonable and for the purpose of running the business, but they do not hold that this request was reasonable. Also, Twitter and Musk had agreed that they could fire and hire who they wanted during this process and run their daily operations. [x] Twitter is suggesting that Musk is attempting to get out of the deal with these accusations since his Tesla stock, which he was going to use to fund the purchase, has tanked since the deal was agreed upon.[xi] Twitter also is charging Musk with publicly disparaging Twitter after he decided he no longer wanted to move forward with the deal. [xii]

Twitter is most likely fighting so hard for this deal due to the increased price that Musk had agreed to buy their stocks at and how that would benefit their shareholders. Musk had agreed to pay $54 dollars per share. Currently, Twitter stock is being traded for about $36 dollars. However, there are some people, twitter users and employees who would be delighted if the Twitter deal did not go through. They cite Musk’s troublesome past where employees have brought lawsuits and complaints against him for their treatment during the time they worked for him.

Musk backing out of the Twitter deal is also a problem for the banks. The banks that have committed among them Morgan Stanley, Barclays, and Bank of America have pledged themselves to this deal. Thus, unless Musk gets a court not to enforce the deal, they will still most likely pay. If they reneged before that then they could seem untrustworthy to their other clients. If they do back out of the deal, Musk can take them to court. However, it ends, the financial tangles of this lawsuit are certainly intensive. [xiii]

In September the shareholders of Twitter will vote on Musk’s plan and then in October, we shall see what the Delaware courts decide.[xiv] Musk could have to go through with the deal or simply pay a hefty fine for backing out.[xv] We shall have to watch and see. Although, in the past, courts have not looked favorably on people backing out due to being unable to finance their deal. Thus, if this is the true reason behind Musk’s reticence then most likely he will still have to fund the deal. Interestingly enough, if the banks were able to back out, the court could still rule that Musk has to pay.[xvi] Whatever the court decides will have a pronounced impact on the company Twitter and Musk.
