Fredrikstad, November 6.2018: Jøtul Group (“Jøtul”), one of the world’s oldest producers of stoves, inserts and fireplaces, announced today that its owner since March this year, OpenGate Capital, a global private equity firm, has signed an agreement to acquire AICO S.p.A. (“AICO”), an Italian manufacturer of residential stoves, fireplaces, boilers and cookers from Ambienta SGR, a European private equity group.

AICO offers a wide range of premium home heating products that are energy efficient and utilize pellets, a renewable energy source. The business features two well-established brands, Ravelli and Elledi, which are exported to more than 40 countries. Headquartered in Palazzolo sull’Oglio, Italy, AICO’s 150 employees oversee the design, manufacturing and in-house testing to ensure all products comply with European quality, safety, and environmental compliance standards.

AICO will constitute a synergistic add-on to Jøtul and enhance the Jøtul product portfolio with pellet technology products, a growing market for consumers demanding an alternative to wood-based home heating products or heating based on fossil fuels.

“We have been working closely with OpenGate’s team of professionals on the AICO transaction, and we are happy with this add-on to our existing business. Upon completion of this investment, AICO’s products will expand the Jøtul portfolio and enable the business to be a more complete supplier to the many exclusive and multi-brand specialty dealers. This is especially important in the Latin European Market where use of pellets technology for heating is growing. This transaction will create synergies and give AICO the possibility to expand into new markets”, said Jøtul CEO, Nils Agnar Brunborg.

Closing is expected by mid of November 2018. Terms of the transaction were not disclosed. In conjunction with the transaction, Jøtul has mandated Pareto Securities AB to (i) investigate the possibility of carrying out a subsequent issue of bonds which, should it materialize, would utilize a substantial portion of the outstanding capacity under Jøtul’s existing senior secured bonds; and (ii) negotiate with bondholders regarding potential amendments to be made to the terms and conditions of Jøtul’s existing senior secured bonds, including, inter alia, an increase in the amount of debt permitted under Jøtul’s working capital facility.

Cast Iron stove by Jøtul, Norway

The owners, Katee & Andrew, call this “The House that Craigslist Built.”  It’s an 1835 farmhouse in Maine, with meadows and gardens left wild around it, situated at the end of a two-mile-long dirt road.

Inside, the couple took all of the walls down to the plaster and lath and left most of the floors as-is.

The current appliances came with the farmhouse. Katee has a knack for sourcing through Craigslist, and has already sourced industrial-grade replacements—including “a Nineties commercial Viking range, three-bay commercial sink, and stainless worktop fridge”—to be installed.

The large woodstove came with the farmhouse. They’ve since replaced it with a Jøtul model which, together with another Jøtul woodstove in the living room, will serve as the only source of heat in the Maine winters, fed by firewood that the couple chops themselves.

The living area is fitted with thrifted finds: The couch from the Habitat for Humanity ReStore shop.

The back bedroom, to the right off of the living room, required significant work (it was painted neon orange when the couple moved in).

The couple sourced the duvets in the guest rooms secondhand and from Ikea.

A vintage couch and a glass mushroom lamp, sourced on eBay. Through the doorway is the front guest bedroom.

In the front bedroom, the couple removed layers of wallpaper to reveal “the original horsehair plaster, complete with the splotches of glue that was used to adhere it.”

The switch plates and outlet covers throughout the house are from Liberty Tool, “in the town of Liberty, just up the road,” Katee says, where she rifles through buckets of salvaged hardware.

The deacon’s bench was originally “in a grange hall in central Maine”–another Craiglist find.

The single bathroom. “The floors and some of the walls were linoleum, covering some rot in the sill and floorboards, so we needed to address the bathroom right away,” Katee says.

The dark bath adds to the stark black and white contrast throughout the house.

Mer ord fra Duolingo, som vanlig... jeg skal prøve å bruke ord fra tidligere innlegg for å øve dem mer.

Ragnarok er en originalserie fra Netflix som behandler hovedsakelig om en syttenåring gutt som heter Magne og det ser han ut til å være Tor. Men kanskje er han sønnen til Tor, fordi i norrøn mytologi har Tor en sønn som heter Magne (Magni på engelsk). Serien behandler hovedsakelig om Tor, klassekameratene hans, og en familie av jotner. De kalles også jetter i serien, eller “giants” på engelsk. Men de er ikke “giants” som vi skulle tenke; de er troller. Jotnene i serien er ikke kjempestore, men bare litt høyere enn flere mennesker.

En jotun eller jotne (flertall jotner), også kalt turse, rimturse, jutul, jøtul og gyger (kvinnelig jotne), er en kjempemessig skapning i norrøn mytologi som holder til i Jotunheim, der borgen eller stedet Utgard ligger.

Og som du ser, selv familiens navn betyr jotun eller troll: Jutul. Flertallet av navnene i denne serien har interessant betydning og kommer hovedsakelig fra den norrønne mytologien. Jeg lærte det i går kveld da jeg søkte norrøn mytologi på Google. En av jotner i Ragnarok heter Saxa og det var en jotun som heter Járnsaxa eller Jernsaxa. Faktisk var Jernsaxa en forelder til Magne sammen med Tor.

Også er det en jotun som heter Vidar i serien. I den norrøne mytologien er Vidarr navnet til en gud, sønn til Odin. Han overlevde Ragnarok (kampen) og var veldig sterk som Tor. Han drepte ulven Fenrir som drepte Odin, men jeg vet ikke hvorfor det er navnet til en jotun i serien. Kanskje er det på grunn av navnets betydning: “The Wide-Ruling One” ifølge et nettsted. Hunden hans heter Trym, og Trym var faktisk en jotun i den norrøne mytologien.

Vidars kone heter Ran, og det var en gudinne som heter Rån. Rån hadde ni døtre, inkludert Jernsaxa. Jeg vet ikke hvorfor Rån hadde en datter som var en jotun, men jeg vet at det var mange halvguder og halvjotner.

Jeg er ikke sikker på hvorfor Vidars sønn heter Fjor, men “i fjor” betyr “yesteryear” på norsk. På islansk betyr det gøy og på gammelnorsk betyr det hjerte. Kanskje fordi han er den eneste blant jotner som har et hjerte.

Magnes bror Lauritz er veldig interessant. Han må være Loki/Loke. Det er mange indikasjoner, og navnet hans er en annen. Laurits betyr ingenting i norrøn mytologi, derimot betyr det “branngud” eller “gud for ild” i estisk mytologi. Og Loke var sånn. Han var ikke Magnes bror i mytologien, men han hadde blandet blod med Odin selv. Også var han halvjotun.

Det var også en jotun som het Logi, som var en branngud.

I serien er Lauritz homoseksuell og det gir mening fordi Loke var en hermafroditt. Loke var luringgud og han skiftet kjønn bare for å lure. Sånn som når Laurits blir Rån til slutt av sesong 1. Det Loke gjør gir ingen mening til de andre gudene, og det gjør Laurits gir ingen mening.

Isolde, den stakkars lesbien som døde i den første episoden, har et navn som betydde kanskje “ice battle” på gammeltysk.

Det er ingen politiker i show-et ennå, men det er mye politikk. Makt. Polibitjenter. Selvskap. Miljøet. Det skulle være kanskje vanskeligere å lage en interessant historie hvis det var politikere. Politikere på TV er sjelden interessante. Det er karakterene som spiller med politikk uten politikere. I det virkelige liv, tror vi ikke at vi har vår egen makt. Men i historier har hovedpersonen sin egen makt.

Jeg trodde at dette innlegget skulle ha hovedsakelig ordforråd eller nyhetene som temaet, men nå har det endret seg. Jeg har skrevet altfor mye om Ragnarok og norrøn mytologi. Denne serien har påvirket tankene mine så mye at jeg glemmer å øve norsk når jeg øver norsk! :D

Fredrikstad, November 5th 2018 – Jøtul Group(“Jøtul”), one of the world’s oldest producers of stoves, inserts and fireplaces, announced today that as restructuring initiatives have begun to show results, Jøtul will continue implementing further strategic steps to improve its long-term competitiveness and financial sustainability.

Due to higher sales in the USA and Norway, Jøtul’s accumulated net sales as of Q3 increased from NOKm 610 in 2017 to NOKm 617 in 2018. Productivity improvements throughout the organization and several cost reduction initiatives have led to margin improvements and reduced fixed costs, driving an EBITDA increase from NOKm 25 (4.0%) in 2017 to NOKm 45 (7.3%) in 2018.

Jøtul closed its factory in Tistedalen, Norway, in 2018 and discontinued operations at its warehouses in the UK and Spain. To further rationalize the structure of the Jøtul’s supply chain, the Board of Directors of Jøtul AS has decided to continue the restructuring program. As a part of this program Jøtul will develop a 20,000 m2 production facility in Poland. The production of Scan products that today takes place in Vissenbjerg, Denmark, will be moved to the new facility in Poland, together with the most labor-intensive processes at the Kråkerøy factory.

“We have been working very close with our new owner, OpenGate Capital to plan for a sustainable future for Jøtul. After years of financial losses, substantial changes were required to regain profitability. Employees in Norway and Denmark will unfortunately be affected as we move some aspects of production to Poland”, says Jøtul CEO Nils Agnar Brunborg.

Following a supply chain analysis, it has been decided that the foundry operation of Jøtul in Kråkerøy will be maintained. The Jøtul foundry is renowned for high quality casting and is highly competitive as a stand-alone production unit. Jøtul management and OpenGate Capital wish to develop the foundry further as an international supplier of high quality casting. All administrative, sales, marketing, R&D and warehouse functions and activities will remain at Kråkerøy, continuing a 102 year-old foundry tradition. The Group will continue to be headquartered in Fredrikstad.

Scan in Vissenbjerg will keep its R&D department and certain back-office functions to safeguard its strong product development capabilities and innovative environment.

Planned start-up at the new site in Poland is Q1 2020.
