Arbitration Mediation and Conciliation
The Arbitration Mediation and Conciliation Act, 1996 provides for the conduct of proceedings in a time- bound manner, i.e., limitation in arbitration, within the following provisions:
Section 8 - application for reference of disputes to arbitration, shall be filed not later than submitting the first statement on the substance of the dispute;
Section 9(2) - where a Court passes an order for any interim measure of protection, the arbitral proceedings shall be commenced within a period of 90 days from the date of such order;
Section 13 - where a challenge is made against an arbitrator, the same must be raised within 15 days from the constitution of the tribunal, or after becoming aware of any circumstances mentioned in sub-section (3) of Section 12;
Section 16(2) - a plea that the tribunal does not have jurisdiction, shall be raised not later than the submission of the statement of defence; and
Section 34(3) - a maximum period of 90 days after the receipt of the signed award, to file objections before the Court.
The Arbitration Mediation and Conciliation (Amendment) Act, 2015 introduced new amendments for the speedy disposal of arbitral proceedings:
Sections 11(13) - an application made either before the Supreme Court, or the High Court, or person or institution designated by such Court, shall be disposed of as quickly as possible, and an endeavour shall be made to dispose of the petition within a period of 60 days from the date of service of the notice on the opposite party)
Section 29A the arbitral proceedings must be completed within a period of 12 months from the date of completion of pleadings; and
Section 34(6) - an application under Section 34 shall be disposed of expeditiously within a period of 1 year from the date on which the notice of filing objections is served upon the other party.
Section 43
The Arbitration Mediation and Conciliation Act, 1996 provides for limitation in arbitration under Section 43. This section provides for the conditions regarding application of limitation to cases, the start of proceedings, when the claims would be barred by time and conditions that need to be met for time extensions to be granted. Here, limitation shall apply to arbitrations as it applies to proceedings in Court. It also provides that an arbitration shall be believed to have commenced on the date referred to in Section 21, i.e., the date on which a request for that dispute to be referred to arbitration is received by the respondent.
Section 11
Section 11 of the Arbitration Mediation and Conciliation Act, 1996 deals with the appointment of arbitrators, the procedure, requirements and limitations in arbitration insofar as it applies to any stage of the proceedings.
Section 11(4) states that if a party fails to appoint an arbitrator within 30 days from the receipt of the request to do so or if 2 appointed arbitrators fail to agree on the third arbitrator within 30 days from the date of their appointment, the appointment shall be made by the High Court, or the Supreme Court, as the case may be, on the request of a party.

Константин Кривопуст рассказал о роли медиации в международных коммерческих спорах

Одной из закономерностей развития современного общества есть углубление интернационализации всех сфер жизнедеятельности человека, особенно сферы хозяйственной и внешнеэкономической деятельности. Формирование устойчивых всесторонних связей в международной сфере расширяет возможности для субъектов хозяйственной деятельности разных стран, увеличивает деловой оборот, активизирует появление новых технологий и новых сфер экономической деятельности. В то же время, процесс глобализации мировой экономики обострил борьбу за распределение материальных ресурсов, увеличил конкуренцию между субъектами мирового рынка. То есть развитие международного коммерческого оборота приводит к разнообразию международных коммерческих отношений и международных коммерческих соглашений, что, в свою очередь, ведет к появлению многообразия правовых конфликтов в этой сфере.
Поэтому в условиях глобализации международного рынка растет значение вопроса разрешения международных коммерческих споров.
Международный коммерческий спор – это противоречия (разногласия) между субъектами хозяйственно-торговой деятельности разных государств, возникающих из договорных и других гражданских правоотношений при осуществлении внешнеторговой и других видов хозяйственной деятельности.
Отличительной особенностью таких споров является присутствие иностранного элемента, когда участники спора принадлежат к разным государствам с разными правовыми, социальными и экономическими системами.
На сегодняшний день не существует единого международного органа, занимающегося разрешением международных коммерческих споров, поэтому обычно их разрешение осуществляется через правосудие, то есть путем обращения участников спора в национальные суды своих государств.
При этом рассмотрение таких споров осложняется столкновением правовых систем разных государств, которые могут значительно различаться между собой, а порой даже решать один и тот же вопрос диаметрально противоположно, что вызывает определенные трудности.
Разбирательство внешнеэкономических споров в суде нередко занимает годы, отвлекает колоссальные силы и средства от нормального ведения бизнеса, разрушает деловые и человеческие связи, подрывает деловую репутацию, ведет к утечке конфиденциальной информации, вызывает недоверие к компаниям, влечет потери прибыли и дестабилизацию бизнеса. Происходящие в современном мире процессы требуют новых неординарных подходов к разрешению возникающих споров и конфликтов Итак, бизнес заинтересован в применении новых, экономических, эффективных и простых методов урегулирования конфликтов. Так, потребность в формировании действенной системы защиты прав и интересов субъектов международных коммерческих отношений обусловила интерес к мировой практике альтернативного разрешения правовых споров.
Термин « альтернативное разрешение споров » (или АВС) является переводом с английского «AlternativeDisputeResolution» (ADR), которым обозначается совокупность неформальных, внесудебных (негосударственных) процедур, направленных на разрешение или урегулирование споров (конфликтов) без привлечения государственных юрисдикционных органов.
Одним из наиболее распространенных способов альтернативного разрешения споров, который сейчас широко обсуждается в нашем обществе и успешно применяется во многих странах, является институт медиации.
Понятие « медиация » происходит от латинского слова mediare, что значит быть посредником. В переводе с английского термина «медиация» (mediation) означает посредничество. Поскольку конфликты являются неотъемлемой частью человеческой природы, то в той или иной форме люди обращаются к медиации уже много веков. Содержанием посредничества, как социального явления, является попытка людей урегулировать споры и разногласия между ними путем ведения переговоров с привлечением третьей независимой стороны (посредника или медиатора), позволяющей нивелировать эмоциональную составляющую переговоров, увидеть конфликт с другой точки зрения и достичь примирения.
В современных условиях общественного развития медиация приобретает статус правового института, меняется внутреннее содержание этого процесса. Медиация рассматривается как действенная альтернатива официальному судебному порядку разрешения правовых споров. Впервые и достаточно распространен в дальнейшем данный вид внесудебной практики успешно начал применяться в США в трудовых спорах со второй половины ХХ века, когда благодаря медиации были остановлены продолжающиеся масштабные забастовки. В 1973 году в США было зарегистрировано первое в мире профессиональное объединение медиаторов. В начале XXI века. в США уже существовала широкая законодательная база для медиации, действовали сотни организаций, оказывавших услуги альтернативного разрешения споров, практиковали тысячи профессиональных медиаторов. Страны прецедентного права, такие как Канада, Австралия, Великобритания, Новая Зеландия достаточно быстро переняли американский опыт и внедрили аналогичные институты альтернативного разрешения конфликтов. Сегодня медиация зарекомендовала себя как эффективный способ разрешения споров в большинстве стран мира и постепенно охватывает все сферы жизни человека.
В начале XXI века медиация становится фактом интернационального права и интернациональных отношений. Разрабатывается международно-правовая база, направленная на развитие и более широкое применение внесудебных видов разрешения международных коммерческих споров, в частности процедуры медиации.
Так, Генеральной Ассамблеей ООН всем государствам рекомендовано « Типовой закон о международной коммерческой согласительной процедуре» (далее – Типовой закон), принятый Комиссией ООН по праву международной торговли (далее – ЮНИСТРАЛ) 24 июня 2002 г., содержащий одинаковые правила относительно согласительного процесса по целью содействия применению согласительной процедуры и обеспечения большей предсказуемости и определенности при ее применении.
В 2018 году Типовой закон был изменен посредством включения нового раздела, посвященного международным мировым соглашениям и приведению их в исполнение. Типичный закон получил новое название « Типовой закон о международной коммерческой медиации и международных мировых соглашениях, достигнутых в результате медиации ».
То есть, ранее в своих принятых текстах и соответствующих документах ЮНСИТРАЛ использовала термин « согласительная процедура » при том понимании, что термины «согласительная процедура» и «медиация» взаимозаменяемы. В рамках изменения Типового закона ЮНСИТРАЛ решила использовать только термин « медиация », чтобы обеспечить соответствие с фактическим или практическим использованием этого термина и в надежде на то, что такое изменение будет способствовать привлечению внимания и повышению интереса к Типовому закону.
Другие регламенты медиации, утвержденные для внутреннего пользования некоторыми международными институтами: Лондонским международным третейским судом (LCIA); Американской арбитражной ассоциацией (AmericanArbitrationAssociation); Институт медиации Торговой палаты Стокгольма (The SCC Mediation Institute); Центром арбитража и медиации Всемирной организации интеллектуальной собственности (The Wipo Arbitration and Mediation Center) и другие. Документы этих институтов носят нормативный характер и в отличие от Типового закона UNCITRAL отражают национальную и предметную специфику медиации.
2 июня 2004 года на конференции в Брюсселе при поддержке Европейской комиссии был принят Европейский Кодекс поведения для Медиаторов (European Code of Conduct for Mediators), разработанный инициативной группой практикующих медиаторов (представляющих более 30 европейских организаций, имеющих дело с альтернативными способами разрешения споров) . В Кодексе определены принципы профессиональной деятельности медиатора, он положил начало внутреннему законодательному закреплению процедуры медиации в странах.
Медиация в ее современном понимании нашла отражение в Директиве Европейского парламента и Совета ЕС « О некоторых аспектах медиации по гражданским и коммерческим делам », вступившей в силу в мае 2008 г. после сложных обсуждений. Директива важна для развития медиации в мире вообще, одобрена 27 членами ЕС, и это означает, что очень большая часть западных стран признала ее ориентиром.
В Директиве 2008/52/ЕС медиация определяется как структурированный процесс независимо от того, как он будет называться или как на него будут ссылаться, через который две или более сторон спора пытаются самостоятельно, на добровольной основе достичь согласия для разрешения их спора посредством медиатора (посредника) .
Такое общее и нейтральное толкование термина «медиация» призвано учесть все возможные техники и виды медиации, различные определения медиации в национальных законодательствах.
К основным особенностям международной коммерческой медиации относятся:
– характер спорных отношений – отношения, усложненные иностранным элементом;
– стороны спорных отношений – физические или юридические лица разных государств; – медиатор – лицо, прошедшее специальное обучение, имеющее опыт в сфере международных коммерческих отношений;
– необходимость выбора применяемого права.
В практике выделяют разные модели (виды) медиации, отличающиеся процедурными особенностями. Каждое государство, решившее ввести медиацию, самостоятельно решает, какая модель медиации будет лучше всего соответствовать ее системе законодательства и культурным традициям. Именно поэтому четкое регулирование методов медиации в мире отсутствует. Медиация является очень гибкой процедурой с невысокой формализацией и отмечается отсутствием жесткой структурированности по сравнению с тем же судебным процессом. Сами стороны спора, а также посредники (медиаторы) имеют право выбора наиболее подходящих способов для разрешения спорных ситуаций в каждом конкретном случае, создавая прецеденты. Более того, в зависимости от сферы применения медиации могут применяться разные инструменты (методы) примирения.
При всем разнообразии методов медиации остаются единственными определяющие правовые идеи, положения и основы (принципы медиации), составляющие организационную и процедурную основу проведения медиации и направленные на эффективное, взаимоприемлемое, законное разрешение конфликта между участниками спора. К таким основным принципам медиации относятся:
– добровольность – это фундаментальный принцип медиации, заключающийся в наличии у сторон личного волеизъявления на проведение процедуры медиации, возможность участников отказаться от участия на любом этапе, причем любое давление на стороны запрещено;
– взаимоуважение и равенство сторон ;
– независимость и нейтральность медиатора – медиатор является нейтральным в отношении конфликта (не «втягивается» в спор) и, в то же время, искренне стремится помочь сторонам найти лучшее для обеих сторон решение, должен выполнять свои обязанности беспристрастно, основываясь на обстоятельствах дела, принимая во внимание мнение сторон и не навязывая сторонам определенного решения, принимаемого исключительно по взаимному согласию сторон;
– конфиденциальность – информация, полученная участниками во время проведения медиации, является конфиденциальной и не может быть разглашена без предварительного согласия сторон;
– принцип активности и самоопределения сторон – стороны самостоятельно определяют круг обсуждаемых ими вопросов, варианты урегулирования спора между ними, содержание договора по результатам медиации, сроки и способы его исполнения. Окончательные решения принимаются только сторонами медиации.
Исходя из приведенных общих принципов медиации и особенностей сферы ее применения в международных коммерческих конфликтах:
Международная коммерческая медиация – это добровольный и конфиденциальный способ альтернативного разрешения и урегулирования международных коммерческих споров, целью которого является содействие двум (или более) сторонам спора в достижении взаимовыгодного соглашения с участием третьего нейтрального лица – посредника (медиатора), который прошел специальное обучение. опыт в сфере спорных отношений, способствует достижению соглашения между сторонами и не имеет права выносить обязательное для сторон решение, давать рекомендации по условиям разрешения спора.
Что касается процедуры медиации, то как правило, это переговорный структурированный процесс, состоящий из определенных этапов. Каждый из этапов имеет свою цель и содержание. Для успешного проведения медиации необходимо, чтобы переход к следующему этапу происходил после того, как будут достигнуты все цели на предыдущем.
Как наиболее общие можно выделить следующие этапы процесса медиации:
I. Подготовка к медиации
Подготовка является значительным этапом в процессе медиации, предусматривающим работу с двумя важными компонентами: налаживание контактов со сторонами и организация пространства для проведения медиации. Включает в себя выбор медиатора, заключение соглашения о медиации, представление сторон, прояснение самой процедуры медиации и ролей каждой из сторон, определение вознаграждения (если таково будет) посреднику и некоторых дополнительных положений.
II. Сбор информации и обработка данных
Задача этого этапа — предоставить сторонам возможность высказаться по поводу конфликтной ситуации и их отношения к ней. На этой стадии происходит постепенное налаживание прямого общения между сторонами, изложение каждой из сторон своей позиции в споре, уяснение причин возникновения спора и мотивации сторон в споре, уточнение позиций сторон, разделение общей сущности спора на отдельные составляющие, итог. Медиатор путем постановки вопросов и обобщения способствует выяснению причин конфликта, работает с эмоциями, потребностями и интересами сторон.
III. Решение проблемы
Данный этап предполагает совместный поиск путей разрешения спора, а этапность этой стадии состоит в определении первоочередных вопросов, уяснении невыявленных интересов сторон, определении общих интересов сторон в споре, обсуждении и поиске взаимоприемлемых способов разрешения спора, поиска консенсуса. Это стадия, в течение которой происходит «мозговая атака», во время которой стороны генерируют варианты решений, после чего осуществляется обсуждение преимуществ и недостатков каждого из предложенных вариантов.
IV. Заключение и подписание соглашения
При нахождении общих вариантов решений стороны по договоренности переходят к последней стадии – составление соглашения, которое готовится исключительно сторонами, содержит взаимные уступки и после его окончательной формулировки проверяется на допустимость и возможность выполнения и справедливость, подписывается сторонами. Стороны оценивают, совпадает ли полученный результат с их представлением о ценности и справедливости, поскольку это важно для определения их способности выполнить совместно достигнутое, сформулированное, оформленное и подписанное решение.
В сфере международных коммерческих споров процедура медиации, как правило, оформляется тремя сделками:
1) соглашение о применении процедуры медиации (медиационная оговорка ) – гражданско-правовой договор между сторонами трансграничного коммерческого договора о передаче спора или определенной категории споров на рассмотрение с участием медиатора;
2) соглашение о проведении медиации – это гражданско-правовой договор, согласно условиям которого одна сторона (медиатор или организация, оказывающая медиационные услуги) обязуется обеспечить проведение процедуры медиации, а другая сторона (стороны спора) оплатить предоставленные услуги;
3) медиационное соглашение – гражданско-правовой договор, который закрепляет результаты, достигнутые сторонами спора по результатам процедуры медиации и определяет уточняет ли права и обязанности сторон относительно спорных отношений.
Вопрос выполнения соглашений, достигнутых во время медиации, по-разному решается в разных странах. В некоторых из них такие соглашения утверждает суд, а в других они приобретают обязательную силу вследствие совершения юридически значимых действий или издания определенных документов административными органами (например, путем совершения исполнительной надписи нотариусом).
Выполнение медиационных соглашений с международным элементом усложняется нахождением сторон и/или объекта спора в разных юрисдикциях. Более того, в определенных государствах медиация не имеет законодательного урегулирования, что практически делает невозможным приведение в исполнение медиационных соглашений.
Именно поэтому, хотя медиация широко используется во всем мире для урегулирования внутренних конфликтов, но как способ разрешения конфликтов на международном уровне она пока не так широко применяется, прежде всего из-за отсутствия четкого механизма гарантий выполнения договоренностей сторонами.
В этом смысле более упорядоченным и определенным представляется разрешение международных коммерческих споров через арбитраж. Арбитражная оговорка – это привычная неотъемлемая составляющая большинства договоров с иностранными контрагентами. Ведь гарантией выполнения таковых договоров является правовой механизм, введенный Нью-Йоркской Конвенцией 1958 года о признании и выполнении иностранных арбитражных решений. Этот международный правовой акт считается одним из самых успешных инструментов, принятых ЮНСИТРАЛ и является одним из ключевых факторов успеха международного арбитража.
Поэтому возникает вопрос, может ли международная коммерческая медиация стать альтернативой арбитражу или третейским судам?
На первый взгляд, медиация и арбитраж – это схожие альтернативные процедуры, которые сегодня можно использовать для урегулирования и разрешения коммерческих споров. Общим для этих процедур является их частноправовая природа, возможность применения только на основе соглашения сторон и возможность избрания сторонами третьего независимого лица (посредника медиатора или арбитра). Однако по своей сути они разные.
Арбитражное разбирательство основано на принципе состязательности, на исследовании доказательств и установлении фактов и направлено на вынесение обязательного для сторон решения. При этом результат решения зависит от объективного стандарта, то есть от действующего законодательства.
В отличие от арбитража медиация строится на принципе сотрудничества и направлена на достижение консенсуса между сторонами. Одним из главных в медиации является постулат о том, что стороны являются «держателями» конфликта и они лучше, чем кто бы то ни было, знают, каким образом его решить. Медиатор не имеет полномочий выносить или даже предлагать какие-либо решения. Его задача – помочь сторонам понять свои интересы, потребности друг друга и на основе этого понимания совместно выработать взаимоприемлемые договоренности.
Таким образом, стороны получают возможность рассмотреть существующий спор во всем многообразии его аспектов, в том числе проявить свои чувства, эмоции, а не просто отстаивать позиции. Это дает сторонам возможность не только разрешить правовой спор, но и урегулировать конфликт между ними, что значительно шире последствий арбитражного решения.
Баланс бизнес-интересов позволяет сторонам положительно строить также будущие отношения, несмотря на поведение в прошлом. В современном мировом бизнесе для предпринимателей стабильные деловые отношения с контрагентами бывают гораздо ценнее выигрыша судебного процесса, в результате которого эти связи могут потеряться. Поэтому возможность сохранения партнерских отношений – это еще одно из преимуществ процедуры медиации.
Очевидно, что медиация имеет больше преимуществ, чем арбитраж по эффективности разрешения конфликтов. В пользу медиации говорит также быстрота процедуры, гибкость процессуальных правил, возможность избежать длительных и дорогостоящих арбитражных разбирательств. Конечно, эти свойства медиации делают ее наиболее привлекательной для участников коммерческой деятельности.
Однако, конечно, невозможно исключить ситуации, когда сторонам по каким-либо причинам не удается выполнить принятые в процессе медиации решения. Поэтому отсутствие механизма выполнения медиационных соглашений, существенно сдерживает применение медиации в международных коммерческих спорах и обуславливает превалирование арбитражного порядка разрешения споров.
Подытоживая изложенное, отметим, что привлекательность процедуры медиации будет расти при условии предусмотрения в законодательстве режима ускоренного приведения в исполнение медиационных соглашений, при этом последние должны рассматриваться как арбитражные или аналогичные решения. Методы обеспечения такого ускоренного режима не одинаковы в различных правовых системах и зависят от технических особенностей национальных процессуальных норм.
Определяющим в этом направлении усовершенствование международных правовых актов и национального законодательства ведущих стран мира.
Так, 7 августа 2019 года в Сингапуре состоялось торжественное подписание Конвенции ООН о международных мировых соглашениях, заключенных в результате медиации, известной как Сингапурская конвенция о медиации. Украина стала одной из 46 стран-подписантов этого важного международного договора.
Конвенция предусматривает некоторые особенности урегулирования международного коммерческого спора через медиацию, вводит правовой механизм быстрого выполнения закрепленных сторонами договоренностей. Кроме того, Сингапурская конвенция базируется на Нью-Йоркской конвенции об арбитраже 1958 года, поэтому толкования положений Нью-Йоркской конвенции 1958 года могут применяться к Сингапурской конвенции о медиации.
Реализация подписанной Конвенции государствами-участниками будет способствовать усилению роли медиации как альтернативы арбитражу для разрешения международных коммерческих споров и в целом будет оказывать положительное влияние на развитие международной торговли.

I was honored to be a Judge in the American Bar Association’s Section of Dispute Resolution mediation competition yesterday morning hosted by Benjamin N. Cardozo School of Law. It was a rich and rewarding learning experience for the students and for myself as well. Congrats to the ABA-ADR section for the initiative and to Cardozo Law for spearheading amicable solutions versus the litigious option. Tuve el honor de ser jurado en el concurso de mediación en la sección de Resolución de Conflicto del American Bar Association llevado a cabo ayer por la mañana y auspiciado por la Facultad de Derecho Benjamín N. Cardozo. Fue una experiencia de aprendizaje enriquecedora y gratificante para los graduados y también para mí.
