ALFREDO M. VELAYO, in his capacity as Assignee of the insolvent COMMERCIAL AIR LINES INC. (CALI),
Plaintiff-Appellant,
vs.
SHELL COMPANY OF THE PHILIPPINE ISLAND, LTD.,
Defendant-Appellee
FELIX, J.:
A moral wrong or injury, even if it does not constitute a violation of a statute law, should be compensated by damages. In this case, the defendant clearly acted in bad faith when it schemed and effected the attachment of the C-54 plane of its debtor CALI by assigning its credit to its sister company in the US. Therefore, the defendant is liable to pay damages.
FACTS:
In 1948, the Commercial Air Lines, Inc., (CALI), is a corporation duly organized and existing in accordance with the Philippines laws, with offices in the City of Manila and previously engaged in air transportation business. The Shell Company of the P. I., Ltd., defendant-appellee, a corporation organized under the laws of England and duly licensed to do business in the Philippines, with principal offices at the Hongkong and Shanghai Bank building in the City of Manila.
The defendant was a supplier of fuel since the start of CALI’s operations, Mr. Desmond Fitzgerald, its Credit Manager who extended credit to CALI, was in charge of the collection thereof. As of August, 1948, the books of the Defendant showed that CALI had a balance of P170,162.58, and as partial settlement of their accounts, Mr. Alfonso Sycip, CALI’s President of the Board of Directors offered to Mr. Fitzgerald, the CALI’s Douglas C-54 plane, located in California. However, defendant declined as it thought that CALI had sufficient money to pay its debt.
CALI called upon informal meeting to its creditors and informed them that CALI was in a state of insolvency and had to stop operation. In that meeting, the creditors agreed to appoint representatives to a working committee that would determine the order of preference as to how each creditor should be paid. They also agreed not to file suit against CALI but CALI did reserve that it will file insolvency proceedings should its assets be not enough to pay them up.
Shell Company was represented by a certain Fitzgerald to the three man working committee. Later, the working committee convened to discuss how CALI’s asset should be divided amongst the creditors but while such was pending, Fitzgerald sent a telegraph message to Shell USA advising the latter that Shell Philippines is assigning its credit to Shell USA in the amount of $79k, thereby effectively collecting almost all if not the entire indebtedness of CALI to Shell Philippines. Shell USA got wind of the fact that CALI has a C-54 plane is California and so Shell USA petitioned before a California court to have the plane be the subject of a writ of attachment which was granted.
Meanwhile, the stockholders of CALI were unaware of the assignment of credit made by Shell Philippines to Shell USA and they went on to approve the sale of CALI’s asset to the Philippine Airlines. In September 1948, the other creditors learned of the assignment made by Shell. This prompted these other creditors to file their own complaint of attachment against CALI’s assets. CALI then filed for insolvency proceedings to protect its assets in the Philippines from being attached. Alfredo Velayo’s appointment as CALI’s assignee was approved in lieu of the insolvency proceeding. In order for him to recover the C-54 plane in California, it filed for a writ of injunction against Shell Philippines in order for the latter to restrain Shell USA from proceeding with the attachment and in the alternative that judgment be awarded in favor of CALI for damages double the amount of the C-54 plane. The C-54 planewas not recovered. Shell Company argued it is not liable for damages because there is nothing in the law which prohibits a company from assigning its credit, it being a common practice.
ISSUE:
Whether or not the defendant Shell Company of the P. I., Ltd., taking advantage of its knowledge of the existence of CALI’s airplane C-54 at the State of California, U. S. A. and their financial situation.
Whether or not Defendant may be made under the law to answer for the damages and if so, what should be the amount of such damages.
RULING:
YES. The Defendant took advantage of its knowledge of the existence of Airplane C-54 at the California and financial situation of the CALI.
Because of its action assigning the credit in favor of a sister Shell Company in the USA, and the court action involving the plane has cause delay on the sale of the plane, thus the other creditors have suffered because they could not be paid. The defendant did not show good faith, and honesty. Art 19. of the Civil Code said, “Any person must, in the exercise of his rights and in the performances of his duties, act with justice, give everyone his due and observe honesty and good faith".
It may be said that this article only contains a mere declarations of principles and while such statement may be is essentially correct, yet we find that such declaration is implemented by Article 21 and sequence of the same Chapter which prescribe the following: "Art. 21. Any person who wilfully causes loss or injury to another in a manner that is contrary to morals, good customs or public policy shall compensate the latter for the damage".
Now, Article 23 of the Civil Code goes as far as to provide that: "Even if an act or event causing damage to another’s property was not due to the fault or negligence of the defendant, the latter shall be liable for indemnity if through the act or event he was benefited." It supports the argument that even assuming Shell is not liable for taking advantage of situation of the airlines, it was nevertheless benefitted when its assigned credit to its sister company in the U. S. The Defendant should be liable for indemnity for acts it committed in bad faith and with betrayal of confidence. Shell was ordered to pay damages at double the value of the airplane.

Today, half of its speakers live in Agutaya, while the rest live in other communities of Palawan.Tagalog and Cuyonon are also widely spoken.Agutaya is politically subdivided into 10 barangays: Bangcal, Cambian, Abagat, Villa Fria, Villa Sol, Diit, Matarawis, Maracanao, Algeciras and Concepcion.

TABANG BEACH

The Tabang beach is located in brgy. diit agutaya palawan. This island is known because many visitors come especially if it is a festival there. The sandy beach has wide sand and clear sea. The sea water there is like crystal, especially if it is exposed to the sun's rays. There are a few houses here that are lived in by other villagers. It is sometimes carried out when there are occasions such as birthdays, anniversaries, and so on. It can be walked if you are on the street, and you can use a boat if you want. It's free and you don't have to pay anything. You can play anything on the beach because the sand is wide. This is one of the things that the people of Diit are proud of, the tabang beach.
LINABOG ISLAND

The linabog island is located on the left bank of Agutaya going to Cuyo. It has clear sea water and stunning rock formations. Many people come here because of its very clear water, many people also take pictures because of the amazing rock formations that it has. No matter what day and time you come here because it's free. It is visited every time there is an occasion, or maybe when your friends plan to go here. This is one of the beautiful spots here in the town of Agutaya.

Halog Island is also known as Alob. It is also one of the best places to visit here in Agutaya Palawan. Because of its sandbar and clear sea water. This is the place where the turtles lay their eggs. It is a sand island, there are no rock formations to be seen unlike oco and lipabo. Many people come here to experience bathing, relax, bond and take pictures. It's also nice to spend the night here with your friends, families or your loved ones. No matter what time and day you come here, but it's perfect in the summer, it's worth your free vacation!

Tayay Beach is located in May Concepcion Agutaya Palawan. This is one of the pride of the people of Concepcion. It is good to go here because it is similar to the other island beaches mentioned earlier. It has clear sea water and is perfect for bonding with your friends, families or your lovers. It is visited whenever there are occasions, or when you really want to go even if there is no occasion. A lot of people go here, maybe you like it too? Let's go!

First Coast News reporter named Tristan Hardy urgently advised to a Floridan lottery billionaire: "If you're the winner, take this into consideration. You don't have to claim it now, unless you have 6 months to make it happen. And if you don't have to quit your daytime job as well, don't quit it until you get the money if you know what I mean", Hardy said.

The Philippines is a country rich in natural wonders, best beach, and tropical forest. The country has the largest archipelago in the Pacific Ocean and many of its islands are known to be some of the top beaches destinations in Asia.
Beach holidays are the perfect way to escape from the hum-drum of daily life. Your mind, body and soul need some time away from work, school, or your bustling city life.   THE MOST BEAUTIFUL BEACHES IN THE PHILIPPINES
Boracay Island
Looking at the pictures of this beautiful island, you would think that it is simply paradise. It is surrounded by water and white sandy beaches. I am sure if you have ever visited Boracay, you agree that its crystal clear waters are perfect for swimming and snorkeling.
It’s hard to deny the appeal of a tropical island getaway, especially if you come from the cold and stressful world of work. But it’s not always easy to find a place that has both beautiful scenery and is an enjoyable experience for you and your family.
With its silky-soft warm white sands, clear blue waters and beautiful tropical climate, Boracay surely deserves a place in the top 15 of most beautiful beaches in the Philippines.
They provide a variety of lodgings to fit everyone’s needs. White Beach, for example, has three stations. Station 1 features luxury resorts, Station 2 has mid-range resorts, and Station 3 includes backpacker-friendly hotels. Drool-worthy restaurants, on the other hand, are dispersed among the three stations.
White Beach is also an excellent location for shopping and experiencing Boracay’s nightlife. There are some beaches that are more tranquil and vast, such as Puka Beach. There, you may participate in kayaking, swimming, or even receive a nice massage
Best Beach Coron, Palawan
When not at the strange islands of El Nido, visitors go to Coron in northern Palawan. Unlike El Nido, the islands of Coron radiate a more laid-back and homely ambiance that is appreciated by budget travelers and nature enthusiasts.
There are at least three island-hopping cruises available that will take you to the town’s gorgeous white sands, abundant marine life, and the most Instagram-worthy tropical landscapes you’ll ever see. Destinations such as Malcapuya Island and CYC Beach—Coron’s only public beach—are ideal for snorkeling and getting up close and personal with breathtaking coral reefs. 
Mahinog Island Camiguin
Mahinog is a town in the province of Camiguin (Northern Mindanao) in the Philippines, some 456 miles (or 734 kilometers) south-east of Manila, the country’s capital city. Camiguin, an island, was formerly considered secluded but is now one of the Philippines’ most popular tourist destinations. With so many Instagram – worthy Camiguin tourist sites, the Island Born of Fire becomes the Island on Fire.
Camiguin is well-known for its tourist attractions, which include White Island, Mantigue Island, Mount Hibok-Hibok, and the recently named National Heritage Sites, the Bonbon Church Ruins and the Sunken Cemetery. Camiguin Island has kept its rustic appeal despite being a famous tourist destination.
Santa Fe Bantayan Island Cebu
The beautiful beaches of Santa Fe will revive your mind, body, and soul. Visit secluded stretches of white beach, swim in crystal-clear water, or take a boat to tropical islands to get away from the crowds.
Santa Fe is one of Bantayan Island’s three main communities. It is located in the island’s southeast corner and is conveniently accessible to the island’s other attractions.
Zamboanga Peninsula, Philippines
Great Santa Cruz Island is a little inhabited island in Zamboanga City in the Philippines’ southern region famed for its pink coralline beaches. The island, located 4 kilometers (2.49 miles) south of downtown at the Santa Cruz Bank in the Basilan Strait, is one of the Philippines’ few pink sand beaches.

Next stop: PALAWAN!
Before anything else, I just want you to forget about those annoying deadlines. Forget about your unresponsive groupmates, loaded works, and forget about this stressful environment—just for a while. Even for 30 minutes, sit back and close your eyes. Everybody deserves a rest don’t we? Go and maybe…book a vacation? There are lots of beautiful places here in our country and there’s so many to choose from!
You may think that booking a vacation is too much and you might not have enough time and of course, money. No worries! Let this blog be your tour guide to one of the places here in the Philippines that will surely take your breath away for its breathtaking views and stunning tourists spots. Ladies and Gentlemen, the one and only—Palawan.

Here’s a brief information about Palawan. Palawan was cited as the world's best island in the Travel+Leisure (T+L) 2020 World's Best Awards. It is endowed with species-rich, biologically diversified ecology, with teeming forests, tangled mangroves, wetlands, and vivid coral reefs. The island is home to 232 indigenous species, making it one of the world's most diverse ecosystems. 
As you all know, Palawan is known for its white sand beaches, clean turquoise waters, coral reefs, and limestone rock formations that would render you speechless. Many tourist spots can be seen in Palawan because of its amazing features and our first destination is El Nido, Palawan. Shall we?

Bacuit Archipelago, El Nido
Ah yes, El Nido, Palawan. Look how beautiful this place is!  El Nido has been named one of the best tourist destinations in the Philippines, as well as one of the top-ranked tourism destinations on so many other bucket lists throughout the world. It is known for its lagoons, 100 white sand beaches. Yes, you’ve read that one right. One hundred. And take note—WHITE SAND BEACHES. Not to mention the Bacuit Archipelago and its beautiful islands which can be seen in the picture above.
One of the beautiful beaches here in El Nido is the Seven Commandos beach. Seven Commandos Island was titled after the seven commandos who used to live there, who’s names are carved into the island's rocks.

I mean, who wouldn’t fall for its beauty? Look at those coconut trees aligned across the white sand beach. Look how the sun shines on the warm and crystal clear water. It is truly a feast for my eyes. What a nice place to have a vacation with your loved ones. Just enjoying the view and chilling, relaxing, listening to the sound of the waves, and enjoying the awesome and memorable moment.
But this doesn’t end here. Wanna do something adventurous? I know just a place. It is known for its popular underground cave. Folks, Puerto Princesa, Palawan

A beautiful limestone karst environment with an underground river may be found in this park. One of the river's distinguishing characteristics is that it flows directly into the sea, with the lowest portion of the river vulnerable to tidal forces. In addition, the area is an important habitat for biodiversity conservation.
Puerto Princesa Underground River is the most popular tourist spot in Puerto Princesa, Palawan. Those cave formations are formed from the dripping minerals above the cave. If you’re thinking if all of these would be worth the visit, oh darling I promise you that it would be an out of this world experience. As you explore deeper into the dark, the clicking of bats and the echoing droplets of water are the only sounds you would hear. Sounds cool doesn’t it? Wait till you read this amazing part of this adventure!

Firefly Watching Tour, Ihawig River
Oh, no honey. Those aren’t stars, but it’s fine. I thought so too. Aren’t they beautiful? Just to let you know, those are thousands of fireflies which can be seen in Ihawig river, in Puerto Princesa, Palawan. Tourists gather in this magical place while having a sit-down supper at the Iwahig Firefly Restaurant, Ka Inato Restaurant, or District Seven Restaurant. 
Close your eyes and imagine that you are one of  the tourists adoring the beauty of this place. Taking a river excursion along the banks of the Sicsican and Iwahig Rivers and while witnessing innumerable fireflies dazzling along the mangrove trees. Ah, sounds magical. Can’t wait to witness this event someday!
If your thinking that we’re done, then you’re wrong. Let me introduce you to another place here in Palawan. Don’t worry, this would be the last destination so bare with me. I can guarantee you that you would love to know more about this location. Scuba diving. snorkeling. Beautiful lagoons. Welcome to Coron, Palawan!

See? I told you. Coron is a tropical island in Palawan. As the island is most known for its world-class WWII wreck diving, it also has limestone karst landscapes, stunning beaches, crystal-clear lagoons, and shallow-water coral reefs. 
Looking for a place to try scuba diving? How about snorkeling? Then voila! You can do it all here. Although you can also do these things in the first two cities in Palawan I have mentioned earlier, this is the best place you could those scuba diving thingies in my opinion. 
Do you ever wonder what makes Coron unique from El Nido and Puerto Princesa? Well, here’s the tea. Unlike El Nido, which is known for island hopping, and Puerto Princesa, which is known for underground river excursions, Coron is noted for its distinct tourist attractions. Coron's turquoise waters are home to stunning World War II wreckage, vibrant coral reefs, and a plethora of marine life. So what are we waiting for? Let’s explore the beauty and secrets of our last destination!

Kayangan Lake, Coron
Welcome to Kayangan Lake! Kayangan Lake is known as the “cleanest lake in the Philippines” and some consider it as the cleanest lake in Asia. That's why itis one of the places that you must see in Coron. The water here super clear and clean which makes it perfect for swimming. Kayangan Lake is surrounded by tall limestone formations, so if you want to take pictures of the entire area for your instagram post, all you have to do is climb a 300-step hill and you can have an instagramable shot! Although it's a bit of a hike, the sights are worth it. The lake is warm and welcoming, making it ideal for swimming. 
But if you feel like trying scuba diving, here is a place for you!

Coral Garden, Coron
Ladies and gentlemen, this is the Coral Garden, also located in Coron. You can see beautiful and colorful fishes and corals that would literally satisfy your eyes. Because of its colorful view, this is the finest area to go snorkeling. But if you want to go deeper, and you are an experienced diver, this location has depths of 131 feet and is completely filled with beautiful marine life, providing the clearest diving experience you've ever had.
The last place I would show you is something different. There are multiple shipwrecks on this island that were sunk during World War II. This place is called the Skeleton Wreck.

In Coron Bay, the Skeleton Wreck is a popular snorkeling area. This little 25m long Shipwreck is also suitable for scuba diving. The Skeleton's top is 5 meters deep, with a depth of 22 meters at the stern. This is a simple dive that is great for novices. It’s like traveling back through time and space as you encounter sunken ships during the second world war. These ships and vessels has restored the growth and development of a magnificent reef. While exploring this reef, you would encounter colorful corals, black and white striped fishes, and other marine life. 
Ah, how I wish to go to these places at once! All of them are worth the visit, feast for the eyes, and would surely help you to lessen your worries and relieve stress. Every place will literally take your breath away which is also a perfect place to travel with your loved ones. If you have ever been to one of these places, you sure are lucky. You can always go back and explore to other tourist spots here, especially during summer.
