SEC Chair Jay Clayton
Shortly after 9 p.m. last evening, the U.S. Attorney General, William Barr, stunned prosecutors in the Southern District of New York with the announcement that their boss, Geoffrey Berman, was stepping down as U.S. Attorney in that District and would be replaced with the sitting Chairman of the Securities and Exchange Commission, Jay Clayton, who lacks even a shred of criminal prosecution experience. What Clayton does have is a lot of experience representing Wall Street’s largest banks, like Goldman Sachs and JPMorgan Chase, both of whom are currently under intense criminal investigations by the Justice Department. Clayton was a former partner at Wall Street’s go-to law firm, Sullivan & Cromwell, which is currently representing Goldman in the criminal case and representing JPMorgan in various matters.

The breaking news last night went downhill from there. Several hours after Barr’s announcement, Berman announced that he had not resigned from his job and had no intention of leaving his post until his replacement had been confirmed by the U.S. Senate – which could take months. There is also no assurance that Clayton would actually be confirmed, since some Republicans and Democrats believe that Clayton has been a lapdog for Wall Street in his current post.
Even more problematic, Clayton’s family has ties to an opaque company called WMB Holdings, described by David Dayen in The Nation magazine like this:
“This company and its affiliated partners (Delaware Trust Co and CSC) are conduits for creating shell corporations and other sketchy vehicles used in tax evasion and money laundering. Public Citizen found apparent links between these companies and Mossack Fonseca, the notorious Panamanian law firm at the center of the Panama Papers scandal.”
The timing of the attempted ouster of Berman is suspicious on multiple fronts. Goldman Sachs is under criminal investigation over a multi-billion-dollar money laundering and embezzlement scheme involving the Malaysian sovereign wealth fund known as 1MDB. Goldman Sachs has been fighting the Justice Department’s demand that it plead guilty in order to settle the case, according to media reports.
According to the Sullivan & Cromwell website, Nicolas Bourtin, Managing Partner of the law firm’s Criminal Defense and Investigations Group, “is representing Goldman Sachs in criminal and regulatory investigations in six jurisdictions” involving the 1MDB matter.
At the time of Jay Clayton’s nomination for SEC Chair, he had been outside counsel to Goldman Sachs for years and was married to a Vice President at Goldman Sachs, Gretchen Clayton, who had worked at the firm for 17 years. She stepped down from Goldman after her husband was confirmed.
In 2017, when the 1MDB matter began to intensify, Sullivan & Cromwell partner Karen Seymour left the law firm to join Goldman Sachs as co-General Counsel and partner. She is now the sole General Counsel and earned over $8 million last year for work that included “an active focus on the resolution” of the 1MDB matter.
JPMorgan Chase had multiple traders from its precious metals desk indicted by the Justice Department on RICO charges last year for allegedly running a racketeering enterprise out of the precious metals desk at JPMorgan. The firm itself is now under criminal investigation according to a February report at Bloomberg News.
Another felony count at JPMorgan Chase could be the death knell for the career of JPMorgan Chairman and CEO Jamie Dimon. During Dimon’s tenure as CEO, JPMorgan has pleaded guilty to two criminal felony counts in 2014 for its role in handling the business bank account for Ponzi schemer Bernie Madoff. In 2015 the bank pleaded guilty to one felony count for its role in rigging foreign exchange trading. It’s unprecedented for a major Wall Street bank to survive three felony counts. A fourth felony count might be simply too much for even today’s crony regulators.
Mainstream media has made much out of the fact that this U.S. Attorney’s office is actively investigating Trump ally, Rudy Giuliani, and Deutsche Bank, a major financial lender to Trump’s companies. But the fact that Barr, and assumedly Trump, want to replace Berman with Clayton – a man with no criminal prosecution experience but chummy ties to Wall Street – suggests this is really about Goldman Sachs and JPMorgan Chase.
Update:
Berman has changed his mind and decided he will step down after all. The change of heart came after Barr issued another letter to Berman on Saturday, June 20. The new letter stated that President Donald Trump was removing Berman from his job. The letter also indicated that Berman’s Deputy U.S. Attorney, Audrey Strauss, would become the Acting U.S. Attorney. Barr’s earlier statement on Friday evening had indicated that Craig Carpenito, the U.S. Attorney for the District of New Jersey, would assume Berman’s post “while the Senate is considering Jay Clayton’s nomination.”
A new embarrassment is emerging for both Jay Clayton and Sullivan & Cromwell. On Saturday, Senate Judiciary Committee Chairman Lindsey Graham, Republican of South Carolina, released a statement indicating that he won’t move forward on Clayton’s nomination without the standard policy of getting a go-ahead from the two Senators of the state where the new U.S. Attorney will serve. That means that Senators Chuck Schumer and Kirsten Gillibrand would have to give the greenlight to Clayton.
Schumer released the following statement:
“Forty seven years ago, Elliott Richardson had the courage to say no to a gross abuse of presidential power. Jay Clayton has a similar choice today: He can allow himself to be used in the brazen Trump-Barr scheme to interfere in investigations by the U.S. Attorney for the Southern District of New York, or he can stand up to this corruption, withdraw his name from consideration, and save his own reputation from overnight ruin.”
According to the New York Times, Senator Gillibrand has also stated that Clayton should withdraw his name from consideration.

University Of Chicago Podcasts: I Give Them An A+

One of the many benefits of podcasting is that quality in that medium can originate from the most unlikely of sources. Right now, we have corporate-branded podcasts such as Shopify’s podcast TGIM, Inside Trader Joe’s and #LIPSTORIES (Sephora) as three stellar examples.
Mattress Firm has been successful with iHeart's Chasing Sleep. Mattress sales are up, due, in large part, to the show.
How about an entire podcast network started by a University -- and the podcasts are an A+, and I'm not grading on a Bell Curve.
I'm talking about the University Of Chicago.
The University of Chicago was incorporated as a coeducational institution in 1890 by the American Baptist Education Society, using $400,000 donated to the ABES to supplement a $600,000 donation from Standard Oil co-founder John D. Rockefeller, and including land donated by Marshall Field.
Today, The University of Chicago is a private research university in Chicago, with its main campus in Chicago's Hyde Park neighborhood. University of Chicago scholars have played a major role in the development of many academic disciplines, including economics, law, literary criticism, mathematics, physics, religion, sociology, and political science, establishing the Chicago schools in various fields.
Unlike some universities that have a podcast or two, The University Of Chicago has a podcast network, and their podcasts are informative, which you'd expect, entertaining, which might surprise you, and insightful, which you'd demand.
The podcasts I'll cover are fairly uniform in format and consistent in tone. It's a university podcast network populated by professors and academics, so sometimes being pedantic and prosaic is part of the overall package.
What's refreshing is that, despite conservative media blathering about academic elites who promote a Marxist, dissolute, and predatory lifestyle, the academics on these podcasts offer opinions, declarations, solutions, analysis, insights, and prescriptive thought that transcends strict political ideology. In effect, the data they mine and then interpret can fall on both sides of the political landscape.
The hosts of these shows aren't in the class of Michael Barbaro from The Daily (who is?), but they're competent, incisive, and sneaky funny.

MANHATTAN (CN) – Just before attending a federal bail hearing, prosecutors learned new details about wealthy sex-offender Jeffrey Epstein’s murky assets and hidden passport that made the presiding judge do a double-take.
“Say that again,” a visibly surprised U.S. District Judge Richard Berman remarked. “You found that today?”
At a hearing this morning in Manhattan, Assistant U.S. Attorney Alex Rossmiller had just told the seasoned jurist what the government found stashed inside Epstein’s $77 million Upper East Side mansion.
“In connection with that factor, your honor, just this morning, the government became aware that in a locked safe in the defendant’s mansion there were piles of cash, dozens of diamonds, and a passport appearing to be issued from a foreign country with a photo of the defendant and a name on that passport that is not the defendant’s name,” Rossmiller said.
For Rossmiller, the discovery raised questions.
“Certainly, the first question for a defendant of this tremendous means is how much money does he have? Where is it? What are the accounts?”
Rossmiller said, referring to Epstein’s assets. “Is it in foreign accounts? How much is in diamonds or art? These are all details that would be necessary for the court to even begin to consider this type of application.”
Though the prosecutor did not specify the issuing country, Rossmiller added that the expired passport seized from Epstein listed the country of residence as Saudi Arabia.
U.S. District Judge Richard Berman noted that pretrial services supports Epstein’s continued detention as well.
“There is no condition or combination of conditions that will reasonably assure the appearance of defendant as required and the safety of the community,” Berman said, quoting from the agency’s report.
Toward the end of the proceedings, two new accusers, Alice Farmer and Courtney Wild, stepped forward with their attorneys to emphasize that they would be afraid if Epstein were released.
“He was inappropriate with me, and I would prefer not to go into the details about labeling that at this time,” an emotional Farmer said, her voice cracking.
Telling the judge that that she was 16 years old when she had the “misfortune” to meet Epstein, Farmer alleged she was flown out to his ranch in New Mexico, where the New York Times recentlyreported the tycoon had been able to avoid sex-offender registration for his Florida conviction.
Wild revealed more about her story.
“I was sexually abused by Jeffrey Epstein starting at the age of 14,” Wild declared.
“I would just like to ask the court to not grant him bond, to keep him in detention just for the safety of any other girls out there that are going through what I’m going through,” she continued. “It is a public case, and it’s just  – he’s a scary person to have walking the streets.”
As with Epstein’s 2008 prosecution in Florida, the New York case paints a portrait of how Epstein’s enablers recruited his victims: Each would find an underage girl, often vulnerable or destitute, and offer cash to give the tycoon a massage that would turn sexual. One of the counts charge a sex-trafficking conspiracy, but no accomplices have yet been named.
Prosecutors say the girls were paid to lure others like them in a pyramid-like scheme that brought Epstein an untold number of victims, recently estimated by a federal judge in Florida to be more than 30.
Since Epstein’s latest arrest, that number has climbed with calls to the tip line 1-800-CALL-FBI. Its ranks are growing still, the government alleges. Reporting that more people have been calling in, Rossmiller said the investigation continues to “dramatically expand.”
One aspect of Epstein’s case that prosecutors have not been able to unravel, at least not publicly, is the contours of the sex-offender’s wealth. Prosecutors claim he makes $10 million per year on “whatever it is he does,” and a recent bail memo described an account linked to Epstein traced at least $500 million in self-reported assets to one unidentified bank.
“We’re just relying on the defendant’s word for all of this,” Rossmiller said, referring to Epstein’s assets.
Judge Berman, who previously allowed Epstein to file financial information under seal, also commented on the “lack of detail” in the sex offender’s “cursory” statement, the details of which he unsealed and made public after the proceedings.
Dated this June 30, the financial statement reported more than $559 million in total assets, comprised of more than $56 million in cash, $14 million in fixed income, $112 million in equities, $194 million in hedge funds and private equities and the remainder in real estate.
Berman did not take too much stock in those numbers.
“Respectfully, I don’t think that the financial summary tells me anything really,” the judge said. “For one thing, it’s some unverified list of assets, not audited, not certified, and not very detailed either.”
Years ago in the unrelated trial of Reza Zarrab, a gold trader who perpetrated the biggest money laundering scheme to Iran in U.S. history, the veteran jurist struck a blow against the phenomenon of well-heeled criminal defendants buying cushy bail packages.
The New York Times memorably described Zarrab’s requested bail package at the time as a “gilded cage,” a phrase echoed by the prosecution in describing Epstein request for armed guards to lock him up in his New York mansion.
For Berman, the arrangement smacked of a two-tiered system of justice for the rich and poor.
“Most importantly, the defendant’s privately funded armed guard proposal is unreasonable because it helps to foster inequity and unequal treatment in favor of a very small cohort of criminal defendants who are extremely wealthy, such as Mr. Zarrab,” Berman wrote in 2016.
Epstein’s attorney Martin Weinberg meanwhile complained about the difficulty his team has experienced trying to reach Epstein in the special housing unit of New York’s Metropolitan Correctional Center, where inmates are held in isolation.
“We need him released, judge,” Weinberg said. “This is an enormously challenging case for defense counsel.”
But Berman said the same could be said of defendant unable to afford a $500 or $1,000 bail in Rikers Island.
“Everybody has the right to consult with counsel,” the judge said.
Weinberg also referenced the window of the Epstein’s alleged conduct, from 2002 to 2005, saying his client has “disciplined” himself in the 14 intervening years.
Rossmiller scoffing at that assertion, arguing that the statement concedes that Epstein is predisposed to sexually abuse underage girls.
“The defendant keeps telling on himself here,” the prosecutor said.
Farmer, one of the victims who addressed the court, ridiculed Epstein’s supposed reform too.
“If he’s continuing to engage with pornography of young women, I would say that would be quite the opposite of ‘disciplining,’” Farmer said, referring to the stash of child pornography that authorities reported finding in his apartment.
Judge Berman, who is a licensed social worker, also pointed out there are studies indicating that a 14-year lapse between offenses is not particularly meaningful. Berman later released a U.S. government study showing that recidivism jumps from 5% after three years to 24% after 15 years.
Trying to distinguish his client Epstein from those offenders, Weingarten insisted: “It’s not like he’s an out-of-control rapist,” adding, “He doesn’t fit within the paradigm of many of the sex offenders that are the subject of the research that your honor is accessing.”
Unpersuaded, Berman pointed to Epstein’s record of eluding authorities.
“The question is: How do you know that?” the judge asked.
Epstein’s Florida prosecution collapsed in 2008 with a secret plea deal that allowed him to plead guilty to state-level charges of soliciting prostitution and serve out a light 13-month sentence with frequent work-release privileges. The deal insulated Epstein’s suspected accomplices from prosecution and did not inform his accusers in violation of the Crime Victims’ Rights Act.
In Florida, another federal judge is deciding whether the void that non-prosecution agreement for breaking the law.
That was hardly the only remarkably light treatment given to Epstein by authorities. Methodically considering the evidence, Berman pressed Epstein’s attorney on a recent New York Post report that the NYPD allowed the tycoon to skip judge-ordered check-ins. The judge said he will issue his ruling early Thursday morning in court.
“I will endeavor to finish by then and to be able to share with you my determination,” Berman said.

Lunch time was a fun time when I was starting out in the business.
December 3, 2021
On December 15, it will be 51 years since I started my first job as a copywriter in the Motor News department at the Automobile Club of Michigan (AAA). I'll never forget stepping into the office I was assigned and those early days on the 16th floor of the United Artists Theater Building in downtown Detroit:
Nice desk. A phone with different levers for different "lines." And a big ol' Underwood manual typewriter. Also, when I looked out my window I could see a rooming house across the Fisher Freeway in the Cass Corridor with a sign that read, "If you lived here you'd be home now."
On my third day, Copy Service, the Club's internal printer, delivered business cards and a stack of small notepads to my office that said at the top of each sheet, From the Desk of Len Bokuniewicz. I felt so proud I took several home that night to show my Mom and Dad.
During that first week, I was taken out to lunch by one of the owners of FFD, an art studio that provided illustration, photography and type for the ads and sales literature we created. A couple days later, a representative from Ambrose Associates, another art studio, took me to lunch and picked up the tab. When I look back it seems as though my colleagues and I were treated to lunch by our suppliers about three times a week. The owners of the Auto Club's ad agency, the printer of our brochures, a representative of an envelope maker, and reps for companies that produced such things as "Bring 'Em Back Alive" bumper stickers, banners, litter bags and other types of merchandising materials we produced were always taking us out.
Moreover, every Friday, we'd walk across Bagley Avenue to attend the weekly Adcraft Club of Detroit luncheon meetings at the Hilton Hotel--on expense account, of course. And I soon learned that if I wanted tickets to see the Tigers, Lions or Red Wings play, all I had to do was ask one of the reps who called on us. Also, because AAA was a big advertiser on the Tigers flagship radio station, WJR, I got to climb into the broadcast booth perched above the infield at old Tiger Stadium and met legendary broadcaster Ernie Harwell.
It was heady stuff for a blue-collar kid from East Dearborn.
There were so many places we could walk to for lunch in those days: Berman's Chop House, the Gaslight, Victor Lim's, Checker Bar, the Sheik, Trader Vic's, Lefkofsky's Deli, Pontchartrain Wine Cellars, Qwikee Donuts, the Caucus Club, Stouffer's, Greenfield's, Lafayette Coney Island, Lindell AC, the Money Tree, all the restaurants in Greek Town and, on the most special of occasions, the London Chop House.
My personal favorite, however, was the Coach House. Bill, my boss, who was AAA's ad manager as well as Motor News' assistant department head; Stan, his righthand man; Barb, our secretary; and I often went there for burgers and drinks. I'd order the bar's outstanding ground round with melted cheese and grilled onions, accompanied by a couple of bottles of longneck Stroh's.
The bill was $2.30.
During the early '70s, drinking alcohol at lunch time was de rigueur. It was the era of the "three-martini lunch." Our hard-charging manager of the entire Motor News department, a former newspaper guy who headed up all communications (AAA's monthly magazine, publicity, traffic and road reports, etc.) did his share of Beefeater martinis on the rocks with an anchovy olive (before switching allegiance to Boodles Gin).
I never saw him stagger.
In 1980, when I got into the agency side of the business at Ross Roy, I was stunned by how heavily many of the creatives drank at lunch time. In fact, during my second week there, I recall an account guy coming back from Chrysler, our major client, with an emergency assignment, and the creative director phoning Andrew's Bar down the street to bring the team back into the office to brainstorm.
This was in the middle of the afternoon. What I observed--the heavy drinking, coming back to the office, cranking out stuff into the night--was a standard practice at advertising agencies back then.
Ross Roy moved to Bloomfield Hills in 1989; by the mid '90s drinking at lunch time had become considered bad form, not only at ad agencies but throughout the corporate world. I don't recall a specific directive prohibiting it, but "no alcohol" aligned with emerging business practices of the time to document "processes" and produce "efficiencies."
In the early 2000s, while in my mid 50s, I worked at both J. Walter Thompson and W.B. Doner. My creative partner, a talented art director, and I were ultimately fired at both shops as part of an evolving movement to get more work done with fewer people, while cutting payroll. By that time it was not uncommon to eat lunch at one's desk as assignments piled up. Rarely were creatives being taken out to lunch anymore by art studios, photographers, printers etc. It had become a far different world from my early years at AAA when practically everyone from every department (Underwriting, Sales Administration, Emergency Road Service, Domestic Travel, World-Wide Travel, Personnel, etc.) went out to lunch practically every day.
And yet, I'm not sure office workers were any less productive back then because of how our lunch hours were spent. We'd unwind, for sure, and talk about office politics, or how we'd spent the weekend, or the latest losing streaks of our local sports teams. But during my AAA days we'd also debate the communications strategies proposed by our ad agency. And during lunch hours at the Roy, I often picked up important "intelligence" about Chrysler from account people and creatives who'd returned from client meetings. Such inside information found its way into copy I wrote almost every day.
Today, during the Covid era, my four kids, young professionals in their respective fields, work most days at home and take breaks at noon to make their own lunches. Sometimes they use their lunch hours to walk the dog, check Facebook or throw something into the washing machine. It might be convenient, but the absence of daily interaction with humans would be difficult for me.
My kids tell me that they and their colleagues are more productive on the job than ever before. But are they having any fun at work? Doesn't sound as though they have much to me. In fact, most young people I talk to today complain about low company morale and always seem to have their eyes open for the next opportunity.
When I started working at AAA, a company founded in 1916, it had never experienced a company layoff. When I started working at Ross Roy, founded in 1926, it had never had a layoff, either. (That changed at both places in the '90s.) For decades upon decades, in the white-collar world at least, companies were generally loyal to their employees, and employees were generally loyal to their companies.
That all changed as my career evolved. It's arguable whether or not the business got significantly more productive. What's inarguable is this: I had a ball practically every day on the job at both the Automobile Club of Michigan and Ross Roy during my first 25 or 30 years as a creative in advertising. Having fun at lunch time was a big part of it.
