Lucy wants to take over the Sons by physically overpowering Caesar, but consistently fails because Caesar is a better fighter and too competitive to not be the boss, but by the same token Lucy effectively already leads the Sons by managing their finances, logistics, schedule, and so on, while Caesar shows deference to Lucy in everything that isn't fighting, because she knows Lucy is better than her at such things.

On top of that, the thought of upsetting Lucy is the only thing that will make Caesar second guess herself, while Lucy outright doesn't want to lead the Sons without Caesar at her side.
