An ode to fallen heroes?

Dear writers of German television, in this case of Tatort: it is not a good idea to kill off your long-time characters, neither for the audience nor for the character. Spoilers btw, only warning. Of course the actors and actresses can decide anytime that they're through with the role, but there are other ways to write them out - ones that don't look like outright sadism. You torture the character for years only to let them die anyway at the end? That feels very Game of Thrones-ish. You make a ship canon just to kill off one half of it? Someone around here alrady called you out on the Destiel route. In case of Bönisch... well, it was at least par for the course; that team always consisted of a lot of suffering, but that makes her end just another kick in the face of the audience. That sucks. And since it's not necessary to off them that way, it feels like twisting the knife. I'll keep with the ones in my conscious memory here, meaning I'm definitely not covering all of them all the way back to 1970, but we're already in for five teams in my limited frame of reference.

Not even getting creative there; they were all unceremoniously shot. Stedefreund and Bönisch at least got to die in the arms of a crying partner to squeeze the last bit of enforced emotion out of it, the rest went out alone. In case of Stark, they let us hang on that ominous "perhaps he'll survive", only to then come around with, "whoops, you'll never find out; he never shows up again and his successors don't comment on this, lol, byyyeee". In case of Lessing, the episode was an uncomfortable tonal dissonance with the rest of the Weimar series - it didn't fit the episodes before at all. Understandably so, with one of our protagonists killed, but it really didn't sit well. Also, we very obviously know that there are other ways.

Tatort characters who got away alive:

Robert Hellmann - quit police service for a nicer job

Carlo Menzinger - hit it rich and quit working altogether

Till Ritter - quit police service for whatever reason

Henni Sieland - quit police service out of bitterness

Kira Dorn - series ended with the death of her partner

And yeah, obviously those are not all cheery happy endings or even satisfying explanations, but they are ways to send the characters off without going for the most obvious, the shock value - which is there for one second and is then outweighed by bitterness. That's just shitting on the character, and on everyone who liked that character for a good while and in some cases had hopes for them developing and getting better.

I may not be in the place to complain about that here because it didn't happen to my faves... yet. I'm kinda afraid. I feel like I read an interview with Wachtveitl somewhere that they won't go for a shocker with the end of their München Tatort but do something simple that fits them, so I lowkey hope they'll end on Franz and Ivo newly retired going fishing or poisoning pidgeons in the park or whatever, getting a call from Kalli and giving him some advice, and then we blend over to Kalli on his new Hauptkommissar desk and he's like, "on it." Something like that.

Kinda anxious for the Wien and Dresden teams; those two have a lot of drama potential. And then there's Stuttgart. *sigh* Admittedly, they sent off both Alvarez and Nika unceremoniously but alive, but also, SWR has proven several times that they don't handle either of the Kommissare well in writing their characters. Sebastian with his colorful bouquet of issues, Thorsten with his "retiring is about my greatest fear" attitude - they might go for the kill there, and I already hate them for the possibility. That'd just be the fucking cherry on top of the whopping shit whipping cream.

Admittedly, I have a certain morbid curiosity as to how Münster will end. Like, they love big drama, but they hate continuous changes, but when the actors are getting out, they'll have to face the change definitely, so might as well go out crashing? Heh, I'm not emotionally invested in there enough to care, but it might either make me roll my eyes till I get a headache or get out the popcorn to watch this part of tumblr blow up and burn.

At least I'm not afraid for the Saarbrücken team yet. They do love their tragedy, but also there's so much potential in the Leo and Adam dynamic they'll wanna utilize, and aiming at a younger audience they won't go for killing off the ladies just for the hell of it; they should know by now that fridging a female character for pure drama is not getting them anywhere. As for the format... no idea. They might keep onto the continuing narrative and maybe round it out before it outlives itself, but even then there's no promise they won't end it on a character death just to fuck with the audience.

tl;dr? Just let them Kommissare retire, or find a new job or race off into the sunset with their queerly beloved (as if). The audience won't be happy about any farewell of a character they love, but they might not hate you if you don't go, "lol, HBO does good writing; we should do that to our characters". You're already not serving us shipping, or sweet moments with no arguing in the team, or positive development, or continuity - we're already expecting nothing, so don't let us down on that, too. Just let us imagine they're free to live a better life. Fucking face it; the continous characters and an audience that loves them are what keeps the format alive, not the idiotic case of the week. The point of Tatort is comfy Sunday evening entertainment with not much aspiration or challenge, not chucking something painful at us.

Adventskalender 2017 - Mistelzweig

Hier nochmal Fanart von mir. Ich bin dem seltsamen Gerücht nachgegangen, dass es neben Münster angeblich noch andere Tatort Teams geben soll ... und diese fremde Welt existiert tatsächlich! ;D

Ähm, ja. Sicherheitshalber hab ich bei allen knubbligen Comicfiguren mal noch die Städte dazugeschrieben. Es folgt viel subjektives Bla bla, muss nicht gelesen werden:

1) Felix Murot und Magda Wächter: Ich schließ mich Richard Harloff an - die Zwei haben Shipping Potential. Und nicht nur, weil sie eine Neigung zum leichten retro Look in ihrer Kleidung teilen. :D 2) Lessing und Kira Dorn: Für mich sind so gefühlt 85% der Kommissare geschieden, getrennt, oder ähnliches aus dieser Ecke (soll nicht wertend gemeint sein); Lessing und Dorn find ich da mal erfrischend anders. Nicht nur dass sie so jung sind, sie bilden mit "kleiner Mann" auch noch eine Familie. Mit Dorn tu ich mir aber soweit ehrlich gesagt bisschen schwer ... meiner Meinung nach ist sie etwas übertrieben spitzzüngig, gerade auch zu ihrem wirklich vernünftigen und liebenswerten Mann. Ich verdächtige die Drehbuchautoren, dass sie mal wieder "starke Frau" mit "zickige Frau" gleichsetzen. Oder ist das jetzt verinnerlichte Misogynie? Hmmm... 3) Peter Faber und Martina Bönisch: Spielen *DIE* (kreisch!!) Szene aus "Hundstage" nach. Eigentlich würde ich Bönisch ja ein Happy End mit ihrer Familie gönnen, aber mir scheint das praktisch aussichtlos. Die Zwei hier nun ... ship ich schon irgendwo, wie beide aber längerfristig miteinander funktionieren sollen, kann ich mir aber auch nich so recht vorstellen. Auf Fabers Spitzzüngigkeit steh ich im Gegensatz zu Dorn enorm, das gibt mir schon etwas zu denken.  Nebenher, solang die Erfinder das nicht dementieren, geh ich ganz heftig davon aus, dass der Charakter Faber von Dr. House kop-, ähm, inspiriert wurde. Aber sowas von. 4) Lena Odenthal und Mario Kopper: Bitte keine Briefbomben und Steinwürfe, wenn ich jetzt gestehe, dass ich die Zwei zusammen ganz süß gefunden hätte. Ich hab nunmal ne Schwäche für die Tropes "Aus langer Freundschaft wird doch noch Liebe", und "äußerlich rauher Kerl ist eigentlich sehr sensibel". Aber wer die Perspektive so gar nicht mag, kann den Schmatzer hier genauso gut als freundschaftliches Bussi deuten. "Lena ist lesbisch" ist für mich allerdings kein Argument, seitdem Ulrike Folkerts selber sagte, dass sie den Charakter nicht so auslegt. Und bitte auch kein Hate, dass keinerlei Slash dabei ist - falls ich je ein "Teil 2" Bild mit anderen Paaren zeichnen werde, würd ich Batic & Leitmayr mit einschließen. :)

Improv Stage As Crime Scene – Axel Ranisch Does Tatort

While “quality” and “innovation” seem to be the attributes that US and British TV producers like to define their work as, in Germany “tradition” and “ritual” (as in private, pub and public viewing every Sunday evening at 8:15) are the watchwords – and they probably explain the appeal of weekly (with seasonal hiatuses) detective show “Tatort” (crime scene).

First broadcast in 1970 and gearing up for its 1000th episode on November 13, 2016, “Tatort” takes the federalist public broadcasting system in Germany and turns it into a unique feature of the series. Each state broadcaster has one or two crime-fighting teams that solve cases grounded in the regions they’re based in. That means lots of location shooting and detectives with regional accents and (stereotypical) traits like earthy, tough but tender “Ruhrpötter” Horst Schimanski, operating in Duisburg in the Western German coal-mining Rhein-Ruhr metro area. The hard-drinking, hard-loving and quick-tempered Schimanski, a 1980s departure from the heretofore straitlaced “Tatort” cops, was no less credible as played by the late acting legend Götz George, a native and life-long Berliner. Schimanski was also the first true superstar “Tatort” detective. In the pre-Schimanski era, how many people remember who was on the case in “Reifezeugnis” (1977), which put director Wolfgang Petersen on the map? (Kommissar Finke, played by Klaus Schwarzkopf, investigated.) However, almost everybody remembers the other beneficiary of that episode’s success, then 15 year-old Nastassja Kinski, who played a precocious femme fatale. Even if “Tatort” never had the most intricate plots, it serves as a map and social barometer (issues from child abuse to xenophobia are regularly explored) of the past 45+ years of West and reunited Germany.

To its credit, “Tatort” has tried to flex its dramatic and stylistic muscles, with varying degrees of success. 2014’s Frankfurt set “In Schmerz geboren” (Born in Pain), directed by Florian Schwarz and featuring Ulrich Tukur as Detective Felix Murot and Ulrich Matthes as his best friend turned nemesis Richard Harloff, achieved stratospheric acclaim. But do the show’s makers seriously expect a medal for heavy-handed Shakespeare references and vapid Tarantino knock-offs? Then there have been interesting variations within the detectives‘ characters. Some, like Jan Josef Liefers‘ Professor Boerne, take more than a page or two from the playbook of eccentric yet loveable forensic medicine geniuses in US series from “CSI” to “Bones”, but the comically vain Boerne is great fun to watch in tandem with schlubby yet can-do sidekick Frank Thiel (Axel Prahl as perfect foil). Others like the romantically involved Lessing and Kira Dorn don’t give the otherwise talented Christian Ulmen and Nora Tschirner, who can handle both the comic roles that established their careers as well as more serious fare, much to work with. Now, “Tatort”, the epitome of genre routine, has opened itself up to the free-wheeling improvisational process of director-actor Axel Ranisch.

Ranisch has become one of Germany’s most acclaimed new talents. His body of work includes “Heavy Girls”, famously produced for 517 euros, with support from his grandmother (lovely as one the three leads) and a founding text of the “German Mumblecore” wave of low budget, character-driven films; camp coming out and of age stories (“I Feel Disco”); fairy tales with a twist (“Reuber”) and the surreal addiction psychodrama “Alky Alky”. Ranisch studied under queer cinema icon Rosa von Praunheim at the Media University Konrad Wolf in Potsdam-Babelsberg and has cultivated an improvisational technique and reperatory company (did somebody say Cassavetes or Fassbinder?) centring around Schillertheater alumnus Heiko Pinkowski and acting newcomer Peter Trabner. Pinkowski and Trabner have since become German Mumblecore posterboys, and Trabner worked as improv coach (in ten cast workshops stretched over the course of a year) on the Ranisch “Tatort” episode, intriguingly and onomatopoetically titled “Babbeldasch”.

“Babbeldasch” is Palatine dialect for “blabbermouth” and the name of a (fictitious) dialect theater (shot in the Hemshofschachtel theater) in the southwestern German city of Ludwigshafen. This Rhineland town is the turf of detectives Mario Kopper (Andreas Hoppe), Johanna Stern (Lisa Bitter) and Lena Odenthal (Ulrike Folkerts). Lena Odenthal’s first case was in 1989, as only the third ever female “Tatort” detective. Now after 17 seasons she’s the series‘ senior crimefighter. The Odenthal character, as Folkerts portrays her, has been hailed as a fresh, self-confident, resourceful and well-rounded female role model (while Folkerts was one of the first “out” German female stars). In “Babbeldasch” Folkerts, her fellow “Tatort” cast members and non-professional actors seemingly revel in Ranisch taking them out of their comfort zones: working without a script, shooting in sequence and not knowing the story’s resolution beforehand.

This episode’s mystery involves the death of Sophie Fetter (played by Hemshofschachtel director Marie-Luise Mott), the impresario and diva of “Babbeldasch”. Odenthal and her colleague Peter Becker coincidentally witness the tragic incident while in the audience. What is first diagnosed as a lethal allergic reaction to poppyseed in a chocolate croissant might actually be more sinister. Sophie certainly was involved in enough potentially perilous personal and professional intrigue: a volatile love triangle, disgruntled ensemble members, estranged daughter (Petra Mott, Marie-Luise’s real-life daughter) and a greedy landlord eager to get his hands on the property for which Sophie had a lifelong lease. Odenthal should be off duty to compensate overtime, but Sophie keeps appearing to her in dreams, admonishing her to find the killer. So the next thing we know, Odenthal is undercover, acting a part (of dramatically inclined social worker) amongst the actors. The recurring dream sequences are just one of several well-placed running gags, which also include the improvised care of Johanna Stern’s toddlers and a flu-like bug.

As a “Tatort” episode set in the world of theater and artifice would have it, there’s no shortage of meta moments and fourth-walling. Johanna Stern refers to “Murder On The Orient Express” when she says everyone had a motive and maybe everybody did it all together. Lisa Bitter as Stern then hits the ball out of the park in a hilarious montage sequence of her interrogation of the entire “Babbeldasch” ensemble, keeping her face and the stories straight while wearing an absurd white protective suit. Odenthal also seems to be ever so subtly winking to the audience on some occasions.

At a Q&A after a preview coinciding with the opening of the “1000 Tatorte” exhibition at the Film Museum in Berlin, Folkerts commented that Odenthal is enjoying her life in “Babbeldasch” more than she has been in previous films, and that she hopes that this will continue. Bitter tempered her reportedly negative remarks about the improv process by saying at first the exercises brought back awkward memories of acting school, but then she got into it. Regular “Tatort” viewers also noted Odenthal’s flash new riverside digs, which apparently will be featured in future episodes. (Odenthal’s cat, largely absent in “Babbeldasch”, will return, Folkerts assured the audience.) Most importantly, one hopes that Ranisch’s spirit will sustainably impact “Tatort”’s aesthetic growth – maybe without year-long improv workshops but with a sense of adventure and discovery that the audience can share.

Gedanken um und zu Tatort

Leute, helft mir mal, ich hab hier vlt. jemanden an der Angel...

@curtaincage - lies hier gern mal rein, wenn du bisschen Zeit hast.

Also, wenn du dich für Tatort interessierst, solltest du darauf gefasst sein, dass die Qualität von Stadt zu Stadt, von Team zu Team und von Folge zu Folge stark schwanken kann. Manche Drehbuchschreiber kacken auch völlig auf etablierte Charakterisierung; dann schreiben Leute wie ich in einem Wutanfall Fanfics. Ich werd mal meine bevorzugten Teams anreißen, um ein paar Einblicke in meine Tatort-Erfahrung zu geben? Bin selber ja noch frisch in dem Fandom.

Stuttgart: Thorsten Lannert und Sebastian Bootz

Hach ja, mein verkommenes kleines Sorgenkind in der Pubertät... Ich liebe es und komme nicht davon los, aber man muss schon bisschen wissen, worauf man sich einlässt. Die frühen Fälle sind fast ausnahmslos wunderbar, v. a. in Hinsicht auf Sebastians und Thorstens Chemie vom ersten gemeinsamen Fall an (wo kämen wohl sonst die ganzen Slashfics her?), aber dann haben die Schreiber so um 2014/15 gemeint, Sebastian müsste ne Scheidung mit Trinken und Toxic Masculinity verkraften und sein Temperament zu Aggressionsproblemen auswachsen lassen - so kann man einen liebenswerten, süßen Dork auch ruinieren. Dann haben sie das Vertrauen zwischen ihm und Thorsten durch einen Fall vergiftet, wo sie sich beide einfach scheiße benommen haben, und seitdem sind sie eher kühl zueinander, obwohl die Fälle krimi-mäßig immer noch stark sein können. Ist ein bisschen swing and miss. “Der Welten Lohn” ist z. B. Mist. “Das ist unser Haus” ist ziemlich merkwürdig, macht aber Spaß, wenn man sich drauf einlassen kann, und da klingt zwischen den beiden Herren der Schöpfung auch was von ihrem alten bantering an, was mir Hoffnung macht. Zurzeit sind aber einige der älteren Folgen online(!), da ist auch das unterstützende Team noch vollständig - zwei meiner Lieblinge, Kriminaltechnikerin Nika und Staatsanwältin Emilia Alvarez, die irgendwann später leider ausscheiden. DEFINITIV Empfehlungen für “Scherbenhaufen” (persönliches Highlight: Sebastian rennt vor einem bewaffneten, schießwütigen Verbrecher davon und ruft dabei: “Aber ich bin wirklich Polizist!”) und “Die Unsichtbare”, bisher mein Favorit. Ich persönlich mag auch “Eine Frage des Gewissens” irgendwie; das dokumentiert zwar schon Sebastians Niedergang als Charakter, aber da ist zumindest das Verhältnis zu Thorsten noch heil und der Fall ist ziemlich spannend.

München: Franz Leitmayr und Ivo Batic

Ich LIEBE diese zwei. Bin zwar über das Bootz-Lannert-Team ins Fandom gekommen, aber die Münchner sind in meiner Wertung inzwischen gleichauf. Die arbeiten nun auch schon seit saftigen dreißig Jahren zusammen und sind in jeder Hinsicht wie ein altes Ehepaar - was sie irgendwie schon immer waren. Die Fälle haben’s in sich und arbeiten oft mit echt heftigen Thematiken, aber Franz und Ivo im Dialog sind super witzig. Sie streiten sich, sie lieben sich, sie snarken sich gegenseitig an. (“Was würdest du denn sagen, wenn du morgens so ’n Bild [Leichenfoto] von mir in der Zeitung siehst?” - “Ich würd sagen: Da schau her, der Ivo, jetzt hat er’s doch noch in die Zeitung geschafft.”) Der Handlungsstrang von “Die Wahrheit” / “Der Tod ist unser ganzes Leben” ist unfassbar schmerzhaft, wenn man die Charaktere und ihr Miteinander liebt. Ich hab hier tatsächlich noch keinen wirklich schwachen Fall erlebt und vlt. ein, zwei mittelmäßige; sonst wird hier mit schöner Regelmäßigkeit Qualität abgeliefert. Empfehle WÄRMSTENS “Außer Gefecht”; das ist echt stark, aber auch sonst findet man gerade ein paar hübsche Sachen in der ARD-Mediathek oder auf der Seite vom BR-Sender.

Dresden: Karin Gorniak und Henni Sieland / Leonie "Leo" Winkler

Henni Sieland ist mittlerweile ausgeschieden, was schade ist; ich mochte sie sehr und die Schauspielerin ist klasse, aber dass Leo auch ziemlich gut im Team funktioniert, tröstet. Ich hab vlt. ne persönliche Schwäche, weil ich aus dem Dresdner Raum komme, deswegen kriegen die von mir womöglich Nostalgie-Bonus, aber ich finde, die Mädels sind super. Nervig kann der Chef sein, der sehr... inkonsistent charakterisiert ist? Einmal ist er dieser grenzwertige Beinahe-Nazi, ein andermal dieser halt etwas konservative, aber väterliche Typ? Ich weiß nicht. Die Mädels müssen ihn ertragen und der Zuschauer eben auch. Die Fälle sind spannend geschrieben und die Schauspielerinnen liefern ordentliche Leistungen ab.

Saarbrücken: Leo Hölzer und Adam Schürk

Von dem Team gibt's bisher nur eine Folge (“Das fleißige Lieschen”) und wir müssen bis April auf die nächste warten! Dafür ist das aber ein echter Leckerbissen. Die Nebenfiguren, v. a. die Damenwelt, schwächeln etwas und ich hoffe, dass da noch dran gefeilt wird, aber dafür sind Leo und Adam als Charaktere erste Sahne. Jemand hat sie mir empfohlen mit: Tragische Hintergrundgeschichte, schmachtende Blicke und jede Menge bickering, und das ist nicht zu viel versprochen. Hat natürlich geholfen, dass deren erster Fall auch ziemlich stark geschrieben war. (Und Adam ist Minckwitz aus der ersten Staffel Charité. Das hat mich im ersten Moment stocken lassen; inzwischen pflanzt es mir böse Plotbunnies und Headcanons ein. Passt auch wie Arsch auf Eimer, denn so sehr ich Adam liebe, er ist schon irgendwie ne Bitch.)

Ludwigshafen: Lena Odenthal

Hat lange Zeit mit Mario Kopper zusammengearbeitet und war auch klasse mit dem, hat aber seit ein paar Jahren ne neue Partnerin, Johanna Stern, mit der es immer mal Reibereien gibt, aber gerade deswegen finde ich die Dynamik auch ziemlich spannend, auch wenn sie natürlich nicht dieses “seit Ewigkeiten eingespielte Team” sind. In jedem Fall LIEBE ich Lena Odenthal bzw. Ulrike Folkerts, die sie spielt, von ganzem Herzen. Die Frau ist AWESOME. (Kleine Warnung vor “Tod im All”, die Folge ist nicht unbedingt schlecht, aber echt schräg.) Man muss aber drauf klarkommen, dass sie ein relativ bitterer, einsamer Typ Mensch mit vielen scharfen Kanten ist, nicht unbedingt ne fluffige Person.

Sonst sind Thiel und Boerne (Münster) immer einen Blick wert. Das Team ist klasse und die Folgen fast immer sehr humorvoll, und hier mag ich auch die Unterstützung wieder sehr; Alberich und Nadeschda sind beide großartig!

Viele Leute schwören auf das Berliner Team Till Ritter und Felix Stark. Bei mir persönlich hat’s nicht geklickt, aber es kann auch sein, dass ich grad ne schwache Folge erwischt hab. Sie sind zweifellos eins der shipbarsten Teams, haben also ne 1A Chemie, also nur weil’s für mich nix ist, ist es wohl nicht schlecht.

Zudem habe ich ein paar Empfehlungen für Dortmund bekommen - selbes wie für Berlin. Ich kann Faber nicht ausstehen, und Martina, die ihn wohl ausbalancieren sollte, ist mir in den Auftritten, die ich von ihr gesehen habe, auch nicht sympathisch geworden. Der Rest des Teams wurde schon einmal ausgetauscht, kenne ich also nicht so als Kernelemente, aber auch hier gilt wieder Geschmackssache. Manche schwören drauf, nur ich halt nicht.

Geschmackssache ist eigentlich das Stichwort. Ich hab hier meine Lieblinge aufgezählt, aber andere können die für Grütz halten, und nur weil ich hier Teams nicht erwähnt hab, heißt das nicht, dass sie schlecht sind. In den meisten Fällen hilft: mal reingucken. Wenn mir ein Fall nach so 15-20 Minuten nicht spannend genug ist und die Teamchemie das auch nicht rausreißt, schenke ich mir die Folge...

Presión de accionistas minoritarios lleva a Enel a evaluar OPA sobre su filial Pehuenche

Aunque algunos socios pedían ser incluidos en el Plan Elqui, esta opción está descartada. “Sin embargo, estamos abiertos a un acuerdo para todos los accionistas de Pehuenche”, señala Hermann Chadwick, presidente de Enel Chile.

La nueva reestructuración corporativa del grupo Enel Chile, el ambicioso Plan Elqui, despertó el apetito de otro actor en el mercado. Algunos accionistas minoritarios de la Eléctrica Pehuenche, filial de Enel Generación, agrupados en la sociedad Tricahue, iniciaron una ofensiva legal que incluye una demanda arbitral y una querella por falsificación de documento público. El trasfondo de su actuación es claro: quieren que el grupo eléctrico de capitales italianos los incluya en la nueva reorganización societaria y adquiera sus participaciones, con un premio por ellas similar al que se ofrece en la ex Endesa.

Sin embargo, el presidente de la matriz Enel Chile, Hermann Chadwick, desestima que sea posible la inclusión de Pehuenche en esta reorganización. Sin embargo, admite que ha habido contactos con algunos abogados de Tricahue, y se abre a alcanzar algún tipo de acuerdo, como una Oferta Pública de Adquisición de Acciones (OPA) sobre Pehuenche, pudiendo ser a través de Enel Chile o Enel Generación (ver recuadro).

Los dineros involucrados son cuantiosos. Según la valorización del perito Felipe Schmidt, solicitada en el marco del Plan Elqui, la participación de Enel Generación en Eléctrica Pehuenche asciende a US$ 2.231 millones por el 92,65% de la propiedad.

Con ello, el valor total de esta filial llegaría a US$ 2.400 millones; es decir, al menos cerca de US$ 170 millones debería desembolsar Enel en una eventual OPA. Sin embargo, desde Tricahue señalan que el valor total de Pehuenche superaría los US$ 3 mil millones, por lo que el 8% de los minoritarios valdría muchísimo más.

De acuerdo a los abogados de Tricahue, Pehuenche representa el 31% del valor total de Enel Generación porque esta “firma-hija” opera las centrales hidroeléctricas Pehuenche, Curillinque y Loma Alta, con una capacidad instalada total de 699 megawatts (MW).

Tricahue, el mayor de los accionistas minoritarios de Pehuenche con el 2,91% de la propiedad, tiene entre sus socios a inversionistas conocidos, como LarrainVial (28,48% de la propiedad), así como a firmas ligadas a los dueños de Sigdo Koppers y varios ex ejecutivos de Endesa, como Jaime Bauzá, José Luis Domínguez y Mario Valcarce, entre otros, según consta en el registro de la Superintendencia de Valores y Seguros (SVS).

En este conflicto, la firma de inversión cuenta con el respaldo legal del estudio Vergara, Labarca y Cía, con Raimundo Labarca, ex abogado del otrora presidente de SQM, Julio Ponce Lerou, y Alejandro Parodi, como representantes. En lo penal, este grupo de accionistas es representado por el ex presidente del Consejo de Defensa del Estado y socio de BCP Abogados, Juan Ignacio Piña.

Tricahue: ya que Pehuenche no puede crecer, que nos hagan una oferta

La ofensiva de Tricahue tiene un claro objetivo: sacar beneficios para Eléctrica Pehuenche en el Plan Elqui. “Esa es una fiesta a la que no nos invitaron, pese a ser de la familia”, grafica un profesional ligado a la compañía.

Esta reestructuración corporativa supone fusionar los activos de Enel Green Power Chile (EGP) con Enel Chile (Ex Enersis), previo éxito de una Oferta Pública de Adquisición de Acciones (OPA) por Enel Generación, la firma sucesora de Endesa.

En esta operación se ofrece a los accionistas un premio de 20,7%, más un porcentaje de títulos en su matriz, Enel Chile. Los accionistas de Pehuenche quieren que si hay algún acuerdo, al menos se considere un “premio” de similar envergadura.

En la estrategia Enel se considera que el negocio de mayor crecimiento será el de energías renovables no convencionales (ERNC), donde es fuerte EGP, y que la ex Endesa se enfocará en las energías tradicionales, donde no hay grandes proyectos en vista.

Por ello, los accionistas minoritarios de Pehuenche hacen ver que ellos se están quedando con la parte del negocio que no crece, ya que hace más de 20 años que esta eléctrica no desarrolla ninguna inversión significativa. Además, como esta compañía tiene una gran presencia del controlador (sobre 90%), no es tan atractiva en la Bolsa y ha sido “castigada” en su cotización.

Profesionales ligados al proceso hacen ver que a raíz de esta coyuntura, los minoritarios de la filial de la ex Endesa esperan que se haga una OPA en Pehuenche, con un premio por cada acción de al menos 20,7% y la opción de canje “aguas arriba”; es decir, en Enel Generación.

La arremetida judicial

A inicios de septiembre de este año, Tricahue realizó una “gestión preparatoria” para la demanda arbitral en el 15° Juzgado Civil de Santiago, pidiendo una serie de documentos, como las actas de las sesiones de directorio de Pehuenche desde 2012 al 2017; cómo se nombraron los directores de esta empresa por parte de Enel Generación, y los contratos de trabajos de los directores y ejecutivos en la ex Endesa, entre otros.

En el documento se explicita que Pehuenche no cumple con el objetivo de ser una sociedad anónima porque “es una especie de sucursal o división de su controlador, que la tiene subyugada y capturada en función de sus propios intereses, y no del interés social”.

Y acusa a Enel Generación de que “absorbió de facto” a Pehuenche, “cercenándole su posibilidad de crecer, de hacer nuevos negocios y de maximizar la rentabilidad de sus accionistas”.

El 26 de octubre de este año, en el 20° Juzgado Civil de Santiago, Tricahue presentó una demanda para designar el árbitro en este proceso. Ahí se explicita que “el proceso de reorganización anunciado por Enel Chile a fines de agosto, conocido como Plan Elqui, constituye un nuevo abuso y una nueva ilegalidad, que ha provocado y provocará -de concretarse- “un gravísimo y significativo perjuicio a Tricahue, en su condición de accionista minoritario de Pehuenche”.

Agrega que “tal abuso obliga a mi representada (Tricahue) a ejercer las acciones legales pertinentes para reclamar de los responsables -Enel Chile, Enel Generación, Pehuenche y los directores de todas ellas- las indemnizaciones que correspondan”.

Por otro lado, en diciembre, Tricahue, representado por Juan Ignacio Piña, interpuso una querella por falsificación de documento público, señalando que Pehuenche omitió y desinformó en las memorias de la compañía todo lo relativo a las sanciones que le había impuesto la SVS en su relación con los accionistas minoritarios.

En ese marco, el 18 de diciembre pasado, la PDI concurrió a la sede del grupo eléctrico, en Santa Rosa 76, para incautar actas de la sesión de directorio de Pehuenche del 29 de septiembre pasado, debido a la sospecha de que en esta reunión no se habrían mencionado las acciones judiciales de los socios de Tricahue contra la eléctrica maulina. Y a fines de esta semana, Piña interpuso una ampliación de la querella, añadiendo el delito de falsificación de las actas del directorio de Pehuenche.

Mainz (ots) – Sonnengott Mogon, der keltische Namensgeber der Stadt Mainz, zeigte sich am Wochenende bestens gelaunt, als der Südwestrundfunk (SWR) sein siebtes Sommerfestival feierte. Vom 5. bis 11. Juni nutzten an vier Tagen rund 15.000 Interessierte die Möglichkeit, den Sender im und um das Funkhaus sowie bei Events in der Innenstadt besser kennenzulernen.

Medienwelt besuchen und einfach mitmachen Der Höhepunkt des Sommerfestivals war die SWR Medienwelt, die am Sonntag, 11. Juni, Einblicke in zahlreiche Bereiche des SWR gegeben hat. An 30 Stationen, in mehreren Fernseh- und Radiostudios sowie auf zwei Bühnen stellten sich die Redaktionen und Programme vor und brachten den 13.000 Besuchern das Angebot in Fernsehen, Radio und Internet näher. Die Gäste reportierten, moderierten oder filmten, sie sprachen mit Moderatoren, fragten neugierig die Fachexperten des SWR und versuchten sich selbst als Nachrichtensprecher. Schauspieler Hannes Jaenicke und Bestseller-Autor Peter Wohlleben stellten sich den Fragen von \”SWR1 Leute\”, die amerikanische Sängerin Sarah Jane Scott scharte die Schlagerfreunde um sich, der Tigerenten Club unterhielt die Kleinen auf gewohnt gekonnte Art, die Zwei-Mann-Band Flo&Chris brachte ihr Publikum zum Swingen und der Begge Peder verkaufte rheinland-pfälzischen Trödel zugunsten der Kinderhilfsaktion \”Herzenssache\”.

Fernsehabend mit Ulrike Folkerts, Andreas Hoppe und Lars Reichow \”Tatort\”-Fans schauten sich beim spannenden Open-Air-Kino am Freitagabend, 9. Juni, gemeinsam mit den Schauspielern Ulrike Folkerts, Andreas Hoppe und Lisa Bitter deren neuesten Fall \”Kopper\” an. Für Kommissar Mario Kopper ist es das letzte Verbrechen, dass er an der Seite seiner Kollegin Lena Odenthal aufklärt. Ausgestrahlt wird der \”Tatort\” im Winter 2017/18 im Ersten. Zuvor vergnügten sich Zuschauer des SWR Fernsehens bei \”So lacht der Südwesten\” mit Lars Reichow und Henni Nachtsheim oder erhielten exklusive Einblicke in die \”Landesschau Rheinland-Pfalz\”.

Drei Abende im Zeichen der Musik

Am Pfingstmontag, 5. Juni, gaben Linda Hesse und Band ihr \”SWR4 Live\”-Studiokonzert für ihre Fans, für das eigens ein Fernsehstudio in eine Konzertlocation verwandelt wurde. Im Club \”50 Grad\” fand \”DASDING Partybash\” am Samstagabend, 10. Juni, statt. DASDING-DJ LXQ legte House, Urban-Beats, Hip Hop, Electro und das Beste aus den Charts auf. Mit \”SWR1 Hits und Storys\” verabschiedet sich das SWR Sommerfestival am Abend des 11. Juni. Musikexperte Werner Köhler präsentiert in seiner Multimedia-Show neue Geschichten aus der Welt großartiger Popsongs. Wer keine Chance hat die Show im Frankfurter Hof zu erleben, für den gibt es einen zusätzlichen Termin am kommenden Sonntag, 18. Juni, in der Rheingoldhalle. Noch gibt es einige Karten.

La nueva reestructuración corporativa del grupo Enel Chile, el ambicioso Plan Elqui, despertó el apetito de otro actor en el mercado. Algunos accionistas minoritarios de la Eléctrica Pehuenche, filial de Enel Generación, agrupados en la sociedad Tricahue, iniciaron una ofensiva legal que incluye una demanda arbitral y una querella por falsificación de documento público. El trasfondo de su actuación es claro: quieren que el grupo eléctrico de capitales italianos los incluya en la nueva reorganización societaria y adquiera sus participaciones, con un premio por ellas similar al que se ofrece en la ex Endesa.

Sin embargo, el presidente de la matriz Enel Chile, Hermann Chadwick, desestima que sea posible la inclusión de Pehuenche en esta reorganización. Sin embargo, admite que ha habido contactos con algunos abogados de Tricahue, y se abre a alcanzar algún tipo de acuerdo, como una Oferta Pública de Adquisición de Acciones (OPA) sobre Pehuenche, pudiendo ser a través de Enel Chile o Enel Generación (ver recuadro).

Los dineros involucrados son cuantiosos. Según la valorización del perito Felipe Schmidt, solicitada en el marco del Plan Elqui, la participación de Enel Generación en Eléctrica Pehuenche asciende a US$ 2.231 millones por el 92,65% de la propiedad.

Con ello, el valor total de esta filial llegaría a US$ 2.400 millones; es decir, al menos cerca de US$ 170 millones debería desembolsar Enel en una eventual OPA. Sin embargo, desde Tricahue señalan que el valor total de Pehuenche superaría los US$ 3 mil millones, por lo que el 8% de los minoritarios valdría muchísimo más.

De acuerdo a los abogados de Tricahue, Pehuenche representa el 31% del valor total de Enel Generación porque esta “firma-hija” opera las centrales hidroeléctricas Pehuenche, Curillinque y Loma Alta, con una capacidad instalada total de 699 megawatts (MW).

Tricahue, el mayor de los accionistas minoritarios de Pehuenche con el 2,91% de la propiedad, tiene entre sus socios a inversionistas conocidos, como LarrainVial (28,48% de la propiedad), así como a firmas ligadas a los dueños de Sigdo Koppers y varios ex ejecutivos de Endesa, como Jaime Bauzá, José Luis Domínguez y Mario Valcarce, entre otros, según consta en el registro de la Superintendencia de Valores y Seguros (SVS).

En este conflicto, la firma de inversión cuenta con el respaldo legal del estudio Vergara, Labarca y Cía, con Raimundo Labarca, ex abogado del otrora presidente de SQM, Julio Ponce Lerou, y Alejandro Parodi, como representantes. En lo penal, este grupo de accionistas es representado por el ex presidente del Consejo de Defensa del Estado y socio de BCP Abogados, Juan Ignacio Piña.

Tricahue: ya que Pehuenche no puede crecer, que nos hagan una oferta

La ofensiva de Tricahue tiene un claro objetivo: sacar beneficios para Eléctrica Pehuenche en el Plan Elqui. “Esa es una fiesta a la que no nos invitaron, pese a ser de la familia”, grafica un profesional ligado a la compañía.

Esta reestructuración corporativa supone fusionar los activos de Enel Green Power Chile (EGP) con Enel Chile (Ex Enersis), previo éxito de una Oferta Pública de Adquisición de Acciones (OPA) por Enel Generación, la firma sucesora de Endesa.

En esta operación se ofrece a los accionistas un premio de 20,7%, más un porcentaje de títulos en su matriz, Enel Chile. Los accionistas de Pehuenche quieren que si hay algún acuerdo, al menos se considere un “premio” de similar envergadura.

En la estrategia Enel se considera que el negocio de mayor crecimiento será el de energías renovables no convencionales (ERNC), donde es fuerte EGP, y que la ex Endesa se enfocará en las energías tradicionales, donde no hay grandes proyectos en vista.

Por ello, los accionistas minoritarios de Pehuenche hacen ver que ellos se están quedando con la parte del negocio que no crece, ya que hace más de 20 años que esta eléctrica no desarrolla ninguna inversión significativa. Además, como esta compañía tiene una gran presencia del controlador (sobre 90%), no es tan atractiva en la Bolsa y ha sido “castigada” en su cotización.

Profesionales ligados al proceso hacen ver que a raíz de esta coyuntura, los minoritarios de la filial de la ex Endesa esperan que se haga una OPA en Pehuenche, con un premio por cada acción de al menos 20,7% y la opción de canje “aguas arriba”; es decir, en Enel Generación.

La arremetida judicial

A inicios de septiembre de este año, Tricahue realizó una “gestión preparatoria” para la demanda arbitral en el 15° Juzgado Civil de Santiago, pidiendo una serie de documentos, como las actas de las sesiones de directorio de Pehuenche desde 2012 al 2017; cómo se nombraron los directores de esta empresa por parte de Enel Generación, y los contratos de trabajos de los directores y ejecutivos en la ex Endesa, entre otros.

En el documento se explicita que Pehuenche no cumple con el objetivo de ser una sociedad anónima porque “es una especie de sucursal o división de su controlador, que la tiene subyugada y capturada en función de sus propios intereses, y no del interés social”.

Y acusa a Enel Generación de que “absorbió de facto” a Pehuenche, “cercenándole su posibilidad de crecer, de hacer nuevos negocios y de maximizar la rentabilidad de sus accionistas”.

El 26 de octubre de este año, en el 20° Juzgado Civil de Santiago, Tricahue presentó una demanda para designar el árbitro en este proceso. Ahí se explicita que “el proceso de reorganización anunciado por Enel Chile a fines de agosto, conocido como Plan Elqui, constituye un nuevo abuso y una nueva ilegalidad, que ha provocado y provocará -de concretarse- “un gravísimo y significativo perjuicio a Tricahue, en su condición de accionista minoritario de Pehuenche”.

Agrega que “tal abuso obliga a mi representada (Tricahue) a ejercer las acciones legales pertinentes para reclamar de los responsables -Enel Chile, Enel Generación, Pehuenche y los directores de todas ellas- las indemnizaciones que correspondan”.

Por otro lado, en diciembre, Tricahue, representado por Juan Ignacio Piña, interpuso una querella por falsificación de documento público, señalando que Pehuenche omitió y desinformó en las memorias de la compañía todo lo relativo a las sanciones que le había impuesto la SVS en su relación con los accionistas minoritarios.

En ese marco, el 18 de diciembre pasado, la PDI concurrió a la sede del grupo eléctrico, en Santa Rosa 76, para incautar actas de la sesión de directorio de Pehuenche del 29 de septiembre pasado, debido a la sospecha de que en esta reunión no se habrían mencionado las acciones judiciales de los socios de Tricahue contra la eléctrica maulina. Y a fines de esta semana, Piña interpuso una ampliación de la querella, añadiendo el delito de falsificación de las actas del directorio de Pehuenche.
