Merry Christmas to everyone! Here’s my gift for @be3zbvb for this years @codesecretsanta ! I’m honestly happy with how this turned and I’m really glad to see Willodd in people’s wishlist hehe

I’ve done two other Willodd pieces for this annual event and I’m glad to add in another ! I hope you like the little comic, that’s technically a bonus as I was only planning on drawing a bridal style piece at first. Sadly the legs weren’t coming out how I wanted them to so I had to crop my original piece.

Liability of Owners in Corporations

The owner's liability in a corporation depends on the degree of separation between the individual owner and the corporation. The following examples offer an overview but are by no means comprehensive. In addition, there is also the issue of criminal liability. For further information, see Limitations of liability. In general, the separation between owners and entities limits individual liability.

The Limitation of Liability of Owners in Corporations is a common law principle that protects business owners from personal liability for their company's debts. The owners of a corporation could not be held liable for debts incurred by the company unless they co-signed the debts. As a result, shareholders are often required to provide personal guarantees to cover company debts. This process is known as "co-signing." In addition, if a shareholder is also an employee of the corporation, they may be liable for torts committed in their capacity as an employee.

In addition to limited liability, corporations also have other protections to reduce liability risk. For example, Indiana Code SS23-1.5-2-6 limits the liability of owners of a corporation. This rule applies to attorneys and other professionals who own a corporation.

The basic principle behind the Limitation of Liability for Shareholders of Corporations is that the shareholders are not personally liable for the company's debts. This legal doctrine has been in place since the late 1800s. Of course, shareholders and owners have personal liability, but the limits of this liability are much lower than for other individuals.

The Limitation of Liability for Shareholders of Corporations Act is an English law that protects shareholders' personal assets from personal liability in business dealings. The concept of separate legal personality and limitation of liability are general concepts. However, they can be disregarded in exceptional situations. A shareholder's assets may be at stake, for example, if they took out a personal loan.

Limited liability for company members is an essential aspect of the corporate structure. This statute governs the actions of a member and establishes the time limit during which a claim can be asserted. It also limits the activities of a disassociated member of the corporation. In some cases, a member may be liable for the actions of other corporation members.

A limited liability company is a legal entity whose members hold shares. In exchange for this share, members receive payments or distributions in kind. This means that a limited liability company member has all of the rights of a creditor but has no liability for the corporation's actions.

Although corporations are not legally responsible for their acts, they are generally accountable for the actions of their agents. Under the respondeat superior rule, corporations may be held liable for the crimes committed by their agents when acting within the scope of their duties for the corporation's benefit. This principle, however, may not be appropriate in some situations, such as cases involving corporate officers or senior managers.

For example, the criminal liability of an owner of a corporation may be limited if the corporation has cooperated with investigations into criminal acts. However, a corporation's willingness to cooperate is not a guarantee of immunity from prosecution or favorable resolution. This is because the corporation's cooperation needs to be viewed alongside other factors.

The limitation of owners liability in corporations for a corporation's torts depends on the statute that imposes the liability. In most cases, the rule limits the company's detriment to a single instance where the corporation is found to have acted negligently. This can include a slip and fall incident, an employee's negligence, or a design flaw that caused damage. In some cases, the statute limits the liability of all owners.

Week 10 - 14/03/22

During this week at my placement with Barbour, I was tasked with organising the colour file for all of the seasons. The file was set up a few years back with all of the pantone colour chips for each of the seasons with the pantone name, Barbour colour name and pantone code – this helps the designers to easily see what colours have been used throughout the seasons as well as allowing for key colours to be easily found, key colours such as shades of brown, olivem, navy and white are key colours which don’t change throughout the seasons. The colour folder was organized by colour rather than season for ease. I updated the file from SS22 to SS23, ordering in any missing pantones. Alongside this, I organised the filing system for storing the pantones in colour order, this would help the designers to find the colour they are wanting more quickly, aiding in the design process.
