Kroger and BigBasket Invest in Climate Strategy for a Sustainable Future
The online retail boom and an emphasis on speed and user experience—instant delivery—have disrupted e-commerce business models. Brands with sustainability strategies appeared resilient during the COVID-19 outbreak, banking on online shopping to conserve raw materials and minimize GHG emissions. Kroger is poised to establish a new Scope 3 goal for supply chain emissions reduction in line with its Science Based Targets initiative (SBTi) commitment. The American retail giant has set 2030 sustainable packaging goals, such as using 100% recyclable, reusable and/or compostable packaging. 
Amidst emerging climate risks and opportunities, Kroger inferred using infrared refrigerant leak-detection technology in 2,000 stores. Meanwhile, in 2021, Bigbasket, a TATA Enterprise-owned online grocery retailer, teamed up with New Leaf Dynamic to install a biomass-powered chiller that can save 186 tons of CO2 annually. The Indian giant cited in its Green Report 2022 that it produced 5,457,000 kWh of solar power (reducing 1,670 tons of GHG emissions) in 2022 and 5,458 electric delivery vehicles helped minimize 7012 tons of CO2 emissions during the period. 
Amazon Fresh Navigates Changing Social Landscape 
Amidst rampant layoffs and the prevalence of workplace injuries, grocery warehouses and fulfillment centers have prioritized the social pillar. In January 2023, Amazon announced over 18,000 job cuts, denting workers across industry verticals, including grocery stores. People employed as supply chain managers, program managers, software engineers and store designers bore the brunt in online grocery delivery and fresh stores businesses. That said, the American behemoth inferred in May 2023 that it had poured CDN 25 billion since 2010 in its Canadian operations, including job creation and establishment of data centers and fulfillment centers. In September 2021, the U.S. giant committed USD 1.2 billion to offer 300,000 employees education and skills training programs till 2025. 
Incumbent players have upped investments to make the workplace safer and foster a healthy environment. Amazon has a team of health coordinators, physiotherapists and advisors. The occupational doctors perform medical checks and report trends in major risk areas. 
The U.S. e-commerce company has augmented diversity, equity and inclusion (DEI) efforts to underscore its sustainability quotient. In 2021, it committed to a 30% rise year over year in hiring U.S. black employees in level 4 through level 7 from the preceding year’s hiring. The multinational company warrants 100% of employees to take inclusion training. 
Governance Key for Relentless Sustainable Goals of Rakuten and Walmart
Sound corporate behavior is second to none for an agile business process and an inclusive global system that complements ethical business practices. Rakuten creates a list of ESG themes with the assistance of external experts and refers to the UN Sustainable Development Goals and Sustainability Accounting Standards Board (SASB) Materiality Map.
The Japanese company has appointed Chief Compliance Officer (CCO) to undergird compliance management. It has banked on a risk-based approach to define high-risk issues and implement measures, such as prevention of money laundering and terrorist financing; prohibition of bribery and corruption; and adherence to competition, antitrust and other related laws. 
Rakuten has propelled board diversity—outside directors account for 58.3% of the BoD, while 25% are foreign directors. Meanwhile, Walmart expects Board members to disclose their race/ethnicity and gender annually. Its board had 27% women and 18% directors who are racially/ethnically diverse (as of April 2023). 
Millennials and Gen Z want the e-commerce sector to foster social contributions, operate in a responsible supply chain and bolster transparency. ESG reporting could be pronounced, prompting online incumbents to further their investments in sustainability. Grand View Research anticipates the global online grocery market size to depict upward growth through 2030. “In Latin America we have the circular economy in our blood”

The Ecuadorian engineer Daniela Córdoba speaks, in an interview, about the region's efforts to force companies to take responsibility for the waste their products generate
Change is slow, but more and more consumers around the world, fed up with contributing to environmental problems, are willing to pay more for products made from scarce natural resources. This was confirmed by a survey carried out last year in 28 countries[1], in which 71% of respondents said that companies that use these resources must pay more taxes, even when the consumer price increases. This sentiment was particularly strong in developing countries such as Latin America.
Perhaps unknowingly, consumers are pointing to an economic model that has been promoted for years by academia and multilateral organizations: the circular economy. The current model is linear, explains Daniela Córdoba, World Bank consultant and expert on the subject, who sat down with El País in an interview. If the linear model is to extract, produce and discard, the circular model is to reuse, reproduce and recover[2].
The large textile, oil, plastic and chemical companies are the ones that put up the greatest resistance, says the specialist, via videoconference, from her office in Quito, Ecuador. But the potential is enormous. It is estimated that five million new jobs can be created in the region to move towards the circular economy by 2030.
Q:  What exactly is the circular economy?
A: It is a productive and economic model where either a product or a service is analysed with the primary objective of extending the useful life of the product and a final objective of recovering, so that no waste or garbage is generated. That is the key. At the end of the useful life of this product, you send it back to the production cycle or to the biological cycle, as is the case, for example, with food that can go to composting. The circular economy analyses all the inputs and outputs of water, matter and energy. All processes and efficiencies are analysed and go hand in hand with the production of different products and services.
Q. This sounds great, especially when we consider the effects of climate change in the region[3], but how realistic is it for countries to move to this model?
A.: Many countries, especially in the European Union, already have a circular economy plan focused on the different strategic sectors, where first they have to sensitise and educate micro, small and medium-sized companies and the Government. Once this is achieved, it focuses on the consumer. The new laws are being designed to be followed by producers, manufacturers or importers. If they want to sell a lot, in an accelerated and unsustainable way, let them do it, but they will have to recover, let's say, 35% of the waste they generate. An example of this is the strategy that Colombia is implementing with its decree on Waste Electrical and Electronic Equipment[4], which is progressive and extends the responsibility of the producer. In Peru there is also a general directive that came out this year that deals with cleaner production, which is also focused on the circular economy and allows companies to generate commitments with the Government, so that they say, for example, 'Let's reduce our water consumption by 15% by 2023”. At first these are voluntary, but it is understood that in the near future they will become mandatory. [5] Right now, Mexico is discussing its circular economy law.[6] Governments, academia and companies have to raise consumer awareness, that is the Achilles' heel of the circular economy. Let's say that a company adopts a circular model, working hand in hand with the Government. If the consumer throws away the product without giving it to his collector or recycler, the model is broken. Europe too has now declared that everyone has the right to repair.[7] This means that the big companies like Apple, Samsung, Huawei, they have to literally give you a brochure and videos and give you a screwdriver so that you yourself have the opportunity to change your battery, change the screen, etc. In Japan there is a very strong culture of “the three Rs”: reduce, recycle and recover.
Q. Do you think that this culture can be generated in our region?
A.: In Latin America we have the circular economy in our blood because we always want to lower costs. When I buy a new cell phone, I sell the old one on the second-hand market, or I give it to my relative, for example. We always see the financial and emotional benefit of repairing and we see it in the Apple and Samsung stores that offer repair services. What they saw in Europe is that it is not enough to offer this service, because it is a kind of programmed obsolescence that the consumer cannot open or repair the product himself because the guarantee is no longer respected. That is not right. A few weeks ago we saw the announcement that Europe will force all cell phone manufacturers to use the same type of cable, to stop generating so much waste. If an Apple cable can be used for a Samsung product, resources are optimized and mining extraction is avoided. [8]  The idea is to stop extracting from our planet.
Q. Although we Latin Americans seek to extend the useful life of expensive products, single-use plastics dominate the market.
A .: It's true. We have become a very easy culture in which, for example, we prefer disposables for a party to washing the dishes. Single-use plastic is very cheap, it doesn't cost you what it costs you, for example, a pair of jeans. What is needed is a government that offers you facilities to deliver all those single-use plastics or tells you where the recycling company is that collects them. It is worth mentioning that this type of plastic degrades between 10% and 15% with each process and can be used for a more limited number of products because it loses resistance. The denim pants, in our region, become a short and then even a bag. It all depends on the cost. If it costs you, it hurts your pocket, you look for alternatives so that another person can take advantage of it.
Q. Fashion, especially the concept of fast fashion[9], is known to be highly polluting. Has the circular economy not reached these textile companies?
A.: These companies continue to put out up to three clothing collections per week[10]. They are now incorporating a collection that they label as sustainable. C&A, for example, obtained a very expensive and very difficult certification called cradle to cradle, in which they use clothing that was not sold and remained in warehouses. But, so far, this is more of a greenwashing[11], an action taken to give the impression of sustainability. H&M is offering discounts in exchange for used clothes, regardless of the brand. These clothes are then used to make new designs. But they continue to produce excessively because, of course, for them this represents sales. The problem is that the extended responsibility of the producer is not falling in the textile industry. The same goes for the big bottlers and food companies.
Q. Who are the ones who most strongly resist this model?
A.: In addition to the textile, bottling and food companies, there is a lot of resistance in the plastics and chemical industry. The chemical industry is the strongest, it is the one that sends lobbyists to ask congressmen to change the laws, to make them more lax, to be progressive, so that they can comply by making minimal changes. There are countries where fines are imposed, but the fines cost less than making a structural change in the company process. For the oil and mining industries, the circular economy is not convenient because it is convenient for them to continue extracting. To the construction industry as well,[12] despite the fact that it is the sector that can most easily move towards circular economy models using steel, stone, cement or aluminum from previous buildings. But, I repeat, if it doesn't cost big companies, they won't change. We have the opportunity to generate approximately five million jobs, in all of Latin America, in repair, remanufacturing, etc., by 2030. The circular economy has enormous potential. Companies have to start thinking about how to generate industrial symbiosis, where their waste can become raw material for another company, even in another industry.

Work has been started on several projects and timely completion will be ensured, he added.
          The CM said that development projects costing 78.72 crore rupees will be completed under the local government development programme in Multan. 4 development schemes of 3.31 billion have been inaugurated in Multan including e-khidmat centre, shelter home, urban forest and labour housing colony in an industrial estate. 992 flats are being given to labourers in the labour housing colony, he added. He said that foundation stone of 5 schemes has been laid with an amount of 8.97 billion in Multan including dual Mattital road, shelter home, 200-bed mother and child hospital, similarly, the expansion of Multan-Vehari Road will be completed with a cost of 18 billion in PPP mode, he added.
The CM said the south Punjab secretariat will be completed with 3.54 billion rupees adding that ACS and additional IG have been posted while the number of departments has been increased for the south Punjab secretariat. Meanwhile, legislation is being made to allocate job quota for south Punjab's youth. Meanwhile, separate service tribunal and drug courts will be established for south Punjab. Two drug courts will be established in Sahiwal and DG Khan respectively along with the establishment of a service tribunal, intellectual property rights courts and environment tribunal. The CM said 316 schools, including 269 girls schools, are being upgraded in Multan with a cost of 73.85 crore rupees. Similarly, needy youth is given loans worth more than 35 crore rupees in Multan under Punjab Rozgar Scheme and facility this will continue. The Punjab government is providing direct subsidy to farmers through Kisan Cards for agri-inputs. The latest agri-machinery worth 47 crores has been provided to farmers at a subsidized rate, he said and further stated that crops' insurance programme will be continued. More tractors will be given under Punjab Rozgar Scheme, he added.
The CM said the Punjab Rural Water Supply and Sanitation Project of around 90 billion rupees is being started from this year in collaboration with the world bank in 16 tehsils of the province, including 8 tehsils of south Punjab, to complete projects related to supply and drainage of water in villages. 11 billion rupees will be spent on water supply, sewerage, solid waste management, street lights, roads and parks in the next two years in Vehari, Burewala, Khanewal, Kot Addu and Bahawalnagar under Punjab Cities Project, he added. District Jail will be relocated to Mattital Road and the existing land will be converted into a park, he disclosed. 1.50 billion rupees are being allocated in the next financial year budget, he added. Spadework on the relocation of the grain market, truck stands and iron market in Multan has been completed as it would resolve traffic problems, he added. Northern Bypass, from Bosan Road to Head Muhammadwala, will be dualized; he said and revealed that NHA will complete this project. 30 Kanal land has been provided from the police line to expand the district courts. District Courts will be given 20 Kanal while 26 Kanal land is being given for the expansion of the High Court. Meanwhile, 6 Kanal land has already been given, he added. The CM said that a new judicial complex will be constructed and two basement parking plazas are being constructed for lawyers. Meanwhile, funds are being given for the expansion of Abdali Road, Circular Road, Hussain Agahi Road and roads in the centre of the city. Expansion of Violence Against Women Center has also been completed, he further said.
The CM affirmed Multan Municipal Corporation has been given the status of Metropolitan corporation and the construction of Nishtar-2 has also been started by the PTI government. OPD will be inaugurated this year while the project will be completed before June 2023 with a cost of 8.84 billion. The new OPD of Multan Institute of Cardiology will be made functional this year with a cost of 3.14 billion, he said. The cancer ward is completed in Nishtar Hospital and machinery is being installed. The pharmacy project will be completed next month at 40 crore rupees. Along with it, a new building of DHQ Hospital Multan has been completed near Shershah Bypass with a cost of 1.67 billion rupees and medical equipment is being procured. He said 1 billion rupees is earmarked for Multan University of Engineering and Technology and Government Emerson College Multan has also been given the status of a university. A BS Block is being constructed there as well, he continued.
The CM said that Astroturf ground will be constricted at Mattital Road in Multan to promote the game of hockey with a cost of more than 45 crore rupees. The model cattle market is being constructed with a cost of 49 crores and the child protection institute is being built with a cost of 31 crores to provide shelter to abandoned children. A flyover will be built on Madni Chowk with 74 crores and 2.84 billion rupees will be spent for constriction of flyover at railway line in-between Nadirabad Phatak and Industrial Estate. 25 per cent work of linking Shershah Bypass with Motorway M4 has been completed, he said. 59 crore rupees are being spent on this project, he said. The regional campus of the MPDD Department will be completed in Multan next year for 50 crore rupees. He said that 28 KM long village-to-market roads have been completed with a cost of 35 crore rupees and 37 crore rupees will be spent on repair and maintenance of 25 KM long roads from village-to-markets. Similarly, the government will complete 13 sewerage projects in different areas of Multan with an amount of 11 billion rupees. New disposal stations will be constructed and new sewerage lines will also be laid under these schemes, he said. The days of deprivation and poverty of south Punjab are over and new chapters of development of south Punjab and the whole of the country will be written under the leadership of PM Imran Khan, concluded the CM.

These companies must be engaged solely in the business of manufacturing or production of any article or thing and research in relation to, or distribution of such article or thing manufactured or produced by the company.
This benefit will be available to all such domestic companies which are set up and registered on or after 1st October, 2019 and commence manufacturing on or before the 31st of March, 2023. Hence, this deduction will not be available to an existing company even if it sets up a new unit of manufacturing or production.

Tax Rates Benefit Due to Sec. 115BAA:
Clarifications by CBDT 
The CBDT vide circular dated 2nd October, 2019 clarified two principal issues of allowability of brought forward loss and MAT credit.
(a) Allowability of brought forward loss on account of additional depreciation:
115BAA(2)(1) inter provides that the total income shall be computed without claiming any deduction under section 32 (1)(iia) additional depreciation. Also, it is provided that the total income shall be computed without claiming set-off of any loss carried forward from any earlier assessment year if the same is attributable, inter alia to additional depreciation.
Therefore, a domestic company which would exercise the option for availing the benefit of the lower tax rate under section 115BAA shall not be allowed to claim set-off of any brought forward loss on account of additional depreciation for an Assessment Year for which the option has been exercised and for any subsequent Assessment Year.
Further, as there is no timeline within which the option under section 115 BA can be exercised, it may be noted that a domestic company with brought forward losses on account of additional depreciation may, if it so desires exercise the option after setting off the losses so accumulated.
(b) Allowability of brought forward loss MAT credit:
Provisions of Section 115JB relating to MAT shall not be applicable to a domestic company which exercises the option under section 115BAA. Therefore, it is clarified that the tax credit of MAT paid by a domestic company exercising the option under section 115BAA of the Act shall not be available consequent to exercising of such option.
Further, as there is no timeline within which the option under section 115BAA can be exercised, it may be noted that a domestic company having MAT credit may, if it so desires exercise the option after utilising the said credit against the regular tax payable under the taxation regime existing prior to the promulgation of the Ordinance.
3. Minimum Alternate Tax (MAT) Rate Reduced to 15%:
The tax rate under section 115JB of the Act has been reduced from 18.5% to 15%. The net tax savings for domestic companies that continue to pay taxes as per the First Schedule to the Finance (No. 2) Act, 2019 can be seen in the following table, which is divided into categories based on the company’s amount of book profits:
4. Other Amendments
(a) Enhanced surcharge not to apply on capital gains on sales of equity shares or equity-oriented mutual funds
The enhanced surcharge on individual HUF, AOP, and BOI, including FPI of 25 per cent in case income exceeds Rs.2 Crore and 37 per cent in case income exceeds Rs.5 Crore, shall not be applicable in respect of capital gains arising on sales of equity shares in a company or units of equity-oriented funds or units of a business trust liable for security transaction tax.
This surcharge shall also not apply to the income of a foreign institutional investor (FII) from securities as referred in section 115AD of the Act.
(b) No tax on buyback of shares of listed companies before 5th July, 2019
The provision of section 115QA which was amended by the Finance (No.2) Act, 2019 exempted tax on buyback of shares of listed companies which have made a public announcement of such buyback before 5th July, 2019. It may be relevant to point out that the Finance (No.2) Act, 2019 has extended the levy of tax on buyback of shares of listed companies, taking effect from 5th July, 2019, with the result that many listed companies which have initiated the process of buyback have to pay further tax on such buyback.
5. Comparison of Companies with Proprietorship, Partnership Firm, LLP:
The introduction of the new corporate tax rates of 22% and 15% have increased the motivation to incorporate companies. Businesses should evaluate which form of organization is most advantageous, considering the taxation and other compliance requirements.
This table compares various forms of organization, assuming they are covered at the highest tax slab.
The company is the preferred organization structure from a tax point of view. However, one has to consider the restrictions and compliance requirements before making a final decision. Here are some of the compliance requirements one needs to consider:
Restrictions on acceptance of loans or deposits
Restrictions on giving loans or advances
Maintenance of records and minutes
Penalty provisions for non-compliance
Financials and other details being available on the MCA portal
Need to understand that the company is a separate person in all dealings
Various other restrictions and compliance requirements on companies

These amendments will encourage new investment opportunities for entrepreneurs, create job opportunities, and thus help to increase consumer demand. The reduction in corporate tax rates is not just a short-term measure to tackle slowing down of the economy, but also a major policy change. It is the dawn of a new era of corporate taxes, making Indian corporate tax rates internationally competitive.

The Future of ESG in the Online Grocery Industry
Grocery CEOs, consumers and grocers envisage online shopping as the next big thing, spurred by technological advancements and greater convenience. The COVID-19 onslaught was partly attributed to online grocery flooding the market. While leading players and startups jumped on the bandwagon, ESG watchdogs were wary of the sustainable impact the industry would have on the planet. Stakeholders are expected to harness gender equality, fair wages, waste reduction, responsible sourcing of farm produce and sound corporate governance. 
The ease of browsing, getting items ticked off and quick delivery have been a revelation—a delivery service delivering to multiple homes has negated the need to drive to the store. More than 17 million metric tons of CO2 pollution are attributed to weekly household trips to the grocery store, a report cited by the U.S. EPA claimed. Incumbent players have furthered investments in electric vehicles (EVs) to offset greenhouse gas emissions. In April 2022, India-based Swiggy, a food delivery company, joined forces with EVIFY to enable grocery and food delivery through EVs in Surat, Gujarat. 
Industry leaders are likely to emphasize upstream transportation (farm-to-retail) and foster last-mile transportation—pushing for deliveries and offsetting personal trips. Centralized grocery delivery services and fulfillment centers have brought a paradigm shift in minimizing GHG emissions and food loss. State-of-the-art technologies, including predictive analytics, can provide the silver bullet to prevent pilferage and streamline sourcing. Brands with sustainability strategies appeared resilient during the COVID-19 outbreak, banking on online shopping to conserve raw materials and minimize GHG emissions. Kroger is poised to establish a new Scope 3 goal for supply chain emissions reduction in line with its Science Based Targets initiative (SBTi) commitment. The American retail giant has set 2030 sustainable packaging goals, such as using 100% recyclable, reusable and/or compostable packaging.
Amidst emerging climate risks and opportunities, Kroger inferred using infrared refrigerant leak-detection technology in 2,000 stores. Meanwhile, in 2021, Bigbasket, a TATA Enterprise-owned online grocery retailer, teamed up with New Leaf Dynamic to install a biomass-powered chiller that can save 186 tons of CO2 annually. The Indian giant cited in its Green Report 2022 that it produced 5,457,000 kWh of solar power (reducing 1,670 tons of GHG emissions) in 2022 and 5,458 electric delivery vehicles helped minimize 7012 tons of CO2 emissions during the period. 
Amazon Fresh Navigates Changing Social Landscape  Amidst rampant layoffs and the prevalence of workplace injuries, grocery warehouses and fulfillment centers have prioritized the social pillar. In January 2023, Amazon announced over 18,000 job cuts, denting workers across industry verticals, including grocery stores. People employed as supply chain managers, program managers, software engineers and store designers bore the brunt in online grocery delivery and fresh stores businesses. That said, the American behemoth inferred in May 2023 that it had poured CDN 25 billion since 2010 in its Canadian operations, including job creation and establishment of data centers and fulfillment centers. In September 2021, the U.S. giant committed USD 1.2 billion to offer 300,000 employees education and skills training programs till 2025. 
Incumbent players have upped investments to make the workplace safer and foster a healthy environment. Amazon has a team of health coordinators, physiotherapists and advisors. The occupational doctors perform medical checks and report trends in major risk areas. 
The U.S. e-commerce company has augmented diversity, equity and inclusion (DEI) efforts to underscore its sustainability quotient. In 2021, it committed to a 30% rise year over year in hiring U.S. black employees in level 4 through level 7 from the preceding year’s hiring. The multinational company warrants 100% of employees to take inclusion training.
