Names too similar to existing companies (Rule 8) | Legal Terminus

The draft rules under the Companies Act, 2013 provide clear guidelines for naming different types of companies, like Private Limited Companies, One Person Companies, and Limited Companies. For a company’s name to be approved for incorporation, it must meet two main criteria: it must be unique and desirable. Accordingly, the Companies Act, 2013 outlines these guidelines in three rules, one of which is described below:

Naming guidelines as per Rule 8 under the Companies Act, 2013;

This rule states that names that are too similar to the name of an existing company will not be approved. 

A name applied for shall be deemed to resemble too nearly with the name of an existing company, if, and only if, after comparing the name applied for with the name of an existing company by disregarding the matters set out in sub-rule (2), the names are the same.

The following matters are to be disregarded: 

the words like Private, Pvt, Pvt., (P), OPC Pvt. Ltd., IFSC Limited, IFSC Pvt. Limited, Producer Limited, Limited, Unlimited, Ltd, Ltd., LLP, Limited Liability Partnership, company, and company, & co, & co., co., co, corporation, corp, corpn, corp, group;

whether a word is in the plural or singular number in one or both names;

(i) Green Technology Ltd. is same as Greens Technology Ltd. and Greens Technologies Ltd. (ii) Pratap Technology Ltd. is the same as Prataps Technology Ltd. and Prataps Technologies Ltd. 

type and case of letters, spacing between letters, punctuation marks and special characters used in one or both names;

(i) ABC Ltd. is same as A.B.C. Ltd. and A B C Ltd. 

(ii) TeamWork Ltd. is same as Team@Work Ltd. and Team-Work Ltd. 

use of different tenses in the names;

Ascend Solutions Ltd. is same as Ascended Solutions Ltd. and Ascending Solutions Ltd. (e) using different phonetic spellings, including use of misspelled words of an expression;

(ii) Bee Kay Ltd is same as BK Ltd, Be Kay Ltd., B Kay Ltd., Bee K Ltd., B.K. Ltd. and Beee Kay Ltd.

whether one or both names includes a host name such as ‘www’ or a domain extension such as ‘net’, ‘org’, ‘dot’ or ‘com’; 

the addition of commonly used prefixes, including salutations, before an existing name such as New, Modern, Nav, Shri, Sri, Shree, Sree, Om, Jai, Sai, Hari, Mr., Mrs., Ms., Dr., Prof. or any other such commonly used prefixes; 

the order of words in the names;

(i) Ravi Builders and Contractors Ltd. is same as Ravi Contractors and Builders Ltd. 

(ii) Ravi Builders and Contractors Limited is not the same as Ravi Shankar Builders and Contractors limited 

the use of the definite or indefinite article in the names;

Congenial Tours Ltd. is same as A Congenial Tours Ltd. and The Congenial Tours Ltd. 

a slight variation in the spelling of the two names, including a grammatical variation thereof; Illustration Color Technologies Ltd. is same as Colour Technologies Ltd as there is a slight variation in the spelling. 

complete translation or transliteration, and not part thereof, of an existing name, in Hindi or in English

(i) National Electricity Corporation Ltd. is same as Rashtriya Vidyut Nigam Ltd. 

(ii) Hike Construction Ltd. is not the same as Hike Nirman Ltd. 

Addition of the name of a place to an existing name which does not contain the name of any place;

(i) If Salvage Technologies Ltd. is an existing name, it is same as Salvage Technologies Delhi Ltd and Salvage Delhi Technologies Ltd.

(ii) Retro Pharmaceuticals Ranchi Ltd. is not the same as Retro Pharmaceuticals Chennai Ltd. 

addition or deletion of words like global, international or any other word which symbolizes the geographical reach of the company, in an existing name;

(i) If Hardnut Finance Ltd is an existing name, it is the same as Hardnut Finance Pan-India Ltd or Hardnut Finance International Ltd. 

(ii) If Glory Construction International Ltd. is an existing name, it is the same as Glory Construction Ltd. but not the same as Glory Construction Global Ltd.

addition or deletion of numerals in an existing name;

(i) If Thunder Services Ltd is an existing name, it is same as Thunder11 Services Ltd. 

(ii) If Style Garments11 Ltd. is an existing name, it is same as Style Garments Ltd. 

Provided that clauses (f) to (h) and clauses (k) to (n) shall not be disregarded while comparing the names, if no objection by way of a board resolution has been provided by an existing company.

This is an SFW-only event, so no NSFW content is allowed

We will not accept any incest, or minor/adult pairings (this includes aging up characters who are minors throughout most of the series and pairing them with adult characters that way. for example, we won't accept Midoriya Izuku and All Might as a romantic pairing, even if you age up Midoriya, so they're both adults in your story)

Our rules about what counts as a rarepair are less to do with numbers, and more to do with judgement on how popular the ship is overall in the fandom. You understand that sub Eddie is a term used and tagged widely by the entire Eddie fandom and all Eddie ships right? Totally fair to only want your event to be Steddie but you could have picked a more specific name instead of just borrowing one that already exists for everyone. It’s not fair to bring hate to people that are just minding their business with no idea this event is even happening but now they have people commenting on their shit that other ships aren’t allowed. Being rude because you didn’t know an event had commandeered the term sub Eddie for the week. There’s enough hate in this space already.

We picked the name because it was available! Any other event group could have done the same if we hadn't, but out of all the other media and ships that involve someone named Eddie, no one did. Any other event can pick their own, more specific name, too, if they want.

Trust us, we understand being hated in our fan communities, but this ask is a waste of our time and yours. We just finished up our second year with this being a Steddie-only event, so this isn't a new thing we suddenly "commandeered," and we didn't consider anyone would see it that way when we picked our name. Assuming we had malicious intent over something so small like this is unfair.

The standalone Sub Eddie Munson tag can be used by anyone at ANY time and we've never said anything to the contrary. This is part of why we specified this year to tag our specific blog (which has all our rules pinned and easy to find so there should be minimum confusion as to what/who this event is for) because other people use the same tags we use.

All we have asked is that people don't use our event collection on AO3 for unrelated works which is really reasonable seeing as we personally made the collection and moderate it ourselves. If there are other events going on, event moderators should be making their own collections. If there isn't another event going on, people shouldn't be using a random moderated event collection anyway.

No one speaks for our event except for the official social media pages and we are unaware of any conflict happening in other places. Sorry this is happening, but we didn't ask for that and that's the fault of people who think they can backseat-moderate an event they aren't actually involved with.

And to anyone who feels the need to comment on works they feel don't "fit," the only official fics for our event are in our official collection on AO3 that we have linked numerous times, or they are reblogged on our official social medias. If it's not here or in the collection, it's entirely separate and you shouldn't be speaking for the event. We have given you a way to read only fics for this event by moderating the collection ourselves, so looking elsewhere is the fault of your own, not the writers simply using the sub Eddie tag.

tl;dr - you can use the sub Eddie Munson tag, literally nobody cares. Other events can pick their own names, we took it because it was available. Just don't use collection we personally made or randomly tag our URL/@ and we don't have an issue because we moderate our event and show everyone what's actually part of it. No one speaks for our event except for us, so stop doing that if you are.

We're going to start with the basics this month: Where did your Sidestep get your name? Do they know what it means? Do they feel any particular way about their name?

I had to hold off on this til I revealed my second sidestep cuz I have no idea how to answer this one for Corey yet lmao. so yeah here's some Chase lore

Chase is her regene name! Her role on missions was essentially stalking/tracking targets that knew they were being hunted and thus were being really evasive and hard to reach, and she took her job WAY too seriously. Unlike Corey, who was infamous for being a defiant shithead towards their handlers, she was known for being teacher's pet and always on her best behavior. So the other regenes she worked with on missions started referring to her by her job title as a not-so-subtle dig at how single minded she was about it. a sort of "this Ken's job is beach" joke

She knows they meant it mockingly, but she embraced it and still loves her name/wears it like a badge of honor. Shes proud of her past accomplishments (even if there was a brief sidestep era "oh god what have i done" phase). There was no hesitation about using that as her name when Ortega asked her for one.

She chose her last name after a conversation she had with Julia about tia Elena/ her choosing to go by Ortega. For better or worse, she viewed the director through a familial lens, so choosing "Siepen" as a surname was both a power move and a way of deflecting blame for her problems onto her. Very much a "you made me/raised me to be like this so if you dont like it, its your fault" sort of vibe.
